1) Unacceptable Assets
We may reject your application at our sole discretion. We may cancel your application if we determine that your site is unsuitable for our Program, including if it:
- Promotes sexually explicit materials
- Promotes violence
- Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
- Promotes illegal activities
- Incorporates any materials which infringe or assist others to infringe on any copyright, trademark, or other intellectual property rights or to violate the law
- Includes "Merchant" or variations or misspellings thereof in its domain name
- Is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically, or otherwise objectionable to us in our sole discretion.
- Contains software downloads that potentially enable diversions of commission from other Publishers in our program.
- You may not create or design your website or any other website that you operate, explicitly or implied in a manner that resembles our website nor design your website in a manner that leads customers to believe you are Alyaka or any other affiliated business.
2) Email & Community
You are free to promote your own websites, but naturally, any promotion that mentions Alyaka could be perceived by the public or the press as a joint effort. You should know that certain forms of advertising are always prohibited by Alyaka. For example, advertising commonly referred to as "spamming" is unacceptable to us and could cause damage to our name. Other generally prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups, and cross-posting to multiple newsgroups at once. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, your domain name, or your return email address. You may use mailings to customers to promote Alyaka so long as the recipient is already a customer or subscriber of your services or website, and recipients have the option to remove themselves from future mailings.
Also, you may post to newsgroups to promote Alyaka so long as the newsgroup specifically welcomes commercial messages. At all times, you must clearly represent yourself and your websites as independent from Alyaka. If it comes to our attention that you are spamming, we will consider that cause for immediate termination of this Agreement and your participation in the Alyaka Affiliate Program. Any pending balances owed to you will not be paid if your account is terminated due to such unacceptable advertising or solicitation.
3) PPC Policy
3.1.) Search Engines
- Bidding is allowed on Google and Bing/Yahoo with a few restrictions listed herein.
- Bidding on Ask, Facebook, Twitter, Find What, and other search engines and social media sites is permitted with no restrictions on Alyaka.com trademarked terms.
- Clause 3 below (Competitor Terms) in the PPC Policy must be followed on all pay-per-click search engines and advertisements.
3.2) Alyaka.com and Trademarks
- Publishers may not bid on Alyaka.com trademark terms on Google and Bing/Yahoo, including international versions.
- There are no trademark restrictions with Alyaka.com trademarks on Ask, Find What, Facebook, and other pay-per-click search engines.
- Publishers MAY NOT use www.Alyaka.com in the display URL at any PPC search engine or various content network sections. Alternative spellings of our domain name are also not permitted, including but not limited to www.alyka.com, www.alayaka.com, alyakaa.com, www.alyaka.net, etc. See the direct linking policy below for additional information.
- Publishers are permitted to use Alyaka.com trademarks in the URL to the right of the domain in the display URL. Example: www.yoursite.com/Alyaka.com.
- Publishers may not include "Official Site" or make representations that your advertisement is from Alyaka.com.
- Publishers may not bid on Alyaka.com + "term" on Google and Bing/Yahoo unless given written permission by Alyaka team. Example: Alyaka.com reviews, Alyaka.com discounts, etc.
- You may bid on manufacturer-specific terms, although some manufacturers have blocked the use of their terms on various search engines without prior permission.
- Alyaka.com terms include all the following and any potential misspellings not shown here:
- alyaka.com
- alayaka.com
- alyakaa.com
- allyaka.com
3.3) Direct to Merchant / Landing Pages
- Direct-to-merchant linking is NOT ALLOWED on Google and Yahoo/Bing. Publishers may not use our URL in the display URL on any PPC advertisement.
- Direct linking is ALLOWED on social media sites including but not limited to, Facebook, Twitter, YouTube, Instagram, or Pinterest.
- Direct to merchant linking is ALLOWED through Email, Newsletters, or any other form of electronic promotion conducted on behalf of Alyaka Affiliate partner
- Publishers bidding on Alyaka.com trademarks may not use a landing page that includes advertisements for competitors. Example: If an affiliate bids on the term "Alyaka.com".
- The landing page must be entirely dedicated to Alyaka.com and may not have competitor offers on the same page.
3.4) Geo-Targeting and Dayparting
- Geo-Targeting is allowed on all search engines as long as policies regarding display URL, competitor terms, and trademarks are followed.
- Dayparting is allowed on all search engines as long as policies regarding display URL, competitor terms, and trademarks are followed.
- Using geo-targeting and dayparting to avoid enforcement of the Alyaka.com PPC Policy is strictly prohibited and grounds for immediate removal and reversal of all commissions up to 30 days prior to the date of the PPC violation.
- International geo-targeting is allowed as long as the advertisement is truthful in the Alyaka.com international policies. Example: International Publishers may not mention free shipping on international orders, taxes are not included, etc.
- International Publishers may not use an Alyaka.com display URL on any search engine, including but not limited to www.Alyaka.com, www.Alyaka.co.uk, www. Alyaka.ca, and any related misspellings.
3.5) Ad Copy Restrictions
- Truth in advertising: Publishers are required to be truthful about any advertisement representing Alyaka.com, including information surrounding discounts and special offers.
- Do not represent your advertisement as an official or endorsed Alyaka.com advertisement or site.
3.6) Exclusions, Penalties, and Notifications
- Alyaka.com reserves the right to exclude any or all of our PPC policies for individual Publishers at our sole discretion.
- Excluded Publishers are required to agree via signed contract to any exclusion permitted herein. Do not assume exclusion via verbal or written communication.
- Publishers receive one warning and are given 48 business hours to comply with any PPC violations. A second violation will result in termination of the affiliate relationship and may be cause for reversal of past commissions earned up to 30 days prior to the second violation. See below exceptions to this policy.
- Publishers found using geo-targeting or dayparting features on search engines to avoid enforcement of the Alyaka.com PPC Policy will be immediately removed from the Alyaka.com affiliate program, and have all commissions reversed up to 30 days prior to the violation date and be immediately reported to the Affiliate Network for investigation.
- Publishers found in breach of the PPC Policy and Terms of Service regarding competitor terms will be immediately removed from the program, have all commissions reversed for up to 30 days, and be subject to a $5,000 penalty.
- From time to time, Alyaka.com may review the PPC policy for changes in the way search engines operate or changes in Alyaka.com's philosophy. Any changes made to the PPC Policy will be announced via the Alyaka.com affiliate newsletter and posted on the Alyaka.com website. Publishers are given no less than 7 business days to comply with any new PPC terms before a first violation is cited on the affiliate's account.
3.7) Reporting Violations
Violations of the Alyaka.com PPC Policy may be reported to alnaver.b@alyaka.com. Please have all applicable proof in your email, including but not limited to screenshots of the ad, geographical location of the ad, URL/network tracking information, and the search engine where the ad was found.
4) Product Listing Ads (PLAs)/Shopping Ads
Publishers are not permitted to use any data feed files, including network data feeds and shopping network data feeds, in PLAs with any of the search engines. Use of PLAs is NOT ALLOWED by Publishers under any circumstances.
5) Consumer Shopping Engines (CSEs)
Publishers are NOT PERMITTED to use any Alyaka brand product datafeed files with CSEs. In addition, CSEs may not permit their third-party partners from participating in paid search with any of the Alyaka Materials.
6) Reseller, Auctions
Publishers are not allowed to resell, auction, mask or manipulate the pricing of any Alyaka product.
7) Parasiteware
Affiliate shall not transmit any so-called “interstitials,” “Parasiteware™,” “Parasitic Marketing,” “Shopping Assistance Application,” “Toolbar Installations and/or Add-ons,” “Shopping Wallets” or “deceptive pop-ups and/or pop-unders” to consumers from the time the consumer clicks on a qualifying link until such time as the consumer has fully exited Merchant’s site (i.e., no page from our site or any Alyaka’s content or branding is visible on the end-user’s screen).
As used herein a. “Parasiteware™” and “Parasitic Marketing” shall mean an application that:
- through accidental or direct intent causes the overwriting of affiliate and non-affiliate commission tracking cookies through any other means than a customer initiated click on a qualifying link on a web page or email;
- intercept searches to redirect traffic through an installed software, thereby causing, pop ups, commission tracking cookies to be put in place or other commission tracking cookies to be overwritten where a user would under normal circumstances have arrived at the same destination through the results given by the search (search engines being, but not limited to, Google, Bing. Yahoo, and similar search or directory engines);
- set commission tracking cookies through loading of Merchant site in iFrames, hidden links and automatic pop ups that open Alyaka’s site;
- targets text on web sites, other than those web sites 100% owned by the application owner, for the purpose of contextual marketing;
- removes, replaces or blocks the visibility of Affiliate banners with any other banners, other than those that are on web sites 100% owned by the owner of the application.
8) Alyaka reserves the right, at any time, to review your placement and approve the use of our Links and require that you change the placement or use to comply with the guidelines provided to you.
9) The maintenance and the updating of your site will be your responsibility. We may monitor your site as we feel necessary to make sure that it is up-to-date and to notify you of any changes that we feel should enhance your performance.
10) It is entirely your responsibility to follow all applicable intellectual property and other laws that pertain to your site. You must have express permission to use any person's copyrighted material, whether it be a writing, an image, or any other copyrightable work. We will not be responsible (and you will be solely responsible) if you use another person's copyrighted material or other intellectual property in violation of the law or any third party rights.
