Overview
This Agreement contains the complete terms and conditions that apply to Affiliate’s participation in the Luca Faloni LTD’s Affiliate Program. Carefully read these terms and conditions, which represent a legally binding agreement between Luca Faloni SRL and the Affiliate. As used in this Agreement, ‘Site’ means depending on the context, either https://lucafaloni.eu/ or the website owned or controlled by the Affiliate, on which Affiliate will place Links (as defined below) to Lucafaloni.com. The Affiliate acknowledges that its participation in the Program will require the Affiliate to use the AWIN Affiliate Network, and that the shareasale may require the Affiliate to agree to certain terms and conditions prior to the Affiliate’s use of AWIN Affiliate.
Luca Faloni LTD (“Luca Faloni”, “Lucafaloni.com”, “we” and “us”) is dedicated to protecting its customers’ privacy. This Privacy Policy applies to the website www.lucafaloni.com, which is owned and managed by Luca Faloni LTD. According to the EU General Data Protection Regulation in force (GDPR), this Privacy Policy describes:
How data is collected and used on Luca Faloni’s site
What type of data is collected and with whom is shared
How data is kept safe
Users’ privacy rights and how users can enforce them
This Privacy Policy does not apply to any data that Luca Faloni collects offline or through sources other than its site.
Limitation of Liability
The Affiliate Program is provided on an "as is" and "as available" basis and the use of the Affiliate Program is at the Affiliate's own risk. Luca Faloni makes no representations or warranties, either expressed or implied, with respect to the Affiliate Program, or any service or information provided through the Affiliate Program.
Luca Faloni is not responsible for any damages, injury or economic loss arising from the use of the Affiliate Program. Should any part of the Affiliate Program cause damage or inconvenience to the Affiliate or anyone claiming through the Affiliate, the Affiliate assumes responsibility and the entire cost for them.
The Affiliate will indemnify and hold harmless Luca Faloni LTD, its directors, officers, employees, agents, subsidiaries, and third parties from and against any losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to the Affiliate's or any third party's operations or use of the Affiliate Program.
Affiliates Fees and Payouts
A referral will become eligible for (‘Eligible Referral’) at the end of the next calendar month, if it meets all of the following criteria:
The referral makes a purchase, paid in full
The referral’s account remains active and in good standing
The referral’s account account has not had any of its payment refunded, charged back or otherwise reversed.
All web page error requests (such as 404 errors) will direct traffic to a default error page. This error page informs visitors that the webpage they are looking for cannot be found, and may include, but without limitation the following:
Links to additional products and services offered by Lucafaloni.com.
Advertisement for products and services offered by third-parties.
An internet search engine interface.
Failure to comply or meet any of these criteria will permanently void the referral and disqualify the referral from any potential payouts.
The Affiliate is entitled to receive a one-time commision (payment) for each active Eligible Referral that is recorded in the Affiliate Dashboard. Affiliate fees will be payable only when the Affiliate has at least 2 Eligible Referrals.
All Affiliate Fee payments will be payable in GBP only, except as otherwise determined by Luca Faloni in its sole discretion. Payment will be made through Paypal or, Bank transfers against a valid invoice issued by the Affiliate. The Affiliate is responsible for providing Lucafaloni.com with the full and accurate details that are required to remit the Affiliate Fees, and is solely responsible for any delays in payment resulting from its failure to do so.
Referrals will become void, and any unpaid Affiliate Fees will be forfeited, after 12 calendar months.
In the event of any activity deemed suspicious by Lucafaloni.com, Luca Faloni LTD may delay the payment of Affiliate Fee by up to 6 calendar months to verify the relevant transactions. Lucafaloni.com reserves the right to recalculate, void, or disqualify any referrals or Affiliate Fee in the event of any fraudulent, deceptive or otherwise illegal activity.
Fee Payment
Luca Faloni LDT will pay the Affiliate the Referral Fees on a rolling basis through the AWIN, each month following a qualified transaction. Lucafaloni pays AWIN, for the Referral Fees earned on Qualified Transactions that were purchased during the month, less any taxes that Luca Faloni LTD is required by law to withhold. The Affiliate may track the number of Qualified Transactions and associate Referral Fees through the AWIN Affiliate Reporting interface. Luca Faloni LTD does not make any guarantee of a minimum amount of business or that Affiliate will earn any amount of Referral Fees under this Agreement.
Termination and the Process
Affiliate’s acceptance of the terms and conditions of this Agreement shall be evidenced by Affiliate’s submission of a completed Program application, provided, however, that this Agreement shall not be effective unless and until Luca Faloni LTD has accepted the Affiliate into the Program. The term of this Agreement will be upon Luca Faloni LTD’s acceptance into the program and will end when terminated by either party (the ‘Term’). Either party may terminate this Agreement at any time, with or without cause, by giving the other party prompt notice of termination (written notice). Upon termination, the Affiliate shall promptly remove all links and Program-related content the the Affiliate’s site. Affiliate is only eligible to earn Referral Fees on Qualified Transactions occurring during the Term (including all steps required for a transaction to be a Qualified Transaction under this Agreement). In the event that an overpayment is made by Luca Faloni LTD, the Affiliate agrees to promptly remit such excess payment upon notification by Luca Faloni LTD. Luca Faloni LTD may withhold Affiliate’s final payment for a reasonable time to ensure that the correct amount is paid.
Relationship of Parties
The parties are independent contractors, and nothing in this agreement will create any partnership between the parties. The Affiliate will have no authority to make or accept any offers or representations on Luca Faloni’s behalf.The Affiliate will not make any statement, whether on the Affiliate site or otherwise, that reasonably would contradict anything in this section.
Data Ownership
Luca Faloni LTD - with a registered office in 11 Airlie Gardens, London, Greater London, England, W8 7AL - is the Data Controller for the personal data collected on its site. The Data Processor for Luca Faloni is the current Marketing Manager. Personal data of customers outside Europe is treated according to the General Data Protection Regulation in force in the EU.
Data Sharing
Luca Faloni will not sell any of our and your data. We will not share your personal data with anyone outside of the parties mentioned on our privacy policy. These suppliers are essential to operate the site, provide our services and manage your account.
