Obligaciones y derechos de PARKIMETER
PARKIMETER se reserva el derecho a denegar la solicitud de adhesión al programa de afiliados sin que sea
necesario alegar o concurrir causa alguna que lo justifique.
PARKIMETER no se responsabiliza de los contenidos de las páginas del AFILIADO, sin embargo PARKIMETER será
enteramente responsable de sus páginas y contenidos a las cuales dirijan los enlaces facilitados al AFILIADO,
asegurándose que en todo momento cumplen con las disposiciones legales vigentes y aplicables.
PARKIMETER podrá monitorear las páginas web de los afiliados para asegurarse de que los enlaces HTML son
correctos. Si no lo fueran, PARKIMETER, notificará al AFILIADO los cambios a realizar en el plazo de 7 días. La no
corrección supondrá la suspensión de este acuerdo.
PARKIMETER presta su consentimiento para que se publique su nombre, enlaces a su web y descripciones de sus
productos en la(s) página(s) web del AFILIADO autorizadas por parte de PARKIMETER y para que el AFILIADO
utilice la información proporcionada por PARKIMETER con fines de marketing, siguiendo las normas e indicaciones
facilitadas por PARKIMETER y previa aprobación explícita por su parte vía correo electrónico.
PARKIMETER deberá facilitar al AFILIADO el acceso y descarga del material promocional disponible y links HTML y
URL que permitirán identificar al usuario y sus compras en las páginas web de PARKIMETER.
PARKIMETER registrará en su cuenta a los clientes referidos y realizará un seguimiento continuo de las
transacciones que realicen éstos, poniendo a disposición del AFILIADO los informes o resúmenes relativos a los
movimientos que se produzcan al respecto.
PARKIMETER pagará la comisión en los términos establecidos en el ANEXO.

Obligaciones y derechos del AFILIADO
El AFILIADO es responsable de la implantación, puesta en funcionamiento y mantenimiento en su web de los
contenidos y/o enlaces proporcionados por PARKIMETER dentro del programa de afiliación.
Para asegurar los mejores niveles de conversión, los contenidos y enlaces facilitados por PARKIMETER podrán ser
mostrados en la web del AFILIADO en todas aquellas páginas de su web, dentro de los dominios autorizados por
PARKIMETER.
El AFILIADO cooperará en el mantenimiento y correcto funcionamiento de los enlaces insertados en su web durante
la vigencia de este acuerdo. Cualquier cambio de las zonas y/o forma en que los usuarios accede a los los enlaces
será acordada previamente entre el AFILIADO y PARKIMETER
El AFILIADO no se responsabiliza de los contenidos de las páginas de PARKIMETER a las cuales dirigen los enlaces
facilitados por PARKIMETER, aunque el AFILIADO será enteramente responsable de su página web y sus
contenidos, asegurándose que en todo momento cumplen con las disposiciones legales vigentes y aplicables.
El AFILIADO garantiza ser el propietario de los derechos sobre toda la información y todos los contenidos de su
página web o bien que el propietario de los derechos sobre la información y los contenidos de su página web ha
prestado su expreso consentimiento para su publicación en dicha página web, garantizando también que la
información y los contenidos de su página web no infringen ningún derecho de terceros, incluyendo los Derechos de
Propiedad Intelectual.
El AFILIADO es responsable de que la información y los contenidos no son ofensivos, no están prohibidos ni son
objetables en modo alguno y garantiza que no utilizará los enlaces facilitados por PARKIMETER, en el marco del
programa de afiliación, en páginas cuyo contenido, a título enunciativo y no limitativo: sea constitutivo de delito o
promueva acciones delictivas o contra la ley, la moral y/o el orden público, incluya contenidos violentos,
pornográficos, racistas o discriminatorios.
El AFILIADO no deberá generar ni contribuir en modo alguno a la generación de Tráfico Artificial hacia las Páginas
Web Vinculadas. El AFILIADO es igualmente responsable del tráfico proveniente de sus páginas, asumiendo las
consecuencias que pueda acarrear que este sea simulado. El AFILIADO deberá notificar de forma inmediata a
PARKIMETER cualquier uso simulado, ilícito o impropio del que tuviese conocimiento.

Igualmente, el AFILIADO se compromete a no insertar ningún mecanismo (frases, pantallas de visualización forzosa,
etc.) que obligue o coaccione al usuario a realizar algún click sobre los contenidos objeto de este acuerdo o que
pueda ser considerado como un acto de publicidad activa.
El AFILIADO no podrá modificar en forma alguna los contenidos y/o enlaces facilitados por PARKIMETER y tampoco
podrá usarlos de alguna manera que pudiera ser considerada denigrante, engañosa, obscena o negativa.
PARKIMETER se reserva todos los derechos sobre enlaces y contenidos objeto de este acuerdo.
En relación a los motores de búsqueda, el AFILIADO no puede utilizar ningún término que sea el mismo o pueda dar
lugar a confusión con la marca PARKIMETER o marcas de terceros con el objetivo influir indebidamente en los
resultados de cualquier plataforma de terceros a menos que exista otro acuerdo explícito con PARKIMETER.
Si PARKIMETER detectara algún tipo de acción como las expuestas, lo comunicará al AFILIADO por e-mail y podrá
dar por finalizado el acuerdo, perdiendo el AFILIADO el derecho a las remuneraciones acumuladas hasta el momento
de la comunicación.
El AFILIADO deberá custodiar debidamente su clave y contraseña de acceso a su área de afiliado, dado que son de
carácter confidencial y personal. Por consiguiente, el AFILIADO será el único responsable de su uso por una tercera
persona a la que le haya facilitado las mismas. De este modo, deberá solicitar inmediatamente a PARKIMETER el
cambio de su clave y contraseña si sospechara que las mismas han podido ser sustraídas o utilizadas por un tercero
sin su consentimiento. A este respecto, el AFILIADO exonera de cualquier tipo de responsabilidad a PARKIMETER
por los perjuicios que este uso indebido le pueda ocasionar.
El AFILIADO se obliga a utilizar los enlaces de las campañas en las webs especificadas en este acuerdo. Cualquier
uso de los enlaces desde páginas webs distintas a las indicadas dará derecho a PARKIMETER a la resolución
automática del presente acuerdo.
El AFILIADO se compromete a utilizar el material promocional única y exclusivamente para dirigir sus visitantes y/o
clientes a la Página Web de PARKIMETER. A estos efectos, el AFILIADO deberá utilizar únicamente los diseños
proporcionados por PARKIMETER (banners, imágenes, logotipos, etc.) sin que pueda modificar o alterar el diseño,
color o tamaño de los mismos. Por consiguiente, deberá utilizar el material que en cada momento se halle disponible
en el área de afiliados.
El AFILIADO solamente podrá abrir cuentas a nombre e interés propio, por lo que queda terminantemente prohibido
abrir cuentas en nombre y/o en interés de terceros. Asimismo, se prohíbe transferir las cuentas existentes a favor de
un tercero, en tanto en cuanto no medie autorización expresa y por escrito de PARKIMETER.
En caso de incumplimiento, cualquier cantidad pendiente de liquidar al AFILIADO será retenida por PARKIMETER
como indemnización, sin perjuicio que PARKIMETER pueda ejercer cualquier otra acción encaminada a satisfacer
cualquier daño ocasionado.
El AFILIADO presta su consentimiento para que se publique su nombre, la dirección de su página web, etc. en la
página web de PARKIMETER y para que PARKIMETER utilice la información proporcionada por el AFILIADO con
fines de marketing, siguiendo las normas e indicaciones facilitadas por PARKIMETER y previa aprobación explícita
por su parte vía correo electrónico.

1. General
These Terms and Conditions (the "Affiliate Agreement") govern the Affiliate Program that is made available by
Parkimeter Technologies SL. ("Parkimeter", "we" or "us"). These Terms and Conditions represent the entire
agreement and understanding between Parkimeter and the individual or entity who participates in the Affiliate Program
(the "Affiliate", or "you").
Please read this agreement carefully as it represents a legally binding agreement between you and Parkimeter. By
submitting your application and by your use of the Affiliate Program, you agree to comply with all of the terms and
conditions set out in this Affiliate Agreement. Parkimeter may terminate your Affiliate Account at any time, with or
without notice, for conduct that is in breach of this Affiliate Agreement, for conduct that Parkimeter believes is harmful
to its business, or for conduct where the use of the Affiliate Program is harmful to any other party.

2. Referral Tracking

Parkimeter will provide the Affiliate with specific Referral Links to link advertisements and other marketing content to
Parkimeter. Parkimeter will track users who have visited these Referral Links using cookies that expire after 90 days.
Only users who make a purchase while the cookie is active will be considered referrals of the Affiliate and recorded as
such in the Affiliate Dashboard.
The Affiliate is not authorized to modify or alter the Referral Links or the cookies in any way. Parkimeter is not
responsible for any tracking or reporting errors that may result from any modifications to the Referral Link or the
cookies.

3. Affiliate Fees and Payouts
A referral will become eligible for payout ("Eligible Referral") at the end of the next calendar month if it meets all of
these criteria:
1. The referral pays for a reservation to Parkimeter.
2. The referral’s reservation is not canceled, reduced, rejected or claimed as fraud.
3. The referral's reservation departure date is within the previous natural month.
The Affiliate is entitled to receive a commission consisting of a percentage (agreed with Parkimeter) of the full price of
the reservation. All Affiliate Fee payments will be payable in EURO only, except as otherwise determined by
Parkimeter in its sole discretion. Payment will be made through wire transfer against a valid invoice issued by the
Affiliate using the invoice generation and submission instructions provided by Parkimeter. The Affiliate is responsible
for providing Parkimeter with the full and accurate details that are required to remit the Affiliate Fees (f.i. IBAN and
SWIFT numbers), and is solely responsible for any delays in payment resulting from its failure to do so. Referrals will
become void, and any unpaid Affiliate Fees will be forfeited, after 12 calendar months.
In the event of any activity deemed suspicious by Parkimeter, Parkimeter may delay the payment of Affiliate Fees by
up to 6 calendar months to verify the relevant transactions. Parkimeter reserves the right to recalculate, void, or
disqualify any referrals or Affiliate Fees in the event of any fraudulent, deceptive or otherwise illegal activity.

4. Advertisements
Parkimeter hereby grants the Affiliate a non-exclusive, non-transferable, limited license to use the Parkimeter logos for
the sole purpose of promoting our service within the context of the Affiliate Program. This license will expire upon
termination of the Affiliate's participation in the Affiliate Program.
The Affiliate may only display advertisements that contain Parkimeter's logos or service marks in good taste. The
Affiliate may not use Parkimeter's logos or service marks in a manner that, in Parkimeter's sole discretion, portrays
Parkimeter in negative light. Parkimeter may, without prior notice, require the Affiliate to remove or modify any
advertisements in Parkimeter's sole discretion.
The Affiliate will be solely responsible for its own marketing activities. All marketing activities must be professional and
in full compliance with all applicable laws.

5. Termination
The Affiliate may terminate the Affiliate's participation in the Affiliate Program with immediate effect by giving the other
party a written notice of termination.
Parkimeter reserves the right to terminate the Affiliate's participation in the Affiliate Program at any time for conduct
that is in material breach of this Affiliate Agreement or for conduct that Parkimeter, in its sole discretion, deems to be
harmful to its business or any third party. For example, cookie stuffing, suspicious activity or any other attempt to drive
artificial traffic to Parkimeter or modify the results of this program will be a cause for immediate termination. Upon
termination, the Affiliate will lose access to its Affiliate Dashboard and will forfeit all potential or unpaid Affiliate Fees.
6. Relationship of Parties
Parkimeter and the Affiliate are independent contractors. Nothing in this Affiliate Agreement will create any
partnership, employment, representative, agency, or joint venture relationship between the parties. The Affiliate has
no authority to act on Parkimeter's behalf.

7. Limitation of Liability
The Affiliate Program is provided on an "as is" and "as available" basis and the use of the Affiliate Program is at the
Affiliate's own risk. Parkimeter makes no representations or warranties, either expressed or implied, with respect to
the Affiliate Program, or any service or information provided through the Affiliate Program.
Parkimeter is not responsible for any damages, injury or economic loss arising from the use of Affiliate Program.
Should any part of the Affiliate Program cause damage or inconvenience to the Affiliate or anyone claiming through
the Affiliate, the Affiliate assumes responsibility and the entire cost for them. Both sides will comply with EU data
protection regulations.
The Affiliate will indemnify and hold harmless Parkimeter, its directors, officers, employees, agents, subsidiaries, and
third parties from and against any losses, damages, liabilities, claims, judgments, settlements, fines, costs and
expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to the
Affiliate's or any third party's operations or use of the Affiliate Program.

8. Modification
Parkimeter may, in its sole discretion, change or modify this Affiliate Agreement at any time, with or without notice.
Such changes or modifications shall be made effective for all Affiliates upon sending of the modified Affiliate
Agreement to the affiliate e-mail.
If any modification is unacceptable to the Affiliate, its sole recourse shall be to terminate this Affiliate Agreement. The
Affiliate's continued participation in the Affiliate Program will constitute binding acceptance of such modifications.
9. Miscellaneous
The Affiliate will only be able to transfer this Agreement with explicit authorization from Parkimeter. The Affiliate will
treat this Agreement and the information obtained by the relationship created by this Agreement as confidential.
The Affiliate warrants and represents that its actions and its participation in the Affiliate Program is in compliance with
all applicable laws, rules, regulations, and any requirements of governmental authority at all times. Parkimeter
reserves the right to terminate the Affiliate's participation in the Affiliate Program if Parkimeter determines, in its sole
discretion, that the Affiliate's actions or its participation in the Affiliate Program is in violation of any laws, rules,
regulations, or any requirements of governmental authority.
This Affiliate Agreement constitutes the entire understanding between Parkimeter and the Affiliate. This Affiliate
Agreement supersedes any other contracts or understandings between the parties hereto and neither party shall be
bound by any statements or representations that are not embodied in this Agreement.
Any dispute arising in relation to this Affiliate Agreement shall be exclusively resolved in the Courts of Barcelona,
Spain.
