Please carefully read this Affiliate Agreement as it sets out the Terms and Conditions for participation in the WYLD1 Affiliate Program on Awin.
General Terms and Conditions
You hereby agree to comply WYLD1 Terms and Conditions and all applicable laws and regulations, including but not limited to advertising rules, regulations and standards
You hereby agree that you will only use authorized links provided by WYLD1 to Awin and they shall comply with any requirements and conditions specified in the Affiliate Program, and Terms and Conditions
You hereby agree that both parties have the authority to enter into this Agreement
You hereby agree that Awin has the right to audit your business to verify compliance with the Affiliate Agreement, any laws and any guidelines imposed on you pursuant to the Affiliate Agreement
You hereby agree any email sent by an Affiliate to promote WYLD1 must be pre-approved by WYLD1 in writing
You hereby agree Awin grants you, as a Contracted Affiliate, a non-exclusive and non-transferable sub-license for the term of the Affiliate Agreement to use and reproduce the WYLD1 marks solely for the purposes of placement of Ad Links on the Affiliate website(s).
You explicitly agree that all intellectual property rights in the WYLD1 marks belong to and shall continue to belong to WYLD1 and that you do not have any rights in or to the WYLD1 brand or products other than the right to use or reproduce them during the term and in accordance with the Affiliate Agreement
You hereby agree to use the WYLD1 creative materials made available through Awin, and any changes to creative materials must be pre-approved by WYLD1 in writing
You hereby agree all discount codes issued to an Affiliate with an expiration date or condition must be clearly displayed with the discount code on its website(s) and removed after the expiration date has ended
You hereby agree neither party makes any representations, warranties or other statements including implied warranties to the other party; and regarding WYLD1, our website, and our products, except as authorised by the Affiliate Program
You hereby agree either party may terminate this Agreement at any time, for any reason, provided that they provide at least seven days prior written notice of such termination to the other party and the Awin. All rights to payment, causes of action and any provisions which by terms are intended to survive termination, shall survive termination of this Agreement.
You hereby agree all personally identifiable information provided to WYLD1 by consumers is the sole and exclusive property of WYLD1, and you shall neither have access to such information nor use any device, technique or software to obtain such information from our site.
You hereby agree to indemnify, defend and hold harmless WYLD1 and its owners, directors, employees and agents, from and against any and all liability, claims, losses, damages, injuries or expenses brought by a third party, arising out of a breach, or alleged breach, of any of your representations or obligations herein. In no event shall either party be liable to the other party for any direct or indirect damages. Aggregate liability arising under or with respect to this Agreement or our Affiliate Program shall not exceed the total amount of commissions paid or payable to Affiliate under this Agreement.
The following Affiliate behaviors are not permitted
Engage in any form of cybersquatting, typosquatting, or forced clicks
Engage in spamming, unlawful mass emailing, or send any email in violation of CAN-SPAM Act of 2003 and/or any other rules, laws or regulations that govern email marketing and advertising
Use spyware or phishing techniques or are motivated by fraudulent and dishonest practices
Promote WYLD1 products on any Search Engines
Have website(s) that are under construction
Contain adult content or are pornographic or sexually explicit
Promote violence, discrimination, politics, firearms, terrorism, drug use, harassment, or other illegal activities
Participate in fraudulent activities
Advertise WYLD1 products that are not for sale through Awin
Use codes that belong to other publishers
Use codes/offers that haven’t been specifically authorized to publisher through Awin
Promote WYLD1 and then link to a third party’s website
Use “click here to reveal” functionality
Use toolbars
Use I-frames or masked URLs
Use of bot traffic or scrapping WYLD1.com
Paid Search
The WYLD1 Affiliate Program has a restricted PPC policy. Affiliates are not permitted to use wyld1.com as a display URL in any paid search listings; or bid on any brand name or terms; or include brand name and terms in a search string or display URL including, but not limited to, abbreviations, misspellings, stringing of the name WYLD1 (including but not limited to Wild1).
Commissions
You acknowledge that all Agreements relating to sales to consumers shall be between WYLD1 and the consumer
All commissions will be validated within a 37 day period and WYLD1 reserves the right to claw back commission on all returned goods
We agree to pay the commission if we sell to a consumer a product that is authorized through the Affiliate Program and if that consumer has accessed the WYLD1 website and directly purchased the product during the session via a link from Affiliate website(s) to WYLD1.com using the authorized link and URL provided by WYLD1 to Awin
WYLD1 is solely responsible at our discretion for establishing prices for the products we sell
WYLD1 reserves the right to decline transaction claims submitted after 45 days of the transaction date
Please reference the tab on Commision Structure for most recent Commission rates, as they are subject to change
You hereby agree that if you fail to comply with the following Terms and Conditions in this Agreement, at our sole discretion you will forfeit commission otherwise earned during any period of non-compliance and we may terminate this agreement with immediate effect.
We reserve the right to modify this Affiliate Agreement at any time without prior notice.
