Samsung Programme Terms

Samsung may have additional terms that apply depending on your location. Such local terms must be complied with. In case of any discrepancy in relation to these terms and conditions, Samsung’s local SENA terms shall prevail.

The below terms and conditions ("Programme Terms") shall apply in relation to all Participating Publishers and Sub Publishers that have been approved by Samsung Electronics Nordic AB ("Samsung") to provide its services under Samsung's local affiliate marketing agreement with Awin or Awin Local Affiliates. 

“Advertiser Materials” means any trademarks, advertising content, images, text, video, data, links or other material provided by or on behalf of Samsung, Awin, Awin Local Affiliates, a Participating Publisher, a Sub-publisher or otherwise under Samsung´s local affiliate marketing agreement with Awin or Awin Local Affiliates.

“Samsung Trademarks” means any Samsung Group trademarks whether registered or unregistered including without limitation its logo and the Samsung’s name.

  1. Regulatory compliance policy
    1. All Participating Publishers and Sub Publishers must perform their obligations in accordance with all applicable laws and regulations, including without limitation all applicable marketing and data protection regulations, and to use reasonable skill and care when performing their obligations.
    2. With regards to applicable marketing regulations, the Publishers and Sub Publishers shall in particular ensure that:
  2. All marketing is clearly and visibly marked as marketing in accordance with the requirements set out in applicable marketing legislation. This applies to all marketing in which Samsung products are marketed, regardless of media. For marketing directed at consumers, the mark must be immediately visible in the beginning of a marketing post or publication.
  3. In relation to influencer marketing, Publishers and Sub Publishers must ensure that an influencer does not tag, hashtag or otherwise promote Samsung in more posts than what has been explicitly agreed and specified between Samsung and the Publisher and/or Sub Publisher.

 

  1. Brand compliance policy
    1. Participating Publishers and Sub Publishers are only allowed to use Advertiser Materials that have been provided by Samsung. If Publishers and/or Sub Publishers wish to use materials that have not been provided by Samsung they must submit these materials at least 5 days before publication for Samsung’s written approval. Samsung may in its absolute sole discretion withhold such approval or grant it on conditions as it deems fit. Samsung's silence in respect of a request for approval shall be deemed as a rejection of the proposed material.
    2. Publishers and Sub Publishers promoting Samsung offers must adhere to the copy provided by Samsung. This copy cannot be altered without Samsung's prior written approval. Samsung's silence shall be deemed as a rejection of a proposed amendment to the copy.
    3. All booked marketing and exposure placements by the Publishers and Sub Publishers on behalf of Samsung require written approval from Samsung team prior to go live. Please submit a review of the placement to daniel.norbury@awin.com
    4. ] and the team will be able to review and approve. Samsung's silence in respect of a request for approval shall be deemed as a rejection of the proposed placement.
    5. To the extent Publishers or Sub Publishers are authorized to amend or alter Samsung's Advertiser Materials or copies, the following rules shall apply:
  2. Publishers and Sub Publishers may not include content or material that infringes or is likely to infringe a third party's intellectual property rights in the marketing material.
  3. Publishers and Sub Publishers may not include images or videos in the marketing material where other people are visible without their explicit consent.
  4. Publishers and Sub Publishers may not use the expression "discount sale" or another expression with the equivalent implications unless the products offered are part of the Samsung´s ordinary range, the sale takes place during a limited time period and the prices are significantly lower than Samsung´s ordinary prices.
  5. Publishers and Sub Publishers may not mention Samsung’s competitors or their products in the marketing material.
  6. Publishers and Sub Publishers may not mention or use material including others intellectual property rights without written consent from the right holders and Samsung’s written approval of the consent.
  7. Publishers and Sub Publishers may not use extreme/exaggerated words when promoting Samsung’s products.
  8. Publishers and Sub Publishers must avoid using words that relates to the environment or health/medicine when promoting Samsung’s products.
    1. Typical environmental claims include “environmentally friendly”, “green” or “sustainable”. As an example, a Samsung TV should not be described as “green”.
    2. Typical health/medical claims include assertions that Samsung’s products can heal, prevent or treat physical or mental illnesses, for example that a Samsung Smart Watch can help treat insomnia by tracking sleep patterns.
  9. Publishers and Sub Publishers must avoid using doubtful claims regarding:
    1. The products price, special price advantages and payment terms
    2. The qualifications, position on the market, commitments or other rights belonging to Samsung
    3. Awards or distinctions awarded to Samsung
  10. If the majority of the target group are younger than 18, Publishers and Sub Publishers must be cautious and not in the marketing material encourage them to purchase Samsung’s products by for example using phrases as “buy”, “purchase”, “upgrade to” or similar. In general, marketing that takes aim at children or other types of vulnerable groups must be made in a way that can be easily comprehended.
  11. Publishers and Sub Publishers must avoid mentioning or publishing content of a sensitive and/or offensive nature. This includes for example content relating to politics, religion, racism, violence, sexual themes, discriminatory content, alcohol, drugs or criminal behavior.
    1. Any use of Samsung Trademarks shall be in accordance with Samsung’s brand guidelines and other instructions provided by Samsung.
    2. Publishers and/or Sub Publishers promoting Samsung offers must adhere to the copy provided by Samsung or the Samsung Awin Affiliate Team. This copy cannot be altered.  

 

  1. Confidentiality
    1. The Publishers and Sub Publishers undertakes to maintain the confidentiality of all information provided by or relating to Samsung's products and planned Samsung advertising campaigns or other Samsung activities that have not yet been made public by Samsung, including but not limited to:
  2. Information about products before their official launch,
  3. Information about planned marketing, advertising, promotional activities of Samsung or Samsung's brand prior to their commencement;
  4. Marketing material, including press releases, prior to its publication by Samsung or Samsung's consent to its publication.
    1. Samsung's confidential information may only be disclosed after the secrecy period or with the express consent of Samsung.
    2. The Publishers undertakes to keep confidential Samsung information confidential in particular through:
  5. refrain from disseminating them in such a way that everyone will be able to read them,
  6. refraining from disclosing them to any third party;
  7. providing Samsung's confidential information with at least the same protection as the Publisher's own confidential information;
  8. allowing access to Samsung confidential information to only those employees or associates of the Publisher who need it, with the proviso that the publisher will oblige persons to whom Samsung has disclosed confidential information to keep it secret at least on the terms set out in these regulations, for the disclosure of information confidential by the persons concerned. The publisher shall be liable to Samsung as for its own acts or omissions.

 

  1. Moral Clause
    1. Publishers and Sub Publishers shall ensure that its representatives, which includes the Publisher’s and Sub Publisher’s entire personnel (i) do not commit or is accused of having committed an act which, according to Samsung, in its sole opinion, is in contradiction to public conventions and morals and shocks, insults or offends the community, public moral or sense of decency and that could lead to damage to the reputation of Samsung or to the Samsung products or Samsung's brand due to the connection between the representative and Samsung; (ii) are not convicted of a crime involving moral turpitude; or (iii) do not acknowledge, or is convicted of, illicit drug use.

 

  1. Breach of terms
    1. Samsung reserves the right to suspend any Publishers or Sub Publishers from the programme immediately if they are found to be in breach of the Programme Terms. If you are not sure about what you can and cannot do, please contact the program’s account manager prior to undertaking any activity.

Influencers & Social Media (English)

As a publisher, you are obliged to make it clear for consumers when your content contains advertising material. As an approved Awin Publisher you have agreed to follow local laws and standards as stipulated in section 9.2.4 and 9.2.5 of the publisher terms and conditions.

·       You should make it clear in the top of your post (blog or social media) that the post includes advertisement

·       You may choose to use different fonts in order to highlight that the post includes advertisement

·       You may choose to use a specific background formatting in order to highlight a post including advertisement
