YUMOVE Affiliate Programme Terms and Conditions

YUMOVE Affiliate Programme is owned and operated by Lintbells Limited (“Lintbells”), a company incorporated and registered in England and Wales with company number 05928692 whose registered office is at West Barns, Fairclough Hall Farm, Halls Farm, Weston, Hertfordshire, SG4 7DP. YUMOVE is a registered brand of Lintbells with a trademark registration number UK00002523018.

Any references to “YUMOVE” also means Lintbells.

“Affiliate”, “Affiliates”, “their” and “they” means the Affiliate company, partnership or business that Affiliate represents.

Please read these terms and conditions carefully. In consideration of becoming a member of the YUMOVE Affiliate Programme, Affiliate agrees to adhere to these terms and conditions. Failure to comply with these terms and conditions may result in Affiliate’s immediate removal from the Programme.

YUMOVE will, at their discretion, allow Affiliates on to the Programme. Programme includes the following promotional type of activities: discount code, vouchers, cashback and provided with creative content.

Voucher and Discount Codes Usage

1. All Affiliates are expected to comply with the IAB Guidelines on the proper use of codes, as laid down by the Internet Advertising Bureau (IAB), available here:  https://www.iabuk.com/sites/default/files/IAB%20UK%20Voucher%20Code%20of%20Conduct%20V4.0%20June%202017%20.docx. Affiliates are to use channel or publisher specific codes only. Any transactions with non-affiliate vouchers codes used may be rejected
2. YUMOVE takes responsibility in issuing the most up to date content and offers to its Affiliates. However, it is the responsibility of the Affiliate to keep content on their website up to date, and not to promote any offers which are not valid or are in any way misleading to consumers.
3. Affiliates may only use discount codes and vouchers which have been supplied to them by YUMOVE directly on AWIN platform. Please contact YUMOVE to obtain authorised codes for the Programme.
4. Affiliates are not permitted to publicly post or share any vouchers, discount codes, offers or promotions before their launch date. This applies to all promotions and offers that are communicated in advance by YUMOVE.
5. Affiliates must not display made up, pop-up, invented or fake discount codes on their websites or display discount codes that were intended for use in other channels or for other Affiliates.
6. If a discount code has been issued with an expiry date. The expiry date must be clearly displayed on Affiliates’ website(s).
7. Expired discounts and vouchers must be removed from Affiliates website(s) upon the day of expiry.
8. Expired discounts and vouchers must not be communicated in any means or form to consumers.
9. Discounts and vouchers may not be promoted as being eligible to be combined with another form of discount, voucher or cashback unless explicitly stated by YUMOVE.
10. Affiliates offering voucher codes on their sites should be aware that YUMOVE will occasionally offer exclusive voucher codes to selected partners which will not be available to the rest of the affiliate base.
11. Affiliates are requested to respect the exclusivity of the code and not display this via any promotional means unless the code has been issued to them specifically.

Cashbacks

Cashbacks cannot be redeemed in conjunction with any other YUMOVE offer. Any users that click through from a cashback website to the yumove.co.uk website will be entitled to the offer stated on the cashback website when logged in to the user account. Users who click through from a cashback site and enter a promotional code will not be entitled to cashback, unless stated otherwise. Sample products are not eligible for cashback and any cashback transactions against sample products will be rejected.

Validations

All commissions will be validated on a 70-day period starting from the date of transaction.

Affiliate website

1. Affiliate website shall not contain:
   1. any false, inaccurate, libellous, misleading or disparaging representations or statements regarding YUMOVE, its partners, the providers of any of YUMOVE products; or
   2. any negligent, unlawful, harassing, libellous or otherwise objectionable or illegal content or content that infringes the rights of any other person,

and if Affiliate’s website does contain anything under (a) or (b) above Affiliate shall remove from their website any materials or copy on YUMOVE’s request as soon as reasonably practical and in any event within three days of being asked to do so.

1. Affiliates shall not promote YUMOVE Programme in inappropriate environments or alongside inappropriate themes such as, but not limited to:
   1. illegal material or the promotion of illegal activities and substances;
   2. adult content, age restricted products, obscene or sexually explicit material;
   3. any violent, discriminatory, threatening or abusive material;
   4. any libellous, blasphemous or defamatory material;
   5. any material that infringes the Intellectual Property of any third party,

and Affiliates promoting these themes shall not be accepted onto the Programme.

YUMOVE Domains Usage

1. Affiliates are asked not to register domains which are similar or misspells of Lintbells or YUMOVE brand, specifically:

1. Affiliates are not permitted to purchase, own or bid on any domain names with the brand Lintbells or YUMOVE, or misspellings of "yumove.co.uk" in the URL.

Example: http://www.yumove.co.uk

1. Affiliates are not permitted to include yumove.co.uk brand terms, or misspelt variations of these brand terms in the subfolders of their website's URL.

Example: http://www.yumove.affiliate.com

1. Affiliates also must not send traffic through automatic redirects on a website page or open yumove.co.uk website within an html iframe.

Paid Advertising and PPC Policy

1. Remarketing and Paid Search activity is not permitted for Brand name/terms including Brand combination terms and misspells, such Brand names/terms include, but not limited to:

• LINTBELL
• LINTBELLS
• YUMOVE
• YUCALM
• YUDERM
• YUDIGEST
• YUCARE
• ActivEase
• iMove

1. Affiliates are not allowed to bid on any of the above Brand terms or misspellings, or derivatives.
2. Affiliates are requested not to bid on brand or brand plus generic terms or ANY derivation or misspelling.
3. Affiliates should add these Brand terms as negative terms to all affiliate paid search campaigns.
4. Please note that using the YUMOVE brand terms, misspellings or derivatives of these terms in the Title, Content or Display URL is also forbidden, and direct-linking is also not permitted.  Affiliates should be aware that brand terms are being monitored by AWIN.
5. Affiliates must make sure they do not use "official" or any words in their ad that would lead the user to believe the ad was placed by YUMOVE directly.
6. Affiliates are requested not to bid on competitor brands while driving traffic to the yumove.co.uk website.
7. YUMOVE Programme also has a zero-tolerance policy on CSS providers – Affiliates using CSS will be suspended from the Programme with all commission declined until listings are removed.
8. These Terms are applicable on any ad platform, including, but not limited to, search engines, content networks and social networking ad placements.

Social Media Advertising and Social Content Creators

1. Affiliates must not post on any Lintbells or YUMOVE social media platform in order to attempt to drive visitors to their webpage. Lintbells or YUMOVE social media platforms include Facebook, Twitter and Instagram.
2. Please note Affiliates wishing to use affiliate links within their own Instagram Stories and other social channels, will first need to request permission from YUMOVE and then follow ASA rules on using #ad as the only valid identifier, to be ASA compliant. Please refer to AWIN website page “Paid for Advertising” which explains how free content can have a commercial relationship attached to it. This can be linked to by any affiliate in order to make their readers aware of how affiliate links work.

Creative

1. Affiliates must use the creatives, graphical elements and text links provided by YUMOVE or available through AWIN platform. Affiliate must not alter them or create any of their own links. If any custom links or text are required, please contact YUMOVE.
2. Affiliate must only use the most recent YUMOVE creative and copy supplied through the network portal. This ensures, amongst other things, that the products Affiliate is promoting are current and that the tracking links are up to date and fully functioning.
3. Affiliates are also requested not to hardcode banners into their sites, so updates made to those available through AWIN platform may take immediate effect.
4. Affiliate must respect the intellectual property rights of YUMOVE. These rights include trademarks and service marks, copyright and related rights, trade names and domain names, rights to goodwill or to use in passing off and rights in confidential information. If an affiliate infringes these rights, YUMOVE may remove them from the Programme with immediate effect.
5.  Affiliate warrants and undertakes that they have and will maintain while they are a member of the Programme all licences, permits and authorisations necessary to be a member of the Programme.

Breach of terms and Cancellation

1. Without prejudice to any rights YUMOVE may have and action it may take against Affiliates, if Affiliate breaches these terms and conditions:

(a) YUMOVE may cancel Affiliate’s membership of the Programme;

(b) Affiliate will cease to be entitled to receive commissions in respect of YUMOVE products if cancellation occurs; and/or

(c) Affiliate may be required to pay back any commissions in respect of YUMOVE products paid to them following their breach of these terms and conditions.

1. If Affiliate is removed from the Programme following a breach of these terms and conditions, they will not be able to reappear on the Programme without explicit authorisation from YUMOVE.
2. YUMOVE may terminate Affiliate’s membership of the Programme at any time and without notice. If YUMOVE cancels Affiliate’s membership Affiliate must immediately remove from their website:

(a) any references to Lintbells and YUMOVE;

(b) any creative or copy referring to Lintbells and YUMOVE;

(c) any links to the YUMOVE website.

YUMOVE reserves the right to modify these Terms and Conditions at any time as demanded by the business without prior notice.
