Affiliate Programme Terms and Conditions

These terms and conditions (the “conditions” or “agreement”) apply to all publishers who are accepted onto the GardenBird programme.

GardenBird reserves the right to amend and update these conditions at any time, giving a minimum notice period of 7 days where possible.

Where planned site maintenance is due to occur, we will try to give a minimum notice period of 7 days. Where unplanned maintenance or “down time” occurs, such notice may not be possible.

 

Interpretation

The following definitions apply throughout the conditions as part of the affiliate programme:

“Publisher”The owner/manager of a website who advertises the merchant in the form of site links to the merchant site.
“User”Any entity that is referred by the publisher to the above named merchant’s website.
“New Customer”A user who has not previously made a purchase on the merchant’s website; or who is returning to the website having not made a purchase within the last 12 month period.
“Returning Customer”A user who in the past has made a purchase from the merchant’s site during the last 12 month period.

 

Commencement and Termination

This agreement shall become effective from the date and time the publisher joins the merchant’s affiliate programme. This agreement will remain in effect until either party serves notice of termination in writing.

The publisher may terminate this agreement at any time by giving notice to the merchant in writing, after which point the publisher must cease all activity and delete all links to the merchant’s website. The publisher will not be entitled to any unpaid commissions for converting traffic completing a purchase after the termination of this agreement.

Garden Bird & Wildlife Co reserves the right to terminate this agreement and/or suspend a publisher from the programme at any time. The merchant must give a minimum of 7 days’ notice to the publisher of termination, except in cases where these conditions have been breached, or fraudulent activity is suspected. In the event of fraud or suspected criminal activity, the merchant reserves the right to suspend the publisher from the programme without notice, and/or terminate the agreement with immediate effect.

Upon termination of the agreement, the affiliate will lose all right to the use of domain names, text, images, banners, or any other creative supplied by the merchant. Where the publisher has created text, banners or any other promotional material on behalf of the merchant, they are required to destroy these materials.

 

Commission and Payments

Commission will be verified 28 days after submission. Delivery charges are excluded from order values and therefore commission will not be paid on these values. Where commission is requested including delivery charges, a batch process will take place and an amended commission value will be paid.

Commission will not be paid to the publisher where an order has been cancelled or returned by a customer within the 28 day validation period. If a partial order return is made, a batch process will take place and an amended commission value will be paid. The merchant will not verify commission for any duplicate orders.

The following commission groups apply to the merchant programme:

New and Returning Customers

The merchant will operate multiple commission groups. All commission requests will be set to the default commission rate of 3%. Upon order verification, where the customer is deemed new by the merchant, a batch process will take place and the commission rate will be amended to 5% for the transaction.

The merchant may offer incentivised commission rate increases which will need to be agreed exclusively between the merchant and the publisher.

The merchant reserves the right to make changes to commission groups at any time, giving a minimum of 7 days’ notice for planned changes.

 

Pay-Per-Click (PPC)

As standard the merchant does not allow any search marketing on its trademark, or any branded terms (including but not limited to “GardenBird”, “Garden Bird & Wildlife Co” and “Garden Bird Supplies”), except in circumstances where this has been agreed exclusively between the merchant and the publisher.

 

Use of Voucher Codes

Each publisher is authorised to promote voucher codes unique to them.  You may not promote voucher codes distributed via the GardenBird website or our own marketing efforts (such as from our email marketing).  Any transaction that includes an unauthorised voucher code will not be verified and no commission will be paid out.

We can provide unique codes and offers to each interested publisher.  Please contact us for more information.

Redemption instructions and expiration dates should be clearly marked on a voucher code and expired codes should be removed from your site upon expiration (or clearly marked as ‘expired’).

Any generic or misleading adverts such as ‘click through for up to 20% off’ will result in removal from the programme.

We reserve the right to deny any commission for a publisher found to be abusing or circumnavigating these terms.
