                                                                   Lyca Mobile Affiliate Program – Terms & Conditions

                                                               THIS IS A LEGAL AGREEMENT BETWEEN YOU AND LYCA MOBILE.

By enrolling in the Lyca Mobile Affiliate Program via Awin.com, you confirm that you have read, understood, and agree to be legally bound by the following Terms & Conditions.

1. Overview

This Agreement governs your participation in Lyca Mobile’s Affiliate Program. The purpose is to enable affiliates to promote Lyca Mobile products and services and earn commission on verified new customer activations. SIM orders shall be reviewed and validated by Lyca Mobile UK on a weekly basis. A status update in Awin will be provided confirming whether each SIM order has been successfully activated (GA) or has been disapproved based on the policy outlined below.

Definitions:

•We, us, our = Lyca Mobile.
•You, your, affiliate = the approved affiliate partner.
•Activation = The point at which a new customer successfully uses Lyca Mobile services (voice, SMS, or data).

2. Tracking

•Provider: All activity must be tracked exclusively via Awin.com. No other tracking methods will be recognized.
•Tracking Links: Affiliates must use the official Awin.com-generated tracking links. Modifying links, redirects, or masking links is prohibited.
•Attribution:
      o Attribution model: Last click.
      o Attribution window: 30 days.
      o System of record: Lyca Mobile MIS system.

Eligible Products:

• a. Prepaid / PAYG (Pay As You Go): No contracts; bundles or credit top-ups. Commissions only apply on first-time activations, not renewals or top-ups.
• b. Postpaid / Pay Monthly (SIM-Only): 1, 12, or 24-month contracts, subject to credit checks. Commissions only apply on first-time activations, not renewals.

Invalid Transactions: No commission is payable for existing customer renewals, bundle purchases, or activations after 30 days from when an order is made.

3. Commission Structure

Important: Commissions are only payable once the SIM order is activated, not at the time of order. This exercise shall be conducted on a weekly basis as referenced above, and the corresponding results will be uploaded to Awin on a weekly basis.

We can change the commission at any time. Any changes will apply to future transactions.

c. Campaigns

From time to time, exclusive or limited-time campaigns may be introduced with alternative commission structures or bonus incentives. These campaign-specific commissions will override the standard rates listed above for the duration of the campaign and will be communicated in writing (e.g., via email, partner newsletter, or platform update).

Commissions earned under such campaigns will be subject to the same activation and validation criteria as standard commissions, unless otherwise specified in the campaign terms.

4. Payout Terms

• Payment Provider: Payments are processed by Awin.com according to their standard payout schedule.
• Threshold: A minimum payout threshold may apply depending on your chosen payment method.
• Validation: Commissions are subject to validation against the Lyca Mobile MIS system. Any discrepancies will default to our internal Management Information System ( MIS) as the source of truth.

5. Program Restrictions

Trademark / Brand Bidding

• You may not bid on “Lyca Mobile”,“Lycamobile”, “Lyca mobile”, “Lyca”, “Lycamobile UK”, “Lyca Mobile UK”, “Lyca UK” or any misspelling/variation in search engines, metatags, domains, hidden text, or code.
• You may not pair Lyca trademarks with terms like “% off,” “sale,” or “coupon.”
• You may not bid on competitor trademarks or confusingly similar terms.

Coupon Affiliates

• Only coupon codes explicitly approved in writing by Lyca Mobile may be used.
• Unauthorized coupon promotion will result in immediate forfeiture of commissions.
General Marketing Restrictions
• Prohibited practices: spamming, ad hijacking, fraud, cookie stuffing, commission overwriting, misleading claims, use of Parasiteware™, hidden iframes, forced clicks, or typosquatting.
• Affiliates may not create domains or social handles containing Lyca Mobile trademarks or misspellings.
Violation of any restriction may result in immediate suspension, removal, and loss of unpaid commissions.

6. Trademark Usage

• Trademarks and logos may only be used in approved marketing contexts.
• Trademarks must not be altered, resized disproportionately, or used in ways that imply endorsement.
• The TM symbol must always accompany Lyca trademarks.
• The trade and service mark is Lyca Mobile
• All trademark rights and goodwill remain exclusively with Lyca Mobile.

7. Affiliate Obligations

• All applications are subject to approval and may be re-evaluated at any time.
• Affiliates must maintain their websites and ensure compliance with intellectual property laws.
• Affiliates must comply with all FTC disclosure and advertising guidelines where applicable.
• Affiliates must clearly disclose their commercial relationship with Lyca Mobile when promoting offers.

8. Lyca Mobile Rights & Obligations

• We may monitor affiliate activity, request changes, or suspend accounts that breach terms.
• Fraudulent, misleading, or abusive activity will result in immediate termination and reversal of unpaid commissions.
• We reserve the right to amend these Terms at any time.Any changes will be notified to you and will take effect as specified in such notice.

9. Licenses

Affiliates are granted a non-exclusive, non-transferable, revocable license to use Lyca Mobile’s trademarks, creatives, and tracking links solely for participation in this program. All goodwill generated accrues to Lyca Mobile.

10. Disclaimer & Liability

• Lyca Mobile provides no warranty of uninterrupted or error-free operation.
• Our liability is limited strictly to the total commission fees paid under this Agreement.
• We are not liable for any indirect, incidental, or consequential damages.

11. Indemnification

Affiliates agree to indemnify and hold harmless Lyca Mobile from all claims, damages, liabilities, and expenses resulting from:

• Trademark or copyright infringement.
• Breach of obligations under this Agreement.
• Content or activities on the affiliate’s site(s).

12. Confidentiality

All confidential business, financial, or technical information disclosed must be kept strictly confidential and not shared or used outside the scope of this Agreement.

13. Termination

Either party may terminate this Agreement at any time, with or without cause, by written notice (including email).

14. Governing Law

This Agreement is governed by the laws of England and Wales, without regard to conflict of law rules. The parties agree that the courts of England and Wales have exclusive jurisdiction over any disputes arising under this Agreement.

15. Miscellaneous

• Affiliates are independent contractors, not employees or agents.
• This Agreement constitutes the entire agreement between the parties.
• If any provision is found invalid, the remainder of the Agreement remains enforceable.
