Affiliate Program Terms and Conditions
These Terms and Conditions (the "Agreement") govern your participation in the affiliate program of Balarugs (the "Program," "we," "us," or "our"). By submitting an application to join the Program, you (the "Affiliate," "you," or "your") agree to be bound by this Agreement.
1. Enrollment & Eligibility
To become an Affiliate, you must submit a complete application via the Awin platform. We reserve the right to accept or reject any application in our sole discretion. Approved Affiliates must maintain an active, publicly accessible website or social media channel that aligns with our brand image and values.
2. Commission Structure
Affiliates will earn a commission of 15-20% on the net sales amount (excluding shipping, taxes, fees, refunds, chargebacks, and cancelled orders) of each valid transaction completed via their unique affiliate tracking link. The cookie duration is 30 days. Commissions are subject to validation and will only be paid after the applicable return/refund period has passed.
3. Prohibited Promotion Methods
The following promotional methods are strictly prohibited and will result in immediate removal from the Program, forfeiture of all pending and future commissions, and potential termination of your Awin account:
3.1 Coupon & Discount Code Sites
We do NOT accept coupon sites, discount code aggregators, voucher code websites, or any platform whose primary business model is distributing coupons or promotional codes as Affiliates of our Program. Applications from such sites will be automatically declined. Any attempt to promote our products on coupon, voucher, or discount code aggregator websites using affiliate links is strictly prohibited. We reserve the right to decline commissions on any sales originating from such websites.
3.2 Brand Keyword Bidding (PPC)
Affiliates are strictly prohibited from bidding on any search engine keywords that include our brand name, trademarks, service marks, or any variations, misspellings, or combinations thereof (including but not limited to: "Balarugs", "Balarugs coupon", "Balarugs discount", "Balarugs promo", "Balarugs sale", "www.balarugs.com", and any misspellings of the same). Affiliates must add our brand name and all protected keywords as negative keywords in all paid search campaigns.
Additionally, affiliates are prohibited from:
Using our brand name in ad copy, display URLs, or title tags of paid search advertisements
Direct linking to our website from paid search ads
Bidding on competitor brand names in conjunction with our products
Using any domain that contains or is confusingly similar to our brand name
4. Additional Prohibited Activities
Affiliates shall not engage in any of the following:
Cookie stuffing, forced clicks, or any form of fraudulent or artificial traffic generation
Using unauthorized or expired coupon codes, or codes obtained from non-affiliate channels (e.g., our email newsletters, social media posts, or website)
Purchasing, registering, or bidding on domain names that include our brand name, trademarks, or misspellings thereof
Creating social media accounts, pages, or profiles that impersonate us or use our brand name without authorization
Posting on our official social media channels to drive traffic to their own pages
Promoting our products on any website that contains adult content, violent content, hate speech, illegal activities, or counterfeit goods
Using iframes, pop-ups, pop-unders, or any technique that obscures the origin of traffic
Engaging in any form of typosquatting or cybersquatting
5. Creative & Link Usage
Affiliates must use only the creatives (banners, text links, product feeds, and other marketing materials) provided through the Awin platform. Affiliates may not alter, modify, or manipulate any creative without our prior written consent. Affiliates are encouraged to use dynamic links to ensure promotional materials remain current.
6. FTC Compliance & Disclosures
Affiliates must clearly and conspicuously disclose their material relationship with us in compliance with the Federal Trade Commission (FTC) guidelines and all applicable laws. Disclosures must be placed where consumers can easily find them before clicking on any affiliate link. Failure to provide adequate disclosure constitutes a material breach of this Agreement.
7. Commission Validation & Payment
We reserve the right to decline, reverse, or withhold commissions for any transaction that:
Is cancelled, returned, refunded, or charged back
Results from fraudulent, deceptive, or invalid activities
Uses unauthorized coupon codes or violates any term of this Agreement
Originates from a prohibited promotional method or website type
Commission payments are processed through Awin's standard payment schedule. Any disputes regarding commissions must be submitted within thirty (30) days of the applicable transaction date.
8. Term & Termination
Either party may terminate this Agreement at any time, for any reason, with written notice. We reserve the right to immediately suspend or terminate any Affiliate who violates this Agreement, with forfeiture of all pending and future commissions. Upon termination, Affiliates must promptly remove all links, creatives, and references to us from their websites and marketing channels.
9. Modification of Terms
We reserve the right to modify this Agreement at any time. Changes will be effective upon posting through the Awin platform or via email notice to Affiliates. Continued participation in the Program after such modifications constitutes acceptance of the revised terms.
10. Limitation of Liability
In no event shall we be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, even if advised of the possibility of such damages. Our total liability shall not exceed the total commissions paid or payable to you during the twelve (12) months preceding the claim.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado (or, for non-US advertisers: the laws of England and Wales), without regard to its conflict of laws principles.
