1. Programme Overview These Terms & Conditions govern your participation in the Happy Tooned Affiliate Programme, operated through the Awin affiliate network. By joining the programme, you agree to abide by these terms in full, alongside Awin's own platform terms and conditions.
2. Eligibility The Happy Tooned Affiliate Programme is open to all approved Awin publishers. Happy Tooned reserves the right to approve or reject any affiliate application at its sole discretion, without obligation to provide a reason.
3. Commission Structure
- Commissions are earned on completed, valid sales generated through your unique affiliate tracking link.
- Commission rates are as stated in your Awin dashboard and are subject to change with reasonable prior notice.
- Commissions are tracked from the point of sale and are subject to a validation period before approval.
- No commission is payable on cancelled, refunded, or fraudulent orders.
4. Cookie Duration Affiliate tracking cookies are valid for 30 days from the date of the customer's first click. Sales made within this window will be attributed to the referring affiliate.
5. Approved Promotional Methods Affiliates are permitted to promote Happy Tooned through the following channels:
- Content and review websites
- Social media platforms
- Email marketing (in compliance with applicable laws including GDPR)
- Coupon and deal websites
- Paid search (subject to the conditions outlined in Clause 6)
6. Paid Search Policy
- Affiliates must not bid on Happy Tooned's brand terms, including "Happy Tooned" and "happytooned.com", or any variations or misspellings thereof.
- Affiliates must not use Happy Tooned's brand name or URL as display text in paid search ads.
- Violation of this policy will result in immediate removal from the programme and forfeiture of pending commissions.
7. Voucher & Discount Codes
- Affiliates must only use voucher codes that have been officially issued to them by Happy Tooned.
- Use of unauthorised, expired, or third-party codes is strictly prohibited and may result in commission reversal and programme termination.
8. Creative & Brand Guidelines
- Affiliates must only use approved banners, creatives, and copy available within the Awin dashboard.
- Affiliates must not alter, distort, or misrepresent Happy Tooned's logo, branding, or product imagery.
- Affiliates must not make false or misleading claims about Happy Tooned's products, pricing, or services.
- All content must be accurate, compliant with ASA/FTC guidelines, and clearly disclose the affiliate relationship where required.
9. Prohibited Conduct The following activities are strictly prohibited and will result in immediate removal from the programme:
- Cookie stuffing or any form of fraudulent tracking manipulation
- Incentivised clicks or artificial traffic generation
- Promotion on adult, illegal, discriminatory, or otherwise inappropriate content platforms
- Impersonating Happy Tooned or creating websites that could be confused with the official Happy Tooned website
- Any activity that could damage the reputation or brand integrity of Happy Tooned
10. Commission Validation & Payment
- All commissions are subject to a validation period of 60 days to account for returns and cancellations.
- Approved commissions are paid out in accordance with Awin's standard payment schedule.
- Happy Tooned reserves the right to reverse commissions on orders that are cancelled, refunded, or found to be fraudulent.
11. Programme Changes & Termination
- Happy Tooned reserves the right to modify commission rates, cookie duration, or these Terms & Conditions at any time, with reasonable notice provided via the Awin platform.
- Happy Tooned reserves the right to terminate any affiliate's participation in the programme at any time, with or without cause.
- Affiliates may withdraw from the programme at any time by deactivating their relationship within Awin.
12. Intellectual Property All trademarks, logos, and creative assets remain the intellectual property of Happy Tooned. Affiliates are granted a limited, non-exclusive, revocable licence to use approved materials solely for the purpose of promoting the programme.
13. Liability Happy Tooned accepts no liability for any loss of earnings, indirect damages, or consequential losses arising from participation in the affiliate programme, including any changes to commission rates or programme suspension.
14. Governing Law These Terms & Conditions are governed by and construed in accordance with applicable law. Any disputes arising from participation in the programme shall be subject to the jurisdiction of the relevant courts.
