Program Terms

By promoting IMPROV (“Company”) via Awin, you (“Publisher”) agree to these Program Terms and the Awin Network Terms. If there is a conflict, Awin Network Terms and these Program Terms control. 

1) Program 
Publishers may promote Company’s online defensive driving/traffic school offerings available in Awin. Participation is non-exclusive, subject to ongoing Company approval, and Company may approve, suspend, restrict, or remove Publishers, traffic sources, geographies, channels, or placements consistent with Awin network policies and these Terms & Conditions. 

2) Tracking 
Awin is the system of record for clicks, transactions, and commissioning. Attribution is determined by first channel click within the designated tracking window. Cookie window: 7 days from first click (unless otherwise shown in Awin). Company is not responsible for tracking interruptions caused by modified links, unauthorized formats, ad blockers, or Publisher-side errors.  

3) Commission 

Base rate is 10% of customer transaction unless otherwise agreed in writing. Rate is set within the Awin tracking platform.  Event: a completed, paid enrollment recorded by Company within Awin tracking.  Validation/Reversals: Company may decline/reverse transactions that are refunded, cancelled, charged back, fraudulent, duplicated, non-compliant, or otherwise invalid. Payment timing follows Awin processes.  

4) Compliance 
Publisher must follow all laws, Awin policies, and these Terms (including FTC disclosure). Prohibited (non-exhaustive): fraud/bots, forced clicks, cookie stuffing, misleading redirects, unauthorized incentives, impersonation, deceptive trademark use, or altering approved creative to change meaning.  

5) Claims 
Any claims about insurance discounts, points reduction, DMV/court acceptance, or state approval must be accurate and use qualifiers such as “where applicable/required” and “eligibility varies by state/insurer/court.” Company may require pre-approval of compliance-sensitive messaging. 

6) Search Restrictions 
Unless Company approves in writing, Publishers may not bid on Company trademarks or close variants in paid search, or use deceptive URLs/ads. “Close variants” include misspellings, plural/singular forms, spacing/punctuation changes, phonetic equivalents, abbreviations, and confusingly similar terms (for example, “improv traffic school” or “myimprov”). Publishers may not use Company trademark in paid search unless otherwise approved in writing by Company. 

7) Codes 
Publishers may only promote promo/discount codes provided or approved by Company via Awin. Coupon, loyalty, cashback, browser extension, and deal-site promotion of Company offers is prohibited unless expressly approved in writing by Company.  

8) Creative 
Publishers may use Company-provided creatives/messaging in Awin. Company may request edits/removal of non-compliant placements and Publishers will comply promptly. 

9) Sub-affiliates 
Publisher may not use sub-affiliates without Company’s prior written approval. If approved, Publisher remains fully liable for all sub-affiliate traffic, content, compliance, disclosures, and conduct. 

10) Data 
Publisher is responsible for its own data practices, privacy policy, and consents. Company owns customer data collected on Company properties. Publisher may not collect, use, share, retain, sell, or repurpose customer data except as expressly authorized in writing by Company and permitted by law and Awin policies. 

11) Termination 
Company may suspend/terminate immediately for breach, fraud, non-compliance, or brand/regulatory risk. Upon termination, Publisher must stop using Company marks and remove links/creative. Prior transactions remain subject to validation/reversal. 

12) Governing Law / Disputes 
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute arising from these Terms will be brought exclusively in the state or federal courts located in California, and the parties consent to that venue and jurisdiction. 

13) Marks 
Publisher receives a limited, non-exclusive, revocable license to use Company marks/creative solely to promote this program in compliance with these Terms & Conditions and Awin policies.
