These Affiliate Program Terms & Conditions ("Agreement") are entered into by and between Seentat ("Seentat", "we", "us", or "our") and you, the affiliate ("Affiliate", "you", or "your"). By participating in the Seentat Affiliate Program, you agree to comply with and be bound by the following terms and conditions.
Please review this Agreement carefully before registering for and participating in the Seentat Affiliate Program.
1. Program Enrollment
To join the Seentat Affiliate Program, you must complete and submit the application form through our website or affiliate platform. We reserve the right to approve or decline any application at our sole discretion.
Applications may be rejected if your website or promotional methods:
Contain or promote sexually explicit content
Promote violence
Promote discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age
Promote illegal activities
Infringe upon intellectual property rights of any third party
Are considered inappropriate or inconsistent with the Seentat brand
2. Affiliate Responsibilities
As an Affiliate, you agree to:
Promote Seentat products and services responsibly and ethically
Avoid making false, misleading, or negative statements about Seentat or its products
Use only marketing materials provided or approved by Seentat
Comply with all applicable advertising, marketing, and consumer protection laws
Refrain from sending spam, unsolicited commercial emails, or engaging in unethical marketing practices
Not bid on the keyword "Seentat" or variations of the brand name in paid advertising (including Google Ads or social media ads) without prior written approval
Maintain professional promotional platforms that align with the Seentat brand image
3. Commission Structure
Standard Commission Rate
Affiliates will earn more than 1% commission on the net sale value of eligible purchases.
Commission Calculation
Commissions are calculated based on the net sale value of the order, excluding taxes, shipping fees, and discounts.
Order Dispatch
Commission will only be validated once the order has been dispatched from our warehouse.
Returns & Cancellations
Orders that are returned, cancelled, or refunded will not qualify for commission. If commission has already been paid on such orders, the amount may be deducted from future payouts.
4. Dedicated Affiliate Code
Once approved, you will receive a unique affiliate tracking code or link to promote Seentat products. This code enables accurate tracking of sales generated through your promotional efforts.
It is your responsibility to ensure the correct use of your affiliate tracking link or code in marketing materials.
5. Payment Terms
Payment Frequency
Affiliate commissions are paid monthly, subject to validation of eligible transactions.
Payment Method
Commission payments may be processed through the affiliate network/platform used to manage the program, according to the platform’s payment schedule and policies.
Where applicable, payments may also be made via bank transfer. Affiliates are responsible for providing accurate payment details. Seentat will not be responsible for delayed or failed payments resulting from incorrect information provided by the Affiliate.
Taxes
Affiliates are solely responsible for any taxes, duties, or other governmental charges associated with commissions earned through the Affiliate Program.
6. Tracking and Reporting
Seentat will provide affiliates with access to a dashboard or reporting system where you can track:
Referred sales
Commission earnings
Campaign performance
While we strive to ensure accurate tracking, you acknowledge that tracking systems may occasionally experience minor discrepancies.
7. Term and Termination
Term
This Agreement begins once you are accepted into the Affiliate Program and continues until terminated.
Termination
Either party may terminate this Agreement at any time by providing written notice.
Effect of Termination
Upon termination:
Your right to earn commissions will end immediately
Eligible commissions earned prior to termination will be paid according to the standard payment schedule
You must immediately stop using all Seentat trademarks, branding, and marketing materials
8. Limitation of Liability
Seentat will not be liable for any indirect, incidental, special, or consequential damages arising from participation in the Affiliate Program.
Our total liability under this Agreement will not exceed the total commissions paid or payable to you.
9. Indemnification
You agree to indemnify and hold harmless Seentat, its officers, employees, and partners from any claims, damages, liabilities, or expenses arising from:
Your participation in the Affiliate Program
Your breach of this Agreement
Your violation of applicable laws or third-party rights
10. Modifications
Seentat reserves the right to update or modify these Terms & Conditions at any time. Updated terms may be posted on our website or communicated via email.
Continued participation in the Affiliate Program after updates constitutes acceptance of the revised terms.
11. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.
12. Entire Agreement
This Agreement represents the entire agreement between you and Seentat regarding the Affiliate Program and supersedes any prior agreements or understandings.
By participating in the Seentat Affiliate Program, you confirm that you have read, understood, and agree to these Terms & Conditions.
