Cloqu Advertiser Program Terms & Performance Policy (Awin)
These Cloqu Advertiser Program Terms (“Terms”) govern participation in the Cloqu Affiliate Program operated through the Awin network. Participation in the program constitutes acceptance of these Terms in addition to Awin’s network terms and conditions.
1. Eligibility
The Cloqu Affiliate Program is open to approved Awin network publishers with audiences relevant to Cloqu’s products and services.
All affiliates must:
• Maintain an active and compliant Awin account.
• Adhere to all applicable laws and regulations.
• Comply with Awin’s network terms and policies.
• Operate websites, platforms, or media channels consistent with Cloqu’s brand standards.
Cloqu reserves the right to approve or decline any publisher application at its sole discretion.
2. Commission Structure
Affiliates earn a 30% commission on initial paid subscription signups generated through their unique Awin tracking link.
Commission eligibility is subject to qualification requirements outlined in Section 4 of these Terms.
Commission rates may be reviewed periodically and are subject to modification at Cloqu’s discretion.
3. Payment Terms
All commission payments are processed and distributed exclusively through the Awin network in accordance with Awin’s standard payment schedules, thresholds, and policies.
Affiliates are responsible for maintaining accurate and up-to-date account and payment information within their Awin dashboard.
Cloqu is not responsible for payment delays caused by incomplete or inaccurate Awin account information.
4. Commission Qualification Requirements
A referral qualifies for commission only if all of the following conditions are met:
• The referred user completes a valid paid subscription.
• Payment is successfully processed using a legitimate billing method.
• The subscription remains active for a minimum of 30 days.
• No refund, chargeback, or payment dispute occurs during the validation period.
• The user is not an existing customer in Cloqu’s database.
• The user demonstrates legitimate engagement behavior consistent with genuine use of the platform.
Commissions may be reversed if fraud, refund activity, chargebacks, duplicate accounts, or policy violations are identified after initial approval.
5. Anti-Fraud and Traffic Quality Policy
To protect program integrity and ensure fair compensation for legitimate publishers, the following activities are strictly prohibited.
Affiliates may not:
• Generate self-referrals or create accounts using their own payment methods.
• Submit fake, duplicate, or fabricated user registrations.
• Use stolen, prepaid, temporary, or unauthorized payment methods.
• Deploy bots, scripts, automated traffic systems, or artificial click generation tools.
• Engage in cookie stuffing or forced click tactics.
• Use misleading, deceptive, or false advertising claims.
• Send unauthorized email campaigns, SMS promotions, or spam communications.
• Bid on Cloqu-branded search terms or direct-navigation domains without written authorization.
• Offer undisclosed incentives, rebates, or financial rewards to drive signups.
Coupon, Cashback, and Deal Site Restriction
Affiliates operating coupon, cashback, voucher, rebate, loyalty, or deal aggregation websites are not permitted to participate in the Cloqu Affiliate Program.
This includes, but is not limited to:
• Coupon and promotional code websites
• Discount code directories
• Cashback or rebate platforms
• Loyalty reward sites
• Browser extensions or toolbars that automatically apply coupons or discounts
Affiliates may not:
• Promote Cloqu through coupon listings or discount directories
• Publish or advertise Cloqu coupon codes or promotional codes that have not been explicitly authorized by Cloqu
• Create web pages implying the existence of Cloqu discount codes, voucher codes, or coupon offers
• Use browser extensions, shopping plugins, or automated discount tools to promote Cloqu
Any affiliate identified as operating within these categories may be immediately removed from the program and any associated commissions may be reversed.
Violation of this policy may result in immediate suspension, termination, forfeiture of unpaid commissions, and removal from the program.
6. Fraud Monitoring and Commission Reversals
Cloqu reserves the right to audit traffic sources, conversion patterns, and user activity at any time.
Accounts may be subject to review if:
• Refund rate exceeds 20%
• Chargeback rate exceeds 1%
• First-month cancellation rate materially exceeds platform averages
• Traffic patterns suggest artificial, incentivized, or non-organic acquisition methods
If fraud, abuse, or low-quality traffic is identified:
• Commissions may be withheld or reversed
• Affiliate accounts may be suspended or permanently terminated
• Future participation in the program may be restricted
All determinations regarding traffic quality, fraud, and commission eligibility are made at Cloqu’s sole discretion.
7. Promotional Guidelines
Affiliates must accurately represent Cloqu’s products and services.
Marketing materials should emphasize Cloqu’s core value propositions, including:
• End-to-end encryption and privacy protections
• Multi-model AI capabilities
• Secure AI workspaces and collaboration features
All marketing materials must comply with Cloqu’s branding guidelines as provided within the Awin Advertiser Program portal.
Affiliates may not misrepresent product functionality, pricing, or security features.
8. Content Standards and Conduct
Affiliates must engage only in ethical and lawful marketing practices.
The following are strictly prohibited:
• Spam or unsolicited outreach
• Promotion on inappropriate or unlawful platforms
• Defamatory, misleading, or harmful content
• Content that damages Cloqu’s brand reputation
All promotional activity must comply with Awin’s content standards and applicable advertising regulations.
9. Intellectual Property
Affiliates are granted a limited, non-exclusive, revocable license to use Cloqu’s logos, trademarks, and approved marketing materials solely for promotional purposes within the scope of this program.
All intellectual property rights remain the exclusive property of Cloqu.
Affiliates may not modify, alter, or create derivative branding without written permission.
10. Confidentiality
Affiliates may have access to confidential or non-public information related to Cloqu’s products, marketing strategies, or performance data.
Such information must be treated as confidential and may not be disclosed to third parties without prior written consent.
This obligation survives termination of participation in the program.
11. Term and Termination
Participation in the Cloqu Affiliate Program may be terminated by either party with thirty (30) days written notice.
Cloqu reserves the right to immediately terminate participation in cases involving:
• Fraud
• Policy violations
• Brand damage
• Non-compliance with these Terms or Awin policies
Upon termination:
• Outstanding commissions remain subject to validation and fraud review
• The affiliate must immediately cease use of Cloqu’s intellectual property and marketing materials
12. Modification of Terms
Cloqu reserves the right to modify these Terms at any time.
Updates will be communicated via the Awin platform or email notification.
Continued participation in the program following notice of changes constitutes acceptance of the revised Terms.
Performance-Based Commission and Partnership Clause
Cloqu may, at its sole discretion, offer performance-based commission enhancements, bonuses, or marketing partnership opportunities to select affiliates.
Eligibility for such programs is determined based on:
• Qualified paid signups
• Retention metrics
• Traffic quality
• Overall program compliance
Participation in these incentives is discretionary, and Cloqu reserves the right to modify, suspend, or terminate any performance-based program at any time without prior notice.
Nothing in this agreement guarantees an affiliate any additional commission or partnership opportunity beyond the standard program terms.
Cloqu is operated by Botli LLC, which reserves the right to modify commissions, policies, and program terms at its sole discretion.
