Terms and Conditions for Advertisers (Awin Platform)
These Terms and Conditions (the "Terms") govern the relationship between wenzhou foson machinery corporation (the "Advertiser") and any publisher (the "Publisher") participating in the Advertiser’s program on the Awin platform. By participating in the program, Publishers agree to comply with all provisions set forth below.
1. Cooperation Basis The Advertiser and Publisher shall cooperate based on the scope agreed in the Awin program, including but not limited to promoting the Advertiser’s products/services. The cooperation period shall commence on the date the Publisher is approved to join the program and shall continue until terminated in accordance with these Terms.
2. Commission Rules - Commission Rate: The commission rate for each valid transaction shall be 10%, unless otherwise specified in writing. - Settlement Cycle: Commissions shall be settled on a 30-day basis (in line with Awin’s settlement rules), with the settlement date falling on the 30th day of the following month. - Minimum Payout Threshold: There is no minimum commission amount eligible for payout. All earned commissions will be settled in the regular settlement cycle. - Commission Adjustment: Commissions will be revoked for refunded or cancelled orders. The Advertiser reserves the right to adjust commission rates with 7 days’ prior notice via the Awin platform.
3. Promotion Guidelines - Permitted Channels: Publishers may promote the Advertiser’s products/services through legitimate channels, including but not limited to blogs, social media, email marketing, and content websites. - Prohibited Behaviors: Publishers shall not engage in trademark bidding (including the Advertiser’s brand name or similar terms), malicious click fraud, misleading promotion, or any illegal or unethical promotion activities. Violation of this provision will result in immediate termination of cooperation and forfeiture of all unpaid commissions.
4. Attribution Rules - Click Attribution Window: The attribution window for valid clicks is 30 days. A transaction will be attributed to the Publisher whose click directly leads to the transaction within the attribution window. - Commission Attribution: In case of multiple Publishers promoting the same transaction, the commission shall be awarded to the Publisher with the last valid click (last-click priority), unless otherwise agreed by the Advertiser.
5. Intellectual Property and Brand Guidelines - Publishers are permitted to use the Advertiser’s logos, trademarks, and product materials provided via the Awin platform solely for the purpose of promoting the Advertiser’s products/services. - Publishers shall not alter, modify, or distort the Advertiser’s brand identifiers, and shall cease using all brand materials immediately upon termination of cooperation.
6. Termination and Amendment - Amendment: The Advertiser may amend these Terms from time to time. Any amendments will be notified to Publishers via the Awin platform, and shall take effect 7 days after notification. - Termination: Either party may terminate the cooperation with 14 days’ prior written notice. The Advertiser may terminate the cooperation immediately without notice if the Publisher violates any provision of these Terms. Upon termination, all unpaid commissions (if eligible) will be settled in the next settlement cycle.
7. Liability and Disclaimer - Both parties shall fulfill their obligations in accordance with these Terms. The Advertiser shall not be liable for any loss incurred by the Publisher due to non-compliance with these Terms or illegal promotion activities. - The Advertiser shall not be liable for any delay or failure to perform its obligations due to force majeure (including but not limited to natural disasters, wars, and platform system failures).
8. General Provisions These Terms shall be governed by the laws of the People's Republic of China. Any disputes arising from these Terms shall be resolved through negotiation between the parties; if negotiation fails, either party may submit the dispute to the court with jurisdiction over the Advertiser’s place of business.
