Program Terms (Publisher Terms) — Kai Companion (Awin)

Program: Kai Companion Affiliate Program via Awin ("Program")
Publisher/Affiliate: Participating publishers ("you", "Publisher")
These Program Terms supplement the applicable Awin Standard Terms/Publisher Agreement. In case of conflict, Awin's terms take precedence.

1) Definitions

Qualifying Conversion: A paid subscription to Kai Plus (monthly or yearly) or any other qualifying in-app purchase within the Kai Companion iOS app that can be technically and uniquely attributed to the Publisher (e.g. via Awin tracking and/or connected mobile attribution/postbacks) and has been validated (confirmed) by us. If a conversion cannot be uniquely attributed, no commission is owed.

Net Transaction Value (NTV): Purchase price excluding VAT, after deduction of discounts/promotions. No commission is paid on taxes, refunds, chargebacks, or similar reversals.

Promotional Materials: Logos, copy, creatives, and links provided by us.

2) Commission and Calculation

Commission rate: Commission may be set as a fixed amount per confirmed transaction or as a percentage, as configured in the Awin program settings.
No commission on: Refunds/cancellations, chargebacks, fraud, self-referrals (see Section 5).
Awin tracking data and our validation within the Awin system (including any connected tracking partners/postbacks) are authoritative.

3) Tracking, Attribution, Validation

Tracking: Publishers must exclusively use Awin tracking links/codes or the technical mechanisms provided by Awin.
Validation: Transactions initially appear as "pending" and are confirmed or rejected by us within the validation period.
Basis for review: Our internal data and platform data (Awin) are authoritative in determining whether a sale is eligible for commission.

4) Permitted Advertising

We permit all legal and fair advertising methods that generate conversions, including:

Content (articles, reviews, comparisons, guides), social media, influencer marketing, video content

Newsletter/email marketing (opt-in consent required)

Display/native/retargeting, shopping ads, communities/forums

Important: All advertising must comply with applicable laws at all times (e.g. consumer protection, imprint requirements, disclosure as "ad/affiliate", data protection/GDPR/ePrivacy).

5) Prohibited Practices

Despite our liberal approach, the following are not permitted and will result in transaction rejection and/or program exclusion:

Reputational harm: Defamatory, degrading, hateful, or extremist content in connection with Kai Companion/Ka.I Health.

Misleading claims: False promises (e.g. "free", "official", "government-recommended", "guaranteed", medical claims), fake testimonials, manipulated reviews. Kai Companion is a safety app, not a medical or emergency service, and must not be positioned as such.

Spam and malware/fraud: Unsolicited bulk emails, adware, toolbars, cookie dropping, bots, unauthorized incentivization/manipulation.

Self-referral and abuse: Purchases through your own link, purchases by employees/affiliated persons for the purpose of earning commission, test/fake transactions.

Incentives/cashback (limits): Permitted only if transparent, not misleading, and without fake coupons or "unofficial" discount claims. No methods that violate applicable law or Awin rules.

Legal violations: Breaches of data protection, copyright, trademark, or competition law, etc.

6) Brand and Rights Usage

Permitted: Use of our brand name for factual promotion (e.g. in copy/reviews) and use of provided promotional materials.
Not permitted without written consent: Use of our brand in domains/subdomains, app names, social handles, or in a way that creates the impression of being an "official" account.
No risk of confusion: Your presence must not appear as though you are Ka.I Health or acting "officially" on our behalf, unless that is the case.

7) PPC/SEA and Brand Bidding

Principle: PPC/SEA is permitted, including brand keywords, provided that:

Ads are not misleading (in particular, no terms such as "official", "support", "customer service", "hotline", "contact", etc., unless true)

Our brand is not misused in the display URL or as a domain/account name

No legal violations, spam, malware, or fraud are involved

8) Refunds, Chargebacks, Cancellations

In the event of refunds, cancellations, or chargebacks, commission will be rejected or reversed. Commission is paid exclusively for finalized, valid conversions.

9) Communication, Support, Promotional Materials

We may provide promotional materials and update program information. Publishers are responsible for always using the most current and accurate information.

10) Amendments, Suspension, Termination

We may amend these Program Terms at any time with effect for the future (e.g. commission rates, rules, promotional materials).
In the event of violations, we may warn, suspend, or exclude Publishers and reject transactions.

11) Liability and Relationship of the Parties

Publishers act as independent contractors. No partnership or employment relationship is created. Publishers bear responsibility for their own advertising activities, content, and legal compliance.

12) Governing Law and Jurisdiction

German law applies. The place of jurisdiction, to the extent permitted by law, is the registered office of Ka.I Health GmbH.
