These Affiliate Programme Terms & Conditions (“Terms”) govern participation in the The Glass Fabric Company Affiliate Programme (“Programme”). By applying to or participating in the Programme, you (“Affiliate”, “you”) agree to these Terms.
1. Definitions
Company / We / Us: The Glass Fabric Company, 22 Coventry Road Lutterworth, Leicestershire, LE17 4RB, United Kingdom
Affiliate: An individual or entity approved to promote the Company
Affiliate Link: A unique tracking link provided to the Affiliate
Commission: A percentage or fixed amount paid for qualifying sales
Qualifying Sale: A completed purchase that meets the Programme criteria
2. Eligibility & Approval
2.1 Participation is subject to approval at our sole discretion.
2.2 We may reject or remove any Affiliate without obligation to provide a reason.
2.3 You must be at least 18 years old to participate.
3. Affiliate Obligations
Affiliates agree to:
Promote the Company in a lawful, ethical, and truthful manner
Clearly disclose affiliate relationships where required by law (e.g. “This post contains affiliate links”)
Comply with all applicable laws, including advertising, consumer protection, and data protection laws
Ensure that all promotional content is accurate and not misleading
4. Prohibited Activities
Affiliates must not:
Make false, misleading, or exaggerated claims about our products or services
Engage in spam, unsolicited marketing, or deceptive practices
Use paid search ads bidding on our brand name without written permission
Imitate our branding, domain names, or social media profiles
Use cookies, tracking, or scripts that artificially generate commissions
Promote content that is illegal, offensive, or harmful
5. Commission Structure
5.1 Commission rates are outlined on the Affiliate Programme page or agreed separately.
5.2 Commissions are earned only on Qualifying Sales tracked via your Affiliate Link.
5.3 Self-referrals are not permitted unless explicitly agreed in writing.
5.4 We reserve the right to change commission rates with reasonable notice.
6. Payment Terms
6.1 Payments are made monthly, subject to:
A minimum payout threshold of £1
A validation period to allow for refunds or chargebacks
6.2 Payments are made via the Awin platform.
6.3 You are responsible for any taxes due on commissions received.
7. Returns, Refunds & Fraud
7.1 Commissions will be reversed for refunded, cancelled, or fraudulent transactions.
7.2 We reserve the right to withhold payments where fraud or abuse is suspected.
8. Intellectual Property
8.1 We grant Affiliates a limited, non-exclusive, revocable licence to use approved marketing materials.
8.2 All trademarks, logos, and intellectual property remain our property.
8.3 You must stop using all materials immediately upon termination.
9. Termination
9.1 Either party may terminate participation at any time with or without notice.
9.2 Upon termination:
Outstanding valid commissions will be paid in the normal payment cycle
Any breach may result in forfeiture of unpaid commissions
10. Limitation of Liability
To the maximum extent permitted by law:
We are not liable for indirect, incidental, or consequential losses
Our total liability shall not exceed the total commission paid to you in the previous 12 months
11. Relationship of the Parties
Nothing in these Terms creates:
An employment relationship
A partnership or joint venture
Affiliates act as independent contractors.
12. Amendments
We may update these Terms at any time. Continued participation after changes constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of England & Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England & Wales.
