Upskillist Trial CPA Payout Terms & Conditions for Publishers
These Terms and Conditions govern commission payments made by Upskillist to approved publishers and affiliate partners promoting Upskillist trial offers.
1. Eligible CPA Event
Upskillist will pay the agreed Cost Per Acquisition (CPA) to publishers for each qualified trial user who:
- Registers for an Upskillist trial via the publisher’s approved tracking link; and
- Completes the trial sign-up process with a valid credit or debit card.
The CPA amount payable will be the rate agreed between Upskillist and the publisher or specified within the affiliate network platform.
2. Trial Validation Requirements
To qualify for a CPA payout, the trial user must:
- Provide valid registration details
- Submit a valid credit/debit card during signup
- Successfully activate the Upskillist trial account
Upskillist reserves the right to validate all registrations prior to confirming commission payments.
3. Cancellation Within Trial Period
The agreed CPA payout will not be paid if a trial user:
- Cancels their Upskillist account within the first 7 days of the trial period, or
- Requests account deletion before the trial period has ended.
Such sign-ups will be classified as non-qualified trial users.
4. Failed Payment After Trial
Upskillist will not pay CPA commission for trial users where:
- The first billing attempt after the 7-day trial fails, including but not limited to insufficient funds, invalid payment details, or blocked transactions.
Only trials that successfully progress to a valid billing attempt will be considered eligible for CPA payout.
5. Fraud Prevention
Upskillist reserves the right to withhold commission payments for any sign-ups that are determined to be:
- Fraudulent
- Duplicate accounts
- Generated through incentivised, misleading, or non-compliant promotional methods
- Generated using fake, disposable, or invalid payment details
Upskillist’s determination of fraudulent activity shall be final.
6. Commission Approval & Payment Timing
All trial sign-ups are subject to validation and approval by Upskillist before commission is paid.
Commission payments will be processed according to the payment schedule of the AWIN platform or direct agreement with the publisher.
Upskillist may reverse previously approved commissions if a trial is later identified as invalid or fraudulent.
7. Modification of Terms
Upskillist reserves the right to amend these Terms and Conditions at any time. Updated terms will apply to all future trial sign-ups following notification to publishers.
8. Final Authority
Upskillist retains the right to make final decisions regarding the eligibility of CPA payouts and validation of trial sign-ups.
Upskillist Commission/Revenue Share Payout Terms & Conditions for Publishers on the AWIN platform
These Terms & Conditions apply to all publishers participating in the Upskillist affiliate programme via the AWIN platform. By promoting Upskillist offers through AWIN, publishers agree to the following commission structure and validation rules.
1. Commission Structure
Upskillist offers publishers a revenue share commission of 20% of the subscription fee generated from qualified users referred through a publisher’s tracked AWIN link.
Commission will be calculated based on the net subscription revenue received by Upskillist following the trial period.
2. Eligible Commission Event
Commission will only be payable when the following conditions are met:
- A user signs up for an Upskillist trial through the publisher’s valid AWIN tracking link
- The user completes registration and provides valid credit or debit card details
- The user does not cancel the account during the trial period
- The user successfully converts into a paid subscription after the trial
Only conversions that result in a successful paid subscription transaction will qualify for commission.
3. Trial Period Conditions
Upskillist offers a 7-day trial period.
Commission will not be paid where:
- The trial user cancels their account within the first seven (7) days, or
- The account is deleted before the trial period ends.
Such sign-ups will be classified as non-converting trial registrations and will not qualify for commission.
4. Failed or Declined Payments
Commission will not be paid where the first billing attempt after the trial period fails, including but not limited to:
- Insufficient funds
- Invalid or expired card details
- Payment declined by the issuing bank
- Blocked or rejected transactions
Only successful subscription payments will qualify for the 20% revenue share commission.
5. Revenue Share Basis
The 20% commission will be calculated based on the actual subscription revenue received by Upskillist, excluding:
- Taxes (including VAT or sales tax)
- Refunds or chargebacks
- Transaction fees or processing fees where applicable
6. Fraud, Abuse & Non-Compliant Traffic
Upskillist reserves the right to decline, reverse, or withhold commission payments where traffic or registrations are deemed to involve:
- Fraudulent activity
- Duplicate accounts
- Fake or disposable payment details
- Misleading advertising practices
- Unauthorized incentivisation
- Traffic that violates the policies of the Awin
Upskillist’s determination regarding fraudulent or non-compliant activity will be final.
7. Commission Validation & Payment
All transactions are subject to validation and approval by Upskillist.
Approved commissions will be processed in accordance with the AWIN payment schedule and validation timelines.
Upskillist reserves the right to reverse previously approved commissions if transactions are later identified as invalid, refunded, or fraudulent.
8. Programme Changes
Upskillist reserves the right to update commission rates, programme rules, or these Terms & Conditions at any time in accordance with AWIN programme policies.
Publishers will be notified of material changes through the AWIN platform.
9. Final Authority
Upskillist retains the right to make the final determination regarding the validity of referrals, conversions, and commission payments under the Upskillist affiliate programme.
