Welcome to the CHASING ROV Affiliate Program (“Program”). By participating in the Program, you (“Affiliate” or “you”) agree to be bound by the following terms and conditions (“Agreement”). Please read them carefully before applying or promoting CHASING products.
CHASING (“we,” “us,” or “Merchant”) reserves the right to update or modify these terms at any time, with notice provided via email or the Affiliate Program dashboard.
1. Definitions
“Affiliate”: An individual or entity approved to promote CHASING products in exchange for commissions.
“Merchant”: CHASING, the owner of https://www.chasing.com and provider of underwater ROVs and related accessories.
“Program”: The CHASING Affiliate Program, managed through our affiliate platform.
“Tracking Link”: A unique URL or code provided to Affiliates to track clicks, sales, or leads.
“Transaction Value”: The net sale amount of a completed purchase, excluding taxes, shipping, and additional fees, unless otherwise specified.
2. Enrollment
2.1. To join the Program, you must submit a complete application via our affiliate platform. We reserve the right to approve or reject any application at our sole discretion.
2.2. Affiliates must be at least 18 years old, provide accurate legal and contact information, and maintain an active website, blog, or social media presence aligned with CHASING’s brand values.
2.3. Approved Affiliates will receive access to an Affiliate dashboard containing Tracking Links, promotional materials, and performance reports.
3. Commission Structure
3.1. Affiliates earn a commission on the Transaction Value of each valid sale generated through their Tracking Link. Commission rates are defined within the Affiliate platform and may vary by product or campaign.
3.2. Transaction Value excludes:
Value-Added Tax (VAT), sales tax, or other applicable taxes
Shipping or delivery charges
Payment processing or transaction fees
3.3. Commissions are paid only on completed transactions that are paid, shipped, and not returned, refunded, or canceled within the applicable return period.
3.4. The Program operates on a last-click attribution model, meaning only the Affiliate whose Tracking Link was last clicked prior to purchase will receive commission credit.
4. Payment Terms
4.1. Commissions are paid monthly, subject to the minimum payout threshold set within the Affiliate platform. Earnings below the threshold will roll over to the next payment cycle.
4.2. Payments are issued via the payment methods supported by the affiliate platform (e.g., bank transfer or PayPal). Affiliates are responsible for maintaining accurate payment details.
4.3. Affiliates are solely responsible for any taxes, duties, or fees related to commission payments and must comply with all applicable tax regulations.
5. Promotional Guidelines
5.1. Affiliates may use approved banners, text links, and product images provided through the Affiliate dashboard. Unauthorized use of CHASING trademarks, logos, or intellectual property is strictly prohibited.
5.2. The following promotional methods are prohibited:
Bidding on CHASING trademarks or misspellings in paid search advertising
Using Tracking Links in spam, misleading promotions, pop-ups, or cookie-stuffing
Promoting CHASING products on websites containing illegal, deceptive, offensive, or adult content
5.3. Affiliates must clearly disclose their affiliate relationship in compliance with applicable laws and regulations (e.g., FTC guidelines), such as using “#ad” or “affiliate link.”
5.4. Affiliates may not promote unauthorized coupons, rebates, or incentives unless explicitly provided or approved by CHASING.
6. Tracking and Reporting
6.1. All sales and commissions are tracked through the Tracking Link and the affiliate platform. CHASING’s tracking data shall be the sole basis for commission calculations.
6.2. Affiliates may access performance reports, including clicks, sales, and commissions, via the Affiliate dashboard.
6.3. Transactions resulting from fraud, chargebacks, self-referrals, or violations of this Agreement are not eligible for commissions.
7. Intellectual Property
7.1. CHASING retains all rights, title, and interest in its trademarks, logos, product images, and other intellectual property. Affiliates are granted a limited, non-exclusive, revocable license to use approved materials solely for Program purposes.
7.2. Affiliates may not alter, modify, or create derivative works of CHASING materials without prior written consent.
7.3. Upon termination of this Agreement, Affiliates must immediately remove all CHASING-related promotional materials from their platforms.
8. Termination
8.1. Either party may terminate this Agreement at any time with written notice.
8.2. CHASING may suspend or terminate an Affiliate account immediately for:
Violation of this Agreement or brand guidelines
Fraudulent or deceptive activity
Extended inactivity or failure to maintain a valid promotional channel
8.3. Unpaid commissions may be forfeited if termination results from a breach of this Agreement.
9. Liability and Indemnification
9.1. CHASING’s liability is limited to the commissions earned by the Affiliate within the twelve (12) months preceding any claim.
9.2. Affiliates agree to indemnify and hold harmless CHASING from any claims arising from their promotional activities, including misrepresentation or unauthorized use of intellectual property.
9.3. The Program is provided “as is” without warranties of any kind, express or implied.
10. Modifications
10.1. CHASING reserves the right to modify this Agreement at any time. Changes will be communicated via email or the Affiliate dashboard.
10.2. Continued participation after the notice period constitutes acceptance of the revised terms. Affiliates who do not agree may terminate their participation.
11. Governing Law
11.1. This Agreement shall be governed by and construed in accordance with the laws of the applicable jurisdiction where CHASING operates, without regard to conflict-of-law principles.
11.2. Any disputes arising from this Agreement shall be resolved through arbitration or courts of competent jurisdiction, as determined by CHASING.
