Program Terms

De:Part Denim Affiliate Program Terms and Conditions

This Affiliate Service Agreement (the “Agreement”) is made by and between De:Part Denim, and you (“Affiliate”) utilizing the AWIN service (“the service”). As part of this Agreement, you agree to adhere to the following Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not use this Site or any related services. De:Part Denim reserves the right to update these terms at any time.

Program Scope & Relationship

This Agreement allows the Affiliate to promote De:Part Denim products via approved channels in exchange for a commission on valid sales. This relationship is that of an independent contractor; nothing in this agreement creates a partnership, joint venture, agency, franchise, or employment relationship. De: Part Denim reserves the right to terminate an Affiliate’s participate in the program at any time, with or without cause.

Enrollment & Site Standards

To participate, you must be an active member of the [Awin/ShareASale] network. De:Part Denim reserves the right to reject or remove any Affiliate whose website contains or promotes:

  • Adult Content: Sexually explicit materials.
  • Hate Speech: Discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • Illegal Activities: Gambling, violence, or illegal substance promotion.
  • Non-English Content: Any page containing our links must be written in English (unless granted specific exception).

Creative & Content Usage

  • Official Feed Only: Affiliates must utilize links and images provided via the De:Part Denim Product Feed or the Affiliate Portal.
  • No Scraping/Copying: You are strictly prohibited from taking content (images, copy, pricing) directly from departdenim.com if it is not present in the Product Feed. This protects our intellectual property and ensures you are not displaying out-of-stock items.
  • No "Hardcoding": Affiliates may not "hardcode" banners. You must use the dynamic code provided. This ensures that when we update a seasonal campaign (e.g., swapping "Spring Sale" for "Summer Sale"), the creative on your site updates automatically.
  • Modifications: You may not alter, crop, or manipulate any creative assets provided without written consent.

Voucher, Coupon, and Cashback

De:Part Denim strictly regulates the use of coupon codes to protect brand value. Violation of this section may result in immediate suspension, termination, and/or forfeiture of pending commissions.

  • Authorized Codes Only: Affiliates may only promote voucher codes that are officially provided through the Affiliate Network.
  • Prohibition on "User Generated" Content: Promoting non-existent, expired, or unauthorized codes (e.g., "click to see code") to generate clicks is strictly prohibited.
  • Fake Codes: Displaying "invented" codes or codes intended for other channels (e.g., "Use code INSTA20") to generate clicks is prohibited.

Commissions, Payments & Returns

  • Commission Validation: Commissions will be listed as "Pending" until the De:Part Denim Return Window has closed (typically 45–60 days).
  • Returns Clawback: If a customer returns an item, the commission for that sale will be reversed.
  • Payment Window: Payments are processed on the next scheduled day (1st or 15th of the month) following the validation period.

Fraud & Desktop Advertising

  • Desktop Schemes: "Desktop" advertising schemes, adware, malware, or forced pop-unders are strictly prohibited.
  • Cookie Stuffing: Any use of robots, iframes, scripts, or manual "refreshing" of pages to set a tracking cookie without a conscious click by the user is defined as fraud.

Search Engine Optimization (SEO)

  • SEO Rankings: You may not optimize pages to rank for brand-specific terms (e.g., "De:Part Denim Official Site") or use the brand name in domain names (e.g., www.depart-discounts.com).

Search Engine Marketing (SEM) / PPC Policy

De:Part Denim maintains a strict closed PPC policy. Affiliates are not permitted to bid on brand terms.

  • Closed PPC Policy: Bidding on "De:Part Denim," "DePart," or any misspellings/variations in Google Ads, Bing, or other paid search engines is strictly prohibited.
  • No Direct Linking: Affiliates are not permitted to link PPC ads directly to the De:Part Denim website. Traffic must be directed to the Affiliate’s landing page first.
  • Negative Keywords: You must add "De:Part Denim" and its variations as Negative Keywords in your paid search campaigns.

Email Marketing Policy

  • Prior Approval: All email marketing campaigns involving De:Part Denim must be submitted to the Affiliate Manager for written approval prior to deployment.
  • Compliance: All emails must comply with the CAN-SPAM Act of 2003 (and GDPR where applicable), including functioning unsubscribe links and physical mailing addresses.

FTC Disclosure Requirements

  • Mandatory Disclosure: In accordance with the Federal Trade Commission (FTC) Guides Concerning the Use of Endorsements and Testimonials in Advertising, Affiliates must clearly and conspicuously disclose their financial relationship with De:Part Denim on all pages where affiliate links appear (e.g., "This post contains affiliate links”).
  • Liability: Failure to comply with FTC guidelines may result in immediate termination from the program.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any legal proceedings arising out of or relating to this Agreement shall be conducted in the courts located in Los Angeles County, California.
