Insect Shield (US)

These Affiliate Program Terms & Conditions (“Agreement”) are entered into by and between Insect Shield, LLC (“Insect Shield”, “we”, “us” or “our”) and you, the affiliate (“Affiliate”, “you” or “your”). This Agreement governs your participation in the Insect Shield Affiliate Program hosted through the Awin affiliate network (“Program”).

By participating in the Program, you agree to be bound by these terms, the Awin Publisher Terms & Conditions, and all policies of Awin.

1.1. Application: To join the Program, you must apply through the Awin network. Participation is at our sole discretion.

1.2. Agreement Binding: Upon acceptance by Insect Shield and Awin, this Agreement becomes legally binding.

1.3. Awin Terms: You must also comply with Awin’s Publisher Terms & Conditions and the general Awin Program policies.

2.1. “Affiliate Link” means a unique tracking URL provided to you via Awin that identifies traffic and sales referred by you.

2.2. “Commissionable Purchase” means a sale of eligible Insect Shield products made by a customer who clicked your Affiliate Link where all conditions (cookie tracking, order completion, product returned status) are satisfied under this Agreement.

3.1. You agree to promote Insect Shield products ethically and in compliance with applicable laws, including truth-in-advertising standards.

3.2. Affiliates must not engage in bidding on branded terms in search engines or use coupon sites without written permission.

3.3. You will not use misleading promotional claims about products or promotions.

3.4. You may not place Affiliate Links in unsolicited emails, spam, or on sites promoting hate, violence, or illegal activity.

3.5. You will safeguard confidential information and not disclose our proprietary materials without permission.

4.1. Commission Rate: Affiliates earn a commission based on the rate specified in the Awin program listing for Insect Shield. This may include tier structures or special bonus rates.

4.2. Attribution and Tracking: Commissions are valid only for sales that can be tracked through Awin’s tracking system.

4.3. Cookie Duration: The cookie duration and attribution period are defined by the settings on the affiliate campaign within Awin.

4.4. Payment Terms: Commissions are paid by Awin in accordance with its payment schedule and minimum thresholds. Insect Shield is not responsible for payment delays once Awin has confirmed the fees.

4.5. Refunds & Chargebacks: If an order is returned, refunded, or charged back, the associated commission will be reversed or deducted.

5.1. Insect Shield grants a limited, non-exclusive, revocable license to use approved Insect Shield trademarks, logos, and promotional assets for the sole purpose of promoting products in accordance with this Agreement.

5.2. You must not modify our creative assets or use them in a way that damages the brand.

6.1. Term: This Agreement begins when you are accepted into the Program and continues until terminated.

6.2. Termination: Either party may terminate this Agreement at any time, with or without cause, by written notice or through Awin.

6.3. Upon termination, you must remove all Affiliate Links and cease representing yourself as an affiliate of Insect Shield.

7.1. You represent that you will comply with all applicable laws, rules, and regulations regarding your performance under this Agreement.

7.2. Insect Shield makes no warranties about results or sales from the Program.

IN NO EVENT WILL INSECT SHIELD BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS AGREEMENT OR THE PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Insect Shield may amend these terms at any time by posting the updated Agreement on the Insect Shield/Awin Program page. Continued participation constitutes acceptance of any revisions.

This Agreement shall be governed by the laws of the State of North Carolina (without regard to conflict of laws principles).
