1. Parties & Purpose
This Commission Agreement (the “Agreement”) is entered into between Hugmoom Curtains (hereafter “Brand”), a brand specializing in custom curtains, pillows, and quilts, accessible at https://hugmoomcurtain.com/, and the Partner (hereafter “You”). The purpose is to define the terms for commission-based collaborations aimed at promoting HUgmoom products and driving customer referrals to the Brand’s website.
2. Commission Structure
- Commission Rate: 15% of the total order value (excluding taxes, shipping, and discounts) generated through your referral links or promotional efforts.
- Applicable Collaborations:
- Product videos (free custom samples may be provided by Hugmoom for video creation).
- Blog articles or written content.
- Distribution of discount codes to direct customers to the Hugmoom website.
- Any other promotional formats mutually agreed upon, excluding paid reviews or fabricated testimonials.
- Fixed-Fee Arrangement: For selected high-performing partners, a fixed-fee collaboration may be offered. Content must be submitted for approval by HugMoom and published within 15 days of approval. Fees will be assessed individually based on scope, reach, and deliverables.
3. Partner & Customer Benefits
- Partner Support: To enhance your promotional effectiveness, Hugmoom offers:
- 20% discount codes for your audience/customers.
- Complimentary design consultation for your referred customers.
- Customer Access: Referred customers can explore HUgMoom’s offerings, including Free Swatches, Customization Options (e.g., pleat count, hem width adjustments), and Cozyology design consultations without obligation.
4. Referral & Tracking Mechanism
- You will receive unique tracking links or discount codes. Commissions are tracked only for sales completed using these designated links/codes.
- Sales must occur within 90 days of the customer’s initial click/referral.
5. Payment Terms
- Commissions are paid within 30 days after the end of the month in which the referred order is shipped and paid in full.
- Payments made via bank transfer or PayPal. Invoices must be submitted by the Partner if required.
6. Content Guidelines & Approval
- All promotional content must accurately represent HUgMoom products and brand values.
- For fixed-fee collaborations: content requires prior written approval from HUgMoom and must be published within 15 days of approval.
- Hugmoom reserves the right to reject content that is misleading, offensive, or inconsistent with brand standards.
7. Brand Rights & Protections
- HUgMoom retains all intellectual property rights to its brand name, website content, product designs, and marketing materials.
- The Brand may terminate this agreement if the Partner engages in fraud, misrepresentation, or fails to comply with these terms.
- HUgMoom is not liable for any indirect damages arising from the Partner’s promotional activities.
8. Governing Law & Amendments
- This Agreement shall be governed by laws applicable in the United States, with preference for amicable dispute resolution.
- Terms may be updated with written notice to the Partner. Continued collaboration implies acceptance of revised terms.
