These Affiliate Program Terms & Conditions (“Agreement”) govern participation in the Chado Tea Affiliate Program (“Program”) operated by Chado Tea (“Chado,” “we,” “our,” or “us”) through the Awin affiliate network.
By applying to or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to comply with this Agreement and all applicable Awin terms and policies.
1. Program OverviewThe Chado Tea Affiliate Program allows approved affiliates to earn commissions by promoting Chado Tea products, tea experiences, and related offerings through approved digital channels, including websites, blogs, email newsletters, and social media platforms.
Participation in the Program is subject to approval and ongoing compliance with this Agreement.
2. Affiliate Enrollment & Eligibility2.1 Application Process
To participate in the Program, you must complete and submit an application through Awin. Submission of an application does not guarantee acceptance into the Program.
Chado Tea reserves the right to approve, reject, suspend, or terminate any application or affiliate account at its sole discretion.
2.2 Ineligible Websites & Content
Affiliates may not operate or promote content that:
- Contains sexually explicit, violent, hateful, discriminatory, defamatory, or illegal material
- Promotes discrimination based on race, religion, gender, nationality, disability, age, or sexual orientation
- Infringes on trademarks, copyrights, or intellectual property rights
- Promotes illegal activity
- Contains malware, spyware, adware, deceptive redirects, or harmful software
- Includes “Chado Tea,” “Chado,” or confusingly similar variations in a domain name, social handle, or website name
- Misrepresents itself as Chado Tea or an official Chado Tea entity
Chado Tea reserves the right to determine suitability at its sole discretion.
3. Affiliate ResponsibilitiesAffiliates agree to:
- Accurately represent Chado Tea products and brand messaging
- Use only approved creatives, links, and promotional materials provided through Awin or directly by Chado Tea
- Maintain compliance with all applicable laws, advertising regulations, and FTC disclosure requirements
- Clearly disclose affiliate relationships where required by law
- Ensure all content remains current, accurate, and aligned with Chado Tea brand standards
Affiliates are solely responsible for the operation, maintenance, and legal compliance of their websites, channels, and marketing activities.
4. Commission Structure & Payments4.1 Commission Eligibility
Affiliates earn commissions on qualifying purchases tracked through Awin using approved affiliate links.
Commission rates, attribution windows, cookie durations, and payout schedules are determined within the Awin platform and may be updated periodically.
4.2 Exclusions
Commissions will not be paid on:
- Taxes
- Shipping fees
- Refunded or canceled orders
- Fraudulent transactions
- Self-referrals or unauthorized purchases
- Orders using unauthorized coupon codes
4.3 Payment Processing
All commission tracking, reporting, and payments are processed through Awin. Affiliates are responsible for reviewing and complying with Awin’s payment policies and thresholds.
5. Promotional Guidelines5.1 Approved Promotions
Affiliates may promote Chado Tea using:
- Editorial content
- Blog features
- Tea, wellness, lifestyle, and hosting-related content
- Email newsletters (with prior approval where required)
- Organic social media content
- Approved influencer collaborations
5.2 FTC & Advertising Compliance
Affiliates must comply with all applicable advertising and consumer protection laws, including FTC Endorsement Guidelines and disclosure requirements.
Examples include:
- “#ad”
- “#affiliate”
- “Commission may be earned through qualifying purchases”
6. Prohibited ActivitiesAffiliates may not:
- Engage in spam, unsolicited email marketing, or deceptive advertising
- Use cookie stuffing, forced clicks, hidden iframes, pop-ups, pop-unders, or automatic redirects
- Use malware, toolbars, adware, “Parasiteware™,” or intrusive software
- Impersonate Chado Tea or falsely imply official partnership or employment
- Promote unauthorized coupon codes or discounts
- Generate fraudulent leads, clicks, or transactions
- Use bots, scripts, or automated systems to generate traffic or commissions
- Bid against Chado Tea branded search terms in PPC advertising
- Use misleading claims regarding products, ingredients, wellness benefits, or pricing
Violation of these terms may result in immediate removal from the Program and forfeiture of unpaid commissions.
7. PPC & Trademark Policy7.1 Restricted Keywords
Affiliates may not bid on trademarked or branded terms including, but not limited to:
- “Chado Tea”
- “Chado”
- “Chado Tea Room”
- “ChadoTea”
- “ChadoTea.com”
- Misspellings or variations of these terms
7.2 PPC Restrictions
Affiliates may not:
- Use Chado Tea trademarks in ad copy, display URLs, or extensions
- Direct-link PPC traffic to Chado Tea websites
- Outrank or compete against Chado Tea branded campaigns
- Use deceptive redirects or landing pages
7.3 Permitted PPC
Non-branded keywords related to tea, gifting, hosting, wellness, and tea experiences may be permitted, provided they do not violate this Agreement.
Examples:
- “Luxury tea gift set”
- “Afternoon tea gifts”
- “Loose leaf tea”
- “Premium matcha”
- “Tea hosting essentials”
8. Coupon & Promotional Code PolicyOnly coupon codes officially issued or approved by Chado Tea through Awin may be promoted.
Affiliates may not:
- Promote expired or fake coupon codes
- Scrape coupon websites
- Create misleading “discount” offers
- Offer unauthorized cashback or incentives
Orders associated with unauthorized promotions may be voided from commission eligibility.
9. Intellectual PropertyChado Tea grants Affiliates a limited, non-exclusive, revocable, non-transferable license to use approved logos, banners, trademarks, and marketing assets solely for participation in the Program.
All intellectual property rights remain the exclusive property of Chado Tea.
Affiliates may not:
- Modify approved brand assets without written approval
- Register domains or social handles using Chado Tea trademarks
- Create websites or content designed to imitate Chado Tea
10. Social Media & Influencer GuidelinesAffiliates and creators promoting Chado Tea on social media must:
- Clearly identify themselves and not impersonate Chado Tea
- Follow FTC disclosure requirements
- Maintain content aligned with Chado Tea’s brand standards and values
- Avoid misleading health or wellness claims
Chado Tea reserves the right to request removal or modification of content that does not align with the brand.
11. Fraud PreventionFraudulent activity includes, but is not limited to:
- Fake transactions
- Self-purchases for commission generation
- Automated clicks or traffic
- Cookie stuffing
- Traffic laundering
- Use of bots or scripts
- Unauthorized promotional methods
Chado Tea reserves the right to reverse commissions, suspend accounts, or permanently terminate participation in cases of suspected fraud.
12. Term & TerminationEither party may terminate this Agreement at any time, with or without cause, by written notice.
Upon termination:
- All rights to use Chado Tea intellectual property cease immediately
- Outstanding commissions may be withheld pending fraud review
- Affiliates must remove all Chado Tea promotional materials and links
13. DisclaimerChado Tea makes no guarantees regarding:
- Affiliate earnings
- Website availability
- Product availability
- Program continuity
The Program is provided “as is” without warranties of any kind.
14. Limitation of LiabilityTo the fullest extent permitted by law, Chado Tea shall not be liable for indirect, incidental, consequential, or special damages arising from participation in the Program.
Chado Tea’s total liability under this Agreement shall not exceed the total commissions paid to the Affiliate during the preceding twelve (12) months.
15. IndemnificationAffiliate agrees to indemnify and hold harmless Chado Tea, its affiliates, officers, employees, directors, and agents from any claims, liabilities, damages, losses, or expenses arising from:
- Affiliate marketing activities
- Breach of this Agreement
- Violation of applicable laws
- Infringement of third-party rights

16. ConfidentialityAny non-public business, technical, financial, or marketing information shared by Chado Tea shall be considered confidential and may not be disclosed without prior written consent.
17. Independent Contractor RelationshipAffiliates are independent contractors and are not employees, representatives, agents, or partners of Chado Tea.
Nothing in this Agreement creates any partnership, joint venture, employment, or agency relationship.
18. Governing LawThis Agreement shall be governed by and interpreted under the laws of the State of California, without regard to conflict of law principles.
Any disputes arising under this Agreement shall be resolved in the courts located in Los Angeles County, California.
19. Modification of TermsChado Tea reserves the right to update or modify these Terms & Conditions at any time.
Continued participation in the Program after modifications constitutes acceptance of the updated terms.
