Program Terms

Advertiser Program Terms & Conditions — Multi Chic LLC

Advertiser / Merchant: Multi Chic LLC/ MultiChic.com


1. Definitions

1.1 “Awin” means the affiliate network operator facilitating the Program and providing tracking, reporting and payments.

1.2 “Advertiser” means the Merchant named above.
1.3 “Publisher” (aka affiliate) means a person or entity approved to promote Advertiser’s products through the Awin network.


1.4 “Commission” means the fee payable to a Publisher for an Approved Transaction as set out in the Program settings.


1.5 “Approved Transaction” means a sale tracked via Awin and approved by Advertiser (after any return/refund/chargeback period).
1.6 “Program” means Advertiser’s affiliate program hosted on the Awin network.

2. Program participation & approval

2.1 Publishers must apply to join the Program via the Awin platform; Advertiser may accept or refuse applications at its sole discretion. 
We may cancel your application if we determine that your site is unsuitable for our Program, including if it:


2.1.1. Promotes sexually explicit materials

2.1.2. Promotes violence

2.1.3. Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age

2.1.4. Promotes illegal activities

2.1.5. Incorporates any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law

2.1.6. Includes " Multi Chic " or variations or misspellings thereof in its domain name

2.1.7. Is solely a coupon aggregator or deal site

2.1.8. Is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to us in our sole discretion.

2.1.9. Contains software downloads that potentially enable diversions of commission from other affiliates in our program.

2.1.10. You may not create or design your website or any other website that you operate, explicitly or implied in a manner which resembles our website nor design your website in a manner which leads customers to believe you are Multi Chic or any other affiliated business.


2.2 Advertiser may set additional Program rules (coupon use, PPC bidding rules, content rules) in the Program settings; Publishers must comply.
2.2.1. Affiliates may only promote approved Multi Chic-issued coupon codes that are provided through the Affiliates Program platform. Coupon codes obtained from any other source including our Multi Chic website are not allowed.


3. Commission, tracking and payment

3.1 Commission structure: 7% on net order value. Commission is NOT applicable for amounts collected for sales tax, shipping or credit for returned goods.
3.2 Commissions are calculated on Approved Transactions tracked by Awin according to the Program’s tracking settings and the definitions in Awin’s Access Agreement. 
3.3 Cookie/window: 30 days.
3.4 Awin’s tracking and anti-fraud measures control which conversions are “Approved”; Advertiser must review reports promptly and follows Awin’s dispute/approval workflows. Note: Awin’s platform may implement specific initiatives (e.g., conversion protection, anti-fraud rules) that affect approval.

3.5 Payment to Publishers is managed by Awin per its payment terms; Advertiser is responsible for funding the program with Awin.

4. Refunds, cancellations, chargebacks

4.1 Commissions are payable only on Approved Transactions. Advertiser may withhold, clawback, or cancel Commission for returns, cancellations, refunds, fraudulent orders, or chargebacks in accordance with Awin reporting windows and the Program’s stated policy.

4.2 Advertiser will notify Awin of any adjustments within the platform’s required timeframe; Awin’s reporting and reconciliation rules apply.

5. Marketing, creatives and permitted activity

5.1 Advertiser grants Publishers a limited, revocable license to use Program creatives, banners and approved trademarks only as provided in the Program creative pack.

5.2 Prohibited activities: Publishers may not:
• use misleading or unlawful marketing tactics;
• create trademark-infringing PPC/ad campaigns or bid on restricted keywords: such as Multi Chic (including misspellings or variations of Multi Chic);
• use coupon codes in violation of Advertiser policy;
• manipulate tracking (cookie-stuffing, click-inflation) or otherwise attempt to gain illegitimate Commission.

5.3 Publishers may not engineer its site in such a manner that it pulls internet traffic away from the Multi Chic Site. This includes, without limitation, directly purchasing traffic (such as, for example, in a manner that artificially leads to ad clicks), or "keyword stuffing" such as using terms in hidden or live text that is meant to attract search engine spiders in order to determine higher relevancy or rank than the Multi Chic Site

5.4 Influencer/paid-social disclosure: Publishers must comply with local consumer protection and disclosure laws when their content includes paid/promotional material.

6. Data protection & privacy

6.1 Each party will comply with applicable data protection laws. Awin’s privacy policy and any joint-controller arrangements apply to the processing of publisher and conversion data. Advertiser will provide required privacy notices to customers where applicable.

7. Intellectual property

7.1 Advertiser retains all IP rights in its marks, content and product listings. Publishers may only use IP in the form and manner provided through the Program (e.g., creative packs).
7.2 Advertiser warrants it has the right to license the supplied creatives and content.
7.3 We grant to you a non-exclusive, non-transferable, revocable right to (i) access our site through HTML links solely in accordance with the terms of this Agreement and (ii) solely in connection with such links, to use our logos, trade names, trademarks, and similar identifying material (collectively, the "Licensed Materials") that we provide to you or authorize for such purpose. You are only entitled to use the Licensed Materials to the extent that you are a member in good standing of the Multi Chic Affiliate Program. You agree that all uses of the Licensed Materials will be on behalf of Multi Chic and the good will associated therewith will inure to the sole benefit of Multi Chic.

7.4 Each party agrees not to use the other's proprietary materials in any manner that is disparaging, misleading, obscene or that otherwise portrays the party in a negative light. Each party reserves all of its respective rights in the proprietary materials covered by this license. Other than the license granted in this Agreement, each party retains all right, title, and interest to its respective rights and no right, title, or interest is transferred to the other.

 

8. Confidentiality

8.1 The parties shall keep confidential any non-public business, technical, or financial information obtained through the Program and shall not disclose such information except to the extent required by law or permitted under Awin’s role in reporting.

9. Warranties, liability & indemnity

9.1 Each party warrants that it has authority to enter the Program.

9.2 Advertiser warrants products/services comply with applicable laws.

9.3 Limitation of liability: Advertiser will not be liable to Publisher/Affiliate with respect to any subject matter of this agreement under any contract, negligence, tort, strict liability or other legal or equitable theory for any indirect, incidental, consequential, special or exemplary damages (including, without limitation, loss of revenue or goodwill or anticipated profits or lost business), even if we have been advised of the possibility of such damages. Further, notwithstanding anything to the contrary contained in this agreement, in no event shall Multi Chic's cumulative liability to Publisher/Affiliate arising out of or related to this agreement, whether based in contract, negligence, strict liability, tort or other legal or equitable theory, exceed the total commission fees paid to Publisher/Affiliate in the 6 months preceding any claim under this agreement.

10. Termination and suspension

10.1 Advertiser or a Publisher may suspend or terminate the Publisher’s participation per the Awin platform workflows. Advertiser may suspend payment where fraud or serious policy breaches are suspected.

10.2 On termination, outstanding Approved Commissions will be paid according to Awin’s payment rules; disputed or clawed-back Commissions remain subject to adjustment.

11. Changes to terms

11.1 Advertiser may update these Program Terms; changes will be posted in the Program and (where required) a notification will be issued to Publishers. Awin’s own platform terms and Access Agreement govern how Program changes are applied and the priority of network terms. Where Awin’s Access Agreement specifies priority, that agreement will prevail over any conflicting Advertiser terms. Please note - this program operates with a 7 day closure notice period.


12. Governing law & jurisdiction

12.1 These Program Terms shall be governed by the laws of the State of Jersey, without regard to its conflict of laws rules, and the laws of the United States of America. Any action relating to this Policy or your participation in the Affiliates Program must be brought only in the federal or state courts located in New Jersey and you irrevocably consent to the jurisdiction of such courts.


13. Miscellaneous

13.1. You agree that you are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Multi Chic. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on Your Site or any other of Your Site or otherwise, that reasonably would contradict anything in this Section.

 

13.2. Neither party may assign its rights or obligations under this Agreement to any party, except to a party who obtains all or substantially all of the business or assets of a third party.

 

13.3. This Agreement shall be governed by and interpreted in accordance with the laws of the State of New Jersey. Both parties agree and hereby submit to the exclusive personal jurisdiction and venue of the federal or state courts of the State of New Jersey with respect to any and all disputes arising from this agreement. In any successful action brought by us to enforce this Agreement, you agree that you will pay our reasonable costs including reasonable attorney fees.

 

13.4. You may not amend or waive any provision of this Agreement unless in writing and signed by both parties.
