rini Affiliate Program Terms & Conditions

Welcome to The Kids at Heart Inc. dba Rini Affiliate Program (the “Program”), operated by The Kids at Heart Inc. dba Rini LLC (“we,” “our,” or “us”).

These Terms and Conditions outline how the Program works and describe the expectations and responsibilities of all participating affiliates (“you”). By enrolling in the Program through Awin (formerly ShareASale), you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Joining the Program

To join, you must apply through Awin. We review each application and may accept or reject any applicant at our discretion — for example, if your website or content doesn’t align with our brand or these Terms.

2. How You Earn Commissions

- You’ll earn 10% of each qualified sale that comes through your Awin affiliate link.

- A “qualified sale” means a customer who clicks your tracking link and completes a purchase within 30 days.

- Commissions are tracked and managed through Awin.

- Payments are made by Awin monthly, according to their payout schedule and minimum balance policies.

If an order is canceled, refunded, or marked as fraudulent, we may reverse the commission.

3. Affiliate Responsibilities

You agree to:

- Only use approved Awin tracking links and creatives.

- Promote rini honestly: no misleading claims about our products, offers, or company.

- Follow all Awin, FTC, and GDPR rules about disclosure and data privacy.

- Clearly disclose your affiliate relationship when posting content (for example: “I may earn a commission if you buy through my link.”)

You must NOT:

- Bid on or use rini branded terms (or misspellings) in paid search campaigns.

- Use spam, forced clicks, or any deceptive means to get traffic.

- Post rini links or content on adult, hate-based, or partisan political websites.

- Misrepresent yourself as rini or our employee.

4. Intellectual Property

We grant you a limited, non-exclusive right to use our logos, images, and product information only for promoting rini through the Program. You may not modify our materials or use them in any misleading or defamatory way.

5. Term and Termination

You may leave the Program at any time by closing your Awin account. We may end your participation at any time, with or without cause. Common reasons include policy violations, misuse of links, or brand harm. When the Program ends, you’ll stop using our name, logo, and links immediately.

6. Compliance and Conduct

You must comply with:

- All applicable laws and regulations (including advertising and privacy laws).

- Awin’s Network Policies and Terms of Service.

- FTC endorsement and disclosure guidelines.

We reserve the right to audit affiliate activities to ensure compliance.

7. Limitation of Liability

We’re not liable for indirect, special, or consequential damages (like lost profits). Our total liability under these Terms will never exceed the total commissions you earned in the last 3 months.

8. Independent Relationship

You’re an independent contractor — not an employee, agent, or partner of rini. You can’t make promises or commitments on our behalf.

9. Governing Law

These Terms are governed by the laws of the State of California, and any disputes will be handled in the courts of Los Angeles County, CA.

10. Changes to These Terms

We may update these Terms from time to time. If we do, we’ll post the revised version on Awin or our website. Your continued participation means you accept the updated Terms.
