Program Terms

YouScribe Affiliate Program – Terms and Conditions (Canada)

Please read these Terms and Conditions carefully before participating in the YouScribe Affiliate Program (“the Program”).

These Terms constitute a binding agreement between you (“the Affiliate”) and YouScribe (“the Brand”).

Where YouScribe appoints an authorized third party to manage the Program, this delegated authority may act on behalf of the Brand to enforce these Terms. However, such delegated authority shall not be held liable for disputes, obligations, or actions between the Affiliate and the Brand.

By joining the YouScribe Affiliate Program, you agree to the following:

1. Approval Required Before Any Marketing Activity

Your acceptance into the Program does not constitute approval to begin promotional activity.
You must first obtain written authorization from YouScribe, specifying:

Proposed marketing methods

Campaign duration

Partners or subcontractors involved

Points of contact

Channels used

Ad copy, visuals, and creative formats

Audience targeting

Compliance with GDPR and applicable Canadian privacy laws (e.g., PIPEDA)

No marketing activity may begin without this written consent.

2. Consequences of Breach

Any breach of these Terms will result in:

Decline of all pending commissions

Reversal of all previously approved commissions

Obligation to refund any commissions already paid

Waiver of any legal or network-based dispute rights

Decisions taken by YouScribe in this context are final.

3. Responsibility for Marketing Standards

You are fully responsible for ensuring that all marketing, advertising, and promotional activities meet YouScribe’s brand, compliance, and quality standards.
Your personal or internal guidelines do not override YouScribe’s official requirements.

If in doubt, you must request clarification or approval in writing.

4. Responsibility for Third Parties

If you collaborate with third parties, subcontractors, or partner networks, you remain fully liable for their actions.

You must disclose:

Their identity

Their marketing methods

Planned campaigns

Any breach committed by them will be treated as if committed by you.

5. Prohibited Practices

The following are strictly prohibited:

Bots or automated interactions

AI-generated fraudulent traffic

Click fraud or fake engagement

Cookie stuffing

Fake traffic or incentivized traffic

Misrepresentation, manipulation, or any dishonest practice

Any activity YouScribe deems fraudulent will result in full cancellation and refund of commissions, regardless of timeframe.

6. Approval of Marketing Materials

All marketing materials—including ad copies, visuals, banners, videos, landing pages—must be pre-approved by YouScribe or its authorized delegate.

The use of:

Scraping tools

Toolbars

Browser extensions

Code-harvesting tools

is strictly forbidden.

7. Promotional Access and Obligations

If YouScribe provides free access, a promotional code, a gift, or any complimentary product, you must produce favorable promotional content within 14 days.

Failure to do so may result in YouScribe invoicing you for the full retail value of the provided product or service.

8. Email Marketing Compliance

Email marketing is only allowed when using double opt-in, legally compliant data.

You are solely responsible for ensuring compliance with:

GDPR (if applicable)

Canadian Anti-Spam Legislation (CASL)

All relevant data protection laws

You agree to assume full responsibility for any penalties, fines, or damages arising from non-compliance.

9. Paid Search and Advertising Restrictions

Paid search activity—including PPC, brand bidding, and bidding on variations or misspellings of “YouScribe”—is prohibited unless explicitly approved in writing.

Additionally, the following require full pre-approval:

Display campaigns

Retargeting

Native advertising

Comparison or review marketing

Full transparency regarding assets, targeting, and ad copy is mandatory.

10. Coupons, Vouchers, and Cashback

You may not publish or promote:

Coupon codes

Vouchers

Cashback offers

Discount claims

without explicit written authorization from YouScribe.

Unauthorized or misleading promotional incentives will be treated as a breach of contract.

11. Disputes Regarding Declined Transactions

Any dispute regarding a declined transaction must include supporting documentation and must be submitted within 5 business days of the decline.

After this period, no claims will be accepted.

YouScribe’s decision is final and binding.

12. Professional Representation

You agree to represent YouScribe professionally and with integrity.
Any activity that may harm YouScribe’s brand, reputation, or partners will constitute a breach.

13. Insertion Orders (IOs) and Invoicing

For any paid media activity, a valid Insertion Order (IO) signed by both parties is required.

No agreement, payment request, or compensation will be processed without a properly executed IO.

Invoices must be submitted within 90 days of the end of the campaign.
Requests submitted after this deadline will be automatically rejected.

14. Payment and Contractual Scope

All payments and commercial agreements are directly between you and YouScribe.
No third party—including affiliate networks or delegated authorities—shall be liable for payments or contractual obligations.

15. Interpretation of Terms

Typographical or grammatical errors in these Terms may not be used to dispute, reinterpret, or justify actions that would otherwise constitute a breach.
