PHROZEN AFFILIATE PROGRAM – TERMS & CONDITIONS
This document sets out the Terms and Conditions for participation in the Phrozen Affiliate Program via Awin’s network.
By checking this box, you agree to comply with these programme-specific terms and conditions.
i) You acknowledge that you are contracting with Awin, and that no direct contractual relationship exists between you and Phrozen Technology Co., Ltd. (“Phrozen”).
ii) Awin grants you, as a contracted affiliate, a non-exclusive, non-transferable, and non-sublicensable licence for the duration of the Affiliate Agreement to use and reproduce the Phrozen Marks solely for the purpose of placing authorised ad links on your approved affiliate sites.
iii) Awin and/or Phrozen reserve the right to terminate this programme at any time for any reason.
Please note – this programme operates with a seven (7) day closure notice period.
iv) Upon termination, you must immediately remove and permanently delete all Phrozen materials, ad links, creatives, and other intellectual property, and cease any further use of Phrozen trademarks, designs, or assets.
v) The term of your affiliate participation and the licence under (ii) shall not exceed the term of the agreement between Awin and Phrozen, and will automatically terminate upon expiration or termination of that agreement.
vi) You must not use or promote any Phrozen coupon or promotion code that has not been officially provided through Awin. Early publication of embargoed codes or campaigns will result in commission forfeiture.
vii) Your affiliate site(s) must not contain or promote any illegal, infringing, misleading, or inappropriate content, including but not limited to:
- Discriminatory, pornographic, hateful, or violent material;
- Promotion of alcohol, tobacco, drugs, or gambling irresponsibly;
- Religious or politically partisan content;
- Copyright-infringing or deceptive practices; or
- Content otherwise deemed unsuitable by Phrozen.
viii) You may only use ad links, banners, and creatives supplied through Awin. Direct use of Phrozen’s official URLs (e.g., phrozen3d.com) is prohibited without prior written authorisation.
ix) You must not modify or create self-designed creatives, banners, or advertisements featuring Phrozen products without written approval from Phrozen or Awin.
x) You agree to use only promotional materials, assets, and creatives supplied through Awin, and to follow any placement, tracking, or disclosure guidelines issued by Phrozen.
xi) You shall not bid, without written permission, on any Phrozen brand names, product names (e.g., Sonic, ARCO), or similar variations in any pay-per-click (PPC), paid social, or shopping campaigns. Phrozen terms must not appear in ad copy, headlines, meta-tags, or display URLs.
xii) You must comply with all instructions from Awin and Phrozen regarding use of the ad links and marks, and may not remove or obscure any Phrozen copyright, trademark, or brand notices.
xiii) You acknowledge that all intellectual property rights in the Phrozen Marks, products, creatives, and websites remain the exclusive property of Phrozen. You gain no ownership rights other than the limited licence granted for programme participation.
xiv) You agree to comply with all applicable laws and industry regulations, including but not limited to:
– The FTC Endorsement Guidelines;
– GDPR/ePrivacy requirements; and
– CAN-SPAM and related marketing disclosure laws.
You must not mislead consumers or send unsolicited communications.
xv) Awin or Phrozen may audit your promotional activities at any time to verify compliance. You must provide requested traffic, placement, or campaign details within a reasonable timeframe. Failure to comply may result in suspension or termination.
xvi) You may not assign, transfer, or sublicense any rights or obligations under this Agreement without written consent from Awin and Phrozen.
xvii) You agree to maintain confidentiality regarding all materials, documents, and data marked or reasonably understood to be “Confidential.”
xviii) Commissions are validated and paid through Awin according to its standard payout schedule. Canceled, refunded, or fraudulent orders are ineligible. Phrozen may apply a validation period of up to 60 days.
xix) Phrozen reserves the right to modify commission rates, cookie duration, and other programme terms with notice via Awin. Continued participation constitutes acceptance of such updates.
xx) Toolbars, adware, browser extensions, or forced redirects inserting affiliate links are prohibited. Cashback, incentive, or coupon-stacking activities require prior written approval.
xxi) The use of the affiliate channel for dropshipping or reseller activity is prohibited. Such transactions will be declined and commissions voided.
xxii) You must comply with all local and international advertising and consumer protection standards, including environmental and data-handling policies where applicable.
xxiii) Phrozen’s total liability under this Agreement shall not exceed the total commissions paid to you in the preceding six (6) months. Phrozen shall not be liable for indirect, consequential, or punitive damages.
xxiv) Breach of these Terms may result in immediate suspension, forfeiture of pending commissions, and permanent removal from all Phrozen affiliate programmes.
