This Affiliate Service Agreement (“Agreement”) is made and entered into by and between Anne Barge (“Company,” “we,” “us,” or “our”) and you, the Affiliate (“Affiliate,” “you,” or “your”), utilizing AWIN (Affiliate Window) as the affiliate network and service provider.
By registering and participating in our Affiliate Program through AWIN, you agree to abide by the terms and conditions set forth in this Agreement. If you do not accept these terms, you may not participate in the Program.
1. Enrollment
To begin enrollment, you must submit an affiliate application through AWIN. We reserve the right to approve or reject any application at our sole discretion.
2. Affiliate Responsibilities
As an Affiliate, you agree that you will:
- Promote Anne Barge products and brand in a professional, ethical, and brand-consistent manner.
Use only approved links, banners, and creative assets provided by Anne Barge through AWIN.
No pretending to be “official” or misrepresenting affiliation and show adverts on competitors' brands or images.
No misleading claims or false advertising.
We reserve all the right for the final explanation of the PPC terms and conditions.
Not engage in misleading, false, or illegal advertising practices, including but not limited to spamming, cookie stuffing, or unauthorized coupon distribution.
- Maintain compliance with all applicable laws, regulations, GDPR/CCPA privacy rules, and FTC disclosure requirements (e.g., clearly stating “this post includes affiliate links”).
- Not pretend to be “official,” misrepresent affiliation, or advertise alongside competitor brands or imagery in a misleading way.
3. PPC Advertising Guidelines
For PPC advertising, you must adhere to the following terms:
- You may not bid on any Anne Barge trademarked terms, including variations, misspellings, or trademarks combined with categories, countries, or languages, on search or content networks (Google, Bing, Yahoo, etc.).
You may not bid on prohibited keywords in any country worldwide. - You may not use any Anne Barge trademarks or misspellings in your website domain (e.g., “AnnBarge,” “AnneBargeBride”).
- You may not use Pop-Ups, Pop-Unders, intrusive ad formats, or cookie stuffing techniques.
- You may not misrepresent yourself as “official” or mislead users through false affiliation.
- You may not use misleading claims, deceptive advertising, or false representations.
We reserve the right to final interpretation and enforcement of these PPC terms and conditions.
4. Discount Code / Voucher Code Policy
- Affiliates must not display invented, expired, or unauthorized discount codes.
Affiliates must not display discount codes intended for other channels or publishers.
Affiliates may not use iFrames or any hidden methods to drop cookies on users’ browsers.
Affiliates may only promote coupon codes officially issued through the Anne Barge affiliate channel.
Violations will result in immediate termination of your participation in the program and voiding of any unpaid commissions.
5. Corresponding Measures
If prohibited actions are identified:
- You will be notified by email and required to stop the action immediately.
You must confirm in writing when the action has ceased.
Continued violations may result in termination of your participation in the Affiliate Program, forfeiture of commissions, and possible legal action.
6. Commissions and Payments
- Commission rates, payment thresholds, and schedules are determined and managed by AWIN.
You will earn commissions only on qualifying purchases tracked and reported by AWIN’s system.
We are not responsible for any tracking errors or payment delays caused by AWIN.
7. Term and Termination
- This Agreement begins upon your acceptance and continues until terminated by either party.
You may terminate your participation at any time by notifying us or AWIN in writing.
We may terminate your participation immediately if you breach this Agreement, engage in fraudulent activity, or harm the reputation of Anne Barge.
Upon termination, you must immediately remove all affiliate links, banners, and references to Anne Barge.
8. Intellectual Property
- Anne Barge grants you a limited, non-exclusive, revocable right to use our trademarks, logos, and creative materials solely for participation in the Affiliate Program.
- You may not alter, modify, or misuse any Anne Barge intellectual property.
9. Limitation of Liability
- We make no express or implied warranties with respect to the Affiliate Program or the products sold.
We are not liable for indirect, incidental, or consequential damages arising in connection with this Agreement or the Program.
10. Independent Contractor Relationship
You are acting as an independent contractor. Nothing in this Agreement creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Anne Barge.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to conflict of law principles.
12. Modifications
We may update or modify this Agreement at any time. Continued participation in the Affiliate Program after notice of changes constitutes acceptance of the revised terms
13. Entire Agreement
This Agreement, along with AWIN’s applicable terms and policies, constitutes the entire agreement between you and Anne Barge regarding participation in the Affiliate Program.
