PLEASE READ THIS AFFILIATE PROGRAM AGREEMENT CAREFULLY.
This is a contract between you (the “Affiliate”) and Internet Media Group Limited T/A Localists. ("IMG" or "us") and its wholly or partially owned affiliates. It describes how we will work together and other aspects of our business relationship.
The Affiliate Programme Agreement applies to your participation in our Affiliate Programme (the “Affiliate Programme”). These terms are so important that we cannot have you participate in our Affiliate Programme unless you agree to them.
We periodically update these terms. We might also choose to replace these terms in their entirety if, for example, the Affiliate Programme changes or ends. If we update or replace the terms, we will let you know via electronic means, which may include an in-app notification or by email. If you do not agree to the update or replacement, you can choose to terminate your agreement with immediate effect.
Definitions
“Affiliate Programme” means our affiliate programme as described in this Agreement.
“Affiliate Lead” means a customer prospect (Consumer and/or Service Professional) who clicks on the Affiliate Link that we have made available to you via the Affiliate Tool.
“Affiliate Link” means the unique tracking link you place on your site or promote through other channels.
“Affiliate Policies” means the policies applicable to affiliates which we may make available to you from time to time.
“Affiliate Tool” means the tool that we make available to you upon your acceptance into the Affiliate Programme and for you to use to participate in the Affiliate Programme.
"Agreement" means this Affiliate Programme Agreement and all materials referred or linked to in here.
“Commission” means an amount described in the Affiliate Tool (or if applicable, in the Programme Policies) for each Customer Transaction.
“Consumer” means consumers who submit can submit a request for services
“Customer” means the authorised actual user purchased or signed up for Localist products after being an Affiliate Lead.
“Customer Transactions” means those transactions by Affiliate Leads that are eligible for Commission.
"Customer Data" means all information that Customer submits or collects and all materials that Customer provides.
"Localist Content" means all information, data, text, software, photographs, graphics, images, and tags that we incorporate into our services.
“Service Professional” means service providers in our targeted sectors
"We", "us", “our” means Internet Media Group T/A Localists.
“You” and “Affiliate” means the party, other than Localists, entering into this Agreement and participating in the Affiliate Programme.
Non-Exclusivity
This Agreement does not create an exclusive agreement between you and us. Both you and we will have the right to recommend related products and services of third parties and to work with other parties in connection with the design, sale, installation, implementation and use of similar services and products of third parties.
Affiliate Acceptance
Once you complete an application to become an Affiliate, we will review your application and notify you whether you have been approved to participate in the Affiliate Programme, or not.
Before we accept an application, we may want to review your application with you, so we may reach out to you for more information. If we do not notify you that you have been accepted to participate in the Affiliate Programme within thirty (30) days from your application, your application is considered to be rejected.
If you have been accepted to participate in the Affiliate Programme, then upon notification of acceptance, the terms and conditions of this Agreement shall apply in full force and effect, until terminated, pursuant to the terms set forth below. Further, you will need to complete any enrolment criteria set out in the Programme Policies Page, if applicable. Failure to complete any enrolment criteria within thirty (30) days of your acceptance will result in the immediate termination of this Agreement and you will no longer be able to participate in the Affiliate Programme.
Your acceptance and participation in the Affiliate Program do not mean that you will be accepted into any of our Partner Programmes. To participate in these programmes, you will need to apply in accordance with the relevant application procedure.
You will always comply with the terms and conditions of this Agreement, including any applicable Programme Policies.
Customer Transactions
1. Affiliate Program Limits. Each accepted Affiliate Lead will expire according to the information provided in the Affiliate Tool (or if applicable, in the Program Policies) from the date the Affiliate Lead clicked on the Affiliate Link that was made available by you. We will pay you Commission as described in the Affiliate Tool for each new Customer who completes an approved lead after clicking on an Affiliate Lead made available by you, if you remain eligible to receive Commission pursuant to the terms of this Agreement.
2. Eligibility. To be eligible for Commission
Service Professionals
(i) a Service Professional Affiliate Lead is generated from an Affiliate Link that (ii) results in a complete and confirmed Affiliate Lead via our online Service Professional Sign Up page on www.localists.com and they create a complete profile and that (iii) results in the purchase of Credit Pack to enable them to purchase leads. Only transactions that meet all three criteria will be eligible for commission.
Consumers
(i) an Affiliate Lead must be accepted and validated (ii) a Customer Lead Submission must have occurred, (iii) a customer must hire an approved supplier during the approved lead timeframe. Only transactions that meet all three criteria will be eligible for commission.
3. You are not eligible to receive Commission or any other compensation from us based on transactions for Other Products. or if the Commission payment has been obtained by fraudulent means, misuse of the Affiliate Link, in violation of any Affiliate Programme Policies that we make available to you, misuse of the Affiliate Tool or by any other means that we deem to breach the spirit of the Affiliate Programme. We may discontinue Commission payments should any of the eligibility criteria set forth fail to be met at any time.
4. Acceptance and Validity. You will only be eligible for a Commission payment for any Customer Leads that derived from Affiliate Leads generated by the Affiliate Link that we make available to you and are accepted by Localists. An Affiliate Lead will be considered valid and accepted if, in our reasonable determination: (i) it is a new potential customer of ours, and (ii) is not, at the time of submission or sixty (60) days prior, one of our pre-existing customers, or involved in our active sales process. Notwithstanding the foregoing, we may choose not to accept an Affiliate Lead in our reasonable discretion. An Affiliate Lead is not considered valid if it’s first click on the Affiliate Link is after this Agreement has expired or terminated. Engagement with Prospects. Once we have received the Affiliate Lead information, we may elect to engage with the prospect directly, regardless of whether the Affiliate Lead is valid. If an Affiliate Lead is not valid then we may choose to maintain it in our database and we may choose to engage with such Affiliate Lead. Any engagement between Localist and an Affiliate Lead will be at Localist’s discretion.
5. Commission and Payment. In order to receive payment under this Agreement, you must have: (i) agreed to the terms of this Agreement (generally completed through the Affiliate Tool); (ii) completed all steps necessary to create your account in the Affiliate Tool in accordance with our directions, (iii) have a valid and up-to-date payment method in the Affiliate Tool with such account (iv)
completed any and all required tax documentation in order for the Affiliate Tool to process any payments that may be owed to you.
6. Commission Payment. We or the Affiliate Tool will determine the currency in which we pay the Commission, as well as the applicable conversion rate. We will not pay more than one Commission payment or other similar referral fee on any given Customer Transaction (unless we choose to in our discretion). Taxes. You are responsible for payment of all taxes and fees (including bank fees) applicable to the Commission. All amounts payable by us to you are subject to offset by us against any amounts owed by you to us. We reserve the right to alter or change the Commission amount as per the Affiliate Tool, with 30 days’ notice.
PPC
Pay-Per-Click (PPC) Advertising is eligible for this programme across applicable advertising platforms such as Google Ads and Microsoft Ads, as well as Social Media platforms.
Restrictions
Affiliates are explicitly restricted from using the following terms in PPC advertising, use of any of these terms in advertising will result in removal from the Affiliate Programme.

· Fence, Fences and Fencing
· Gates and Gating
· Landscapers and Landscaping
· Gardeners and Gardening
· Artificial Grass, Artificial Turf and Artificial Lawns
· Patio and Patios
Affiliates are explicitly restricted from using the following geographical areas in PPC advertising, use of any of these areas in advertising will result in removal from the Affiliate Programme.
· Merseyside
· Greater Manchester
· Manchester
· Cheshire
· North Wales
TRANSACTIONS
Service Professionals
A transaction as defined by this agreement is when (i) a Service Professional Lead is generated from an Affiliate Link that (ii) results in a complete and confirmed Affiliate Lead via our online Service Professional Sign Up page on www.localists.com and they create a complete profile and that (iii) results in the purchase of Credit Pack to enable them to purchase leads. Only transactions that meet all three criteria will be eligible for commission.
Consumers
A transaction as defined by this agreement is when (i) a Customer Lead is generated from an Affiliate Link that (ii) results in a complete and confirmed Affiliate Lead via our online Lead Form on www.localists.com and that (iii) results in the hiring of a service via our platform within 60 days of the Affiliate Lead being submitted. Only transactions that meet all three criteria will be eligible for commission.
BRANDING
Advertisers on this Affiliate Programme may only use assets provided directly by Localists in the AWIN system to advertise Localists. These may include Logos, Banners, Headers, Footers and bespoke content we produce for specific requirements. Advertisers may not use stock imagery alongside our provided assets.
COMMISSION
Commission will be paid on all approved and verified transactions at the following rates;
Service Professionals
10% commission on confirmed Transactions
Consumers
10% commission on confirmed Transactions
NOTICE PERIODS
For any changes to commission rates and programme terms, Localists will provide 30 days’ notice before any changes commence, in accordance with AWIN procedures.
Localists will provide 30 days’ notice of removal from the Affiliate Programme to any advertisers we deem as not suitable or in a market we do not wish to associate with.
If terms of this agreement are broken, we reserve the right to remove Advertisers from this agreement with immediate effect.
