RVNG Couture — AWIN Affiliate Terms & Conditions
Effective Date: Upon your acceptance into the RVNG Couture affiliate program via AWIN (“Effective Date”)
This Agreement (the “Agreement”) is entered into by and between RVNG Couture (“Merchant”, “we”, “us”) and you as an Affiliate (“you”, “your”). By participating in the AWIN affiliate program for RVNG Couture, you agree to be bound by these Terms & Conditions.
1. Enrollment & Eligibility
1.1 You must apply to and be accepted by RVNG Couture (in its discretion) through the AWIN network before promoting our brand.
1.2 You represent and warrant that you have the full authority to enter this Agreement, and that your participation will comply with all applicable laws, advertising regulations, and industry standards.
1.3 We reserve the right to reject your application or suspend your participation at any time, with or without cause, at our sole discretion.
2. Affiliate Obligations & Promotional Rules
2.1 Use of Links & Creatives
a. You must use the tracking links, banners, creatives, or codes provided via AWIN and only as approved by us.
b. You may not alter, mask, or obfuscate any tracking parameters.
c. Deep links (links directly to products) are permitted, provided they use AWIN-generated tracking codes.
2.2 Trademark & Branding Use
a. You may only use our brand names, logos, or trademarks in the form and format provided and only for the purpose of promoting RVNG Couture within this program.
b. You may not impersonate, supplant, or misrepresent RVNG Couture’s identity in any media, website, domain, or social channel.
c. You may not register or use domains, subdomains, or URLs that include or mimic “RVNG”, “RVNG Couture”, or confusing variants, nor bid on RVNG trademarks or misspellings in paid search, unless explicitly authorized in writing.
2.3 Prohibited Practices
a. PPC/Search Advertising: Unless expressly permitted in writing, you are prohibited from using paid search (PPC, SEM) campaigns that use or target our brand terms, brand variants, or misspellings.
b. Cookie Stuffing/Pop-ups/Pop-unders: Any technique that forcibly or surreptitiously places tracking cookies (cookie stuffing) or uses intrusive pop-ups or pop-unders is prohibited.
c. IFrames, Auto-redirects, Masking: You may not embed our site or products via hidden iframes, use automatic redirects, or cloaking to fool tracking systems.
d. Misleading Discount Codes: Only coupon or discount codes explicitly provided or approved by us via AWIN may be used. Fabricated or unauthorized codes are strictly forbidden.
e. Incentivized Traffic: Generally prohibited, unless otherwise permitted in writing (e.g. approved cashback or loyalty partners).
f. Email Marketing: Any email campaigns referencing RVNG Couture or containing our links must be pre-approved by us.
g. Content Restrictions: All promotional content must be in English, must not contain offensive, obscene, defamatory, adult, or illegal content, and must comply with applicable advertising guidelines.
2.4 Legal Compliance & Disclosures
You shall (and shall ensure your sub-publishers) comply with all laws and regulations regarding online advertising, consumer protection, and affiliate disclosures (e.g., FTC guidelines). All affiliate links must carry proper disclosure that you may receive compensation from purchases.
3. Commission, Tracking & Payments
3.1 Commission Rate: You will earn 20% commission on all confirmed purchases originated via your affiliate links (no minimum order value).
3.2 Cookie Duration: 30 days (meaning if a user clicks your link and purchases within 30 days, you will be credited)
3.3 Confirmation/Validation Window: We will confirm or decline sales within 30 days, in accordance with AWIN’s standard practices.
3.4 Declines/Cancellations/Returns:
a. We may decline or void commission on orders canceled, refunded, or returned in accordance with our standard return policy.
b. If you can demonstrate to our reasonable satisfaction that a transaction was legitimate and not fraudulent, you may dispute a decline via AWIN’s standard processes.
3.5 Payment Schedule: AWIN handles payments to Affiliates per its network policies. Commission payments are subject to AWIN’s invoicing/payment cycles.
3.6 No Recovery: You agree that once commissions are properly approved and paid, you shall have no claim against us or AWIN for recovery, adjustment, or set-off.
4. Intellectual Property & License
4.1 We hereby grant you a non-exclusive, non-transferable, revocable license to use our trademarks, logos, and creatives solely for promotion under this Agreement.
4.2 We retain full ownership of all intellectual property.
4.3 You may not sublicense these rights to any third party without our express written consent.
5. Data & Privacy
5.1 You shall not collect or store personal data from users beyond what is inherent in the affiliate cookie/commission attribution process.
5.2 You shall not use affiliate reports or data to build user profiles or retarget in violation of privacy laws (e.g. GDPR, CCPA).
5.3 You must not do or omit anything that causes us or AWIN to breach applicable data protection or cookie laws.
6. Limitation of Liability & Indemnification
6.1 Limitation: In no event shall we (or our officers, agents, employees) be liable for indirect, consequential, special, or punitive damages (including lost profits) arising from this program. Our total liability under this Agreement shall not exceed the total commissions paid to you over the prior 12 months.
6.2 Disclaimer of Warranties: The program, tracking, links, and services are provided “as is.” We make no warranties of merchantability, fitness for a particular purpose, or non-infringement.
6.3 Indemnification: You agree to indemnify and hold harmless RVNG Couture, AWIN, and their officers, employees, and agents from any loss, cost, damage, liability or expense (including reasonable legal fees) arising from your breach of this Agreement, violation of law, or your promotional activities.
7. Termination
7.1 Either party may terminate this Agreement at any time, with or without cause, by providing written notice via AWIN or email.
7.2 We may immediately terminate your participation if you materially breach any provision (particularly in sections 2, 3, or 5) without notice. In such case, all pending, unpaid, or disputed commissions may be voided.
7.3 Upon termination, all rights granted to you cease immediately, you must remove all links, creatives, and references to RVNG Couture from your properties, and you forfeit any right to future commissions except for fully validated commissions incurred prior to termination (unless otherwise voided per this Agreement).
8. Modifications & Notices
8.1 We reserve the right to change, amend, add to, or remove any part of these Terms & Conditions at any time. We will provide notice (via email or via AWIN) at least 30 days before material changes take effect. Continued participation after the change constitutes your acceptance.
8.2 All notices or communications shall be in writing (e.g., email) and sent to the contact details registered via AWIN or otherwise provided.
9. General Provisions
9.1 Severability: If any provision is held invalid or unenforceable, the remainder shall remain in full force.
9.2 Waiver: Our failure to enforce any term shall not constitute waiver of future enforcement.
9.3 Assignment: You may not assign or transfer your rights or obligations under this Agreement without our prior written consent.
9.4 Governing Law & Jurisdiction: This Agreement shall be governed by the laws of [Your Province/State, Country — e.g., Ontario, Canada/New York, U.S.]. Any disputes will be resolved in the courts of that jurisdiction.
9.5 Entire Agreement: This Agreement, together with AWIN’s platform terms (the AWIN Advertiser/Network Agreement), comprises the entire agreement between the parties regarding this affiliate program, superseding all prior proposals, oral or written.
