AWIN Affiliate Marketing Terms and Conditions

 Definitions

• "Advertiser," "We," "Us," "Our": Refers to the owner of the RaysDanc brand and products.
• "Publisher," "You," "Your": Refers to the affiliate partner participating in the Program via the AWIN network.
• "Program": The RaysDanc affiliate marketing program.
• "Network": Refers to AWIN plc.
• "Commission": The fee paid to Publisher for a Qualified Purchase.
• "Qualified Purchase": A sale that meets all criteria outlined in Section 3, tracked through the Network, and not subsequently canceled or returned.

1. Program Enrollment and Eligibility

• Approval Process: All affiliate applications require manual review and approval. We reserve the right to reject applications that don't align with our brand values or quality standards.

• Prohibited Entities: 
• Application to the Program constitutes acceptance of our Terms. We reserve the right, at our sole discretion, to reject any application for any reason, including:
• Sites promoting violence, discrimination, illegal activities, or adult content.
• Sites using unauthorized pop-ups/redirects/fishing links
• Sites with trademark or -infringing content
• Email list brokers and paid search specialists (without prior authorization)

2. Intellectual Property Protection

• Brand Usage Guidelines:
  • Affiliates may not use our brand name in domain names or subdomains (e.g., brandname.affiliate.com)
  • Affiliates may use correctly spelled brand terms in URL paths (e.g., affiliate.com/brand name). Brand domains are prohibited.

• Intellectual Property & Brand Usage License
  We grant you a limited, non-exclusive, revocable license to use the RaysDanc trademarks, logos, and marketing materials (the "Licensed Materials") solely for the purpose of promoting our products within the Program.
  
  Strictly Prohibited Uses:
  a) Brand Bidding: You are strictly prohibited from bidding on, purchasing, or using any search engine or social media advertising (e.g., Google Ads, Bing Ads) keywords, phrases, or domain names that include our trademarks, variations, or misspellings (e.g., "RaysDanc," "Rays Danc," "RaysDanc coupon").
  b) Unauthorized Coupon Sites: Publishing any discount code not explicitly provided by us through the AWIN network is grounds for immediate termination and forfeiture of all commissions.
  c) Typo squatting & Fraudulent Representation: Registering domain names, social media handles, or usernames that incorporate our trademarks is expressly forbidden.
  d) Incentivized Traffic: Generating clicks or sales through prohibited incentives (e.g., "cash-back" or "rewards" sites not pre-approved in writing).
  e) Adware & Malware: Utilizing any software or method that forces affiliate tracking cookies onto users' devices without their explicit intent to click an affiliate link.
• f ) Advertising Restrictions:
• No paid search engine or social media ads directly linking to our site
• No use of "official" terminology in ad copy

3. Commission Structure

• Commission Qualifications:
  • Commissions calculated on product price only (excluding taxes/shipping)
  • No commission on canceled/returned/fraudulent orders
  • Tier upgrades evaluated quarterly
  • Clear deduplication rules against PPC, email, direct sales or other forms of promotion.

• Special Incentives:
  • +5% bonus for high quality content creators with multiple media channels producing approved video reviews
    +2% bonus for affiliates creating approved and high quality brand materials (blogs, videos)

4. Marketing Compliance

• Required Disclosures:
  • Clear #ad or #affiliate disclosure on all social content
  • Compliance with FTC guidelines and local advertising standards
  • Transparency about affiliate relationship

• Prohibited Practices:
  • Adware, spyware, malware, or forced redirects
  • Brand bidding without authorization
  • Coupon aggregation without approval
  • False/misleading claims about products

5. Cookie and Tracking Terms

• Cookie Duration: 30-day standard window (extended for higher tiers)
• Attribution Rules:
  • Last-click attribution across all channels
  • Commissions honored for first converting click
  • Deduplication against all other marketing channels
• Tracking Protection:
  • Fraudulent clicks excluded from commission calculations
  • Technical tracking issues resolved case-by-case

6. Payment Terms

• Payment:  Commissions are processed by the AWIN network subject to their payment terms. Payments are issued only once commissions exceed the Awin Network's minimum payment threshold. We are not liable for payment delays caused by the Network, or your failure to provide correct payment details.
• Payment Schedule: Monthly payments issued in 7 business days + Return window policy after order validation
• Minimum Threshold: $50 minimum for wire transfers/$25 for PayPal
• Performance Bonuses:
  • Top 10 affiliates (Minimum 15 sales/month) each month receive 5% bonus
  • Seasonal promotion bonuses (2-5% during peak seasons June-August, Nov-Dec)

7. Program Changes
We may modify any part of these Terms at any time at our sole discretion. The most current version will always be posted on the AWIN network. To protect your rights:

• Update Notification: we provide 7-day notice for major term changes. 
• Grandfathering Option: Existing affiliates maintain rates for 30 days after changes posted.
• Feedback Mechanism: Affiliate council for major policy changes

8. Termination Conditions

• Grace Period Options:
  • 14-day correction period for minor violations
  • Retraining available for willing affiliates
• Termination & Remedies
  Either party may terminate this agreement at any time, with or without cause, by providing a written notice.
• Immediate Termination Reasons:

We reserve the right to terminate your participation immediately and without notice for any breach of:

• Brand bidding without authorization
• Fraudulent activity
• Illegal marketing practices
• Trademark/intellectual property infringement

Upon termination, all licenses granted herein will immediately cease, and you must remove all affiliate links and Licensed Materials.

Forfeiture of Commissions: Any commissions earned from fraudulent, non-compliant, or invalid traffic are void and will be clawed back.

8. Relationship Management

• Affiliate Support:
  • Dedicated account manager for premium affiliates
  • 48-hour response time for all affiliate inquiries
  • Monthly performance reviews for top 20% affiliates2
• Brand Resources:
  • Library of approved marketing materials
  • Regular product training webinars
  • Early access to new product launches

9. Dispute Resolution

• Mediation Process: 30-day mediation period before any legal action
• Communication Protocol: Formal escalation path for dispute resolution
• Fair Compensation: Commission protection during technical disputes
