Affiliates should adopt ethical, best practice activities, and adhere to the IAB guidelines at all times. London Velvet reserves the right to refuse commission payment for any sales that have been generated dishonestly and/or unethically.
LONDON VELVET AFFILIATE PROGRAM – TERMS & CONDITIONS

Please read these Terms & Conditions ("Terms") carefully before applying to, or participating in, the London Velvet Affiliate Program (the "Program"). By applying, you agree to be legally bound by these Terms.
PARTIES
These Terms are between London Velvet ("London Velvet", "we", "us", "our") and the approved affiliate ("you" ,"your"). London Velvet may appoint a third‑party affiliate‑management agency or network (each a "Delegated Authority") to administer or enforce the Program on London Velvet behalf.
EFFECTIVE DATE & UPDATES
• Effective Date: 21st August 2025.
• London Velvet may update these Terms at any time. Continued participation after an update constitutes acceptance of the revised Terms.
PROGRAM OVERVIEW
• Commission: 12% of net sale value (excluding taxes, shipping, discounts, returns, charge‑backs and suspected fraud).
• Cookie Window: 30 days.
• Payout Schedule: Approved commissions are paid monthly.
• Invoices: If required by your local regulations, invoices must be raised within 90 days of the end of the relevant calendar month; late invoices will be refused.
JOINING & APPROVAL
Acceptance to the Program is at London Velvet’s sole discretion and is not permission to begin promotion. Before any marketing goes live you must obtain written approval for:
(a) marketing channels and environments;
(b) creatives (copy, images, video, ad formats);
(c) audience targeting and geographies;
(d) campaign timing and duration; and
(e) any incentives, coupons or offers you intend to use.
MARKETING STANDARDS & PROHIBITED ACTIVITIES
You must:
• Represent the London Velvet brand truthfully, professionally and in accordance with all applicable laws (CAP/ASA, FTC, CMA, GDPR, e‑privacy, etc.).
• Clearly disclose your affiliate relationship in all posts, ads and communications.
• Use only London Velvet‑supplied or London Velvet‑approved assets.
• Obtain fresh written consent for every new campaign, placement, or creative; consent for one asset does not imply consent for another.
The following are strictly forbidden and constitute a material breach:
• Unapproved paid‑search bidding or PPC on London Velvet trademarks, misspellings, abbreviations or domain names.
• Coupon, voucher, discount‑code or cashback promotion without prior written consent.
• Email marketing to non‑double‑opt‑in or incentivised lists, or any list not demonstrably GDPR‑compliant.
• Display‑ad retargeting, CSS, Google/Bing Shopping, or price‑comparison ads without prior written consent.
• Cookie stuffing, adware, bots, click fraud, spoofing, false reviews, fake social accounts, or any deceptive or malicious practice.
• Content that is misleading, defamatory, pornographic, hateful, discriminatory or otherwise damaging to the London Velvet brand.
SUB‑AFFILIATES & THIRD PARTIES
If you engage sub‑affiliates, agencies, or other third parties, you are fully responsible for their actions and for ensuring their full compliance with these Terms. Any breach by such parties is deemed a breach by you.
COMMISSION VALIDATION, REVERSALS & CHARGEBACKS
London Velvet reserves the right to withhold, decline, or claw back commissions for: returns, cancellations, duplicate orders, suspected fraud, policy violations, or any transaction it deems ineligible. Reversed commissions already paid must be repaid within 10 business days of notice.
DISPUTES
• Transaction disputes must be raised in writing within 7 working days of the decline notice and must be supported by evidence.
• London Velvet’s decision on any dispute is final.
• You waive the right to pursue claims against any Delegated Authority or affiliate network; disputes are solely between you and London Velvet.
TERM & TERMINATION
Either party may terminate participation at any time upon written notice. Sections relating to liabilities, prohibited activities, intellectual property, and governing law survive termination.

INTELLECTUAL PROPERTY
All London Velvet trademarks, product images, copy and other creative content remain London Velvet’s exclusive property. You receive a limited, revocable, non‑exclusive licence to use approved assets solely for Program participation.
CONFIDENTIALITY & DATA PROTECTION
You must keep confidential all non‑public information received from London Velvet and process personal data in compliance with GDPR and all applicable privacy laws.
LIMITATION OF LIABILITY
London Velvet is not liable for indirect, incidental or consequential damages. London Velvet’s aggregate liability under these Terms shall not exceed the total commissions paid to you in the three (3) months preceding the claim.
GOVERNING LAW & JURISDICTION
These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of London, UK, shall have exclusive jurisdiction over any dispute.
