Terms
1. Commission is payable to you, the publisher (“you”), where a customer orders toob services within 30 days of clicking through from a link on your website and the transaction is validated on the Awin platform. Commission will only be payable in the following situations:
(a) the customer is a new toob customer, they cannot be a current toob customer or have previously been a toob customer at any time;
(b) the customer’s order is valid and fully completed via an end-to-end online customer journey;
(c) the customer remains a customer of toob for 30 days following activation of their toob services;
(d) the customer has paid all sums due to toob; and
(e) you comply fully with these Terms.
Due to the nature of provisioning if an order has not been installed within 90 days we assume it will never be installed. All orders not installed within 90 days will be rejected as invalid.
Unauthorised use of voucher codes or offers may result in commissions being reversed.
We perform deduplication on a last click wins basis across all online channels. Our affiliate programme is open to publishers who manage online advertising and websites.
2. toob’s Consumer Affiliate Programme is open to publishers who manage online advertising and websites including the promotional types below
- Cashback
- Community
- Content
- Discount Code
- Email
- Loyalty
Your website must not
(i) contain or make reference to: offensive, violent, pornographic, racist, libellous, derogatory or terrorist content; or
(ii) promote alcohol, drugs or firearms.
3. PPC Policy - No commission will be payable to you where a customer has used a broad match modifier (or other variation) of toob brand names in a web search to arrive at your website, unless toob has agreed your use of such brand name modifier or variation with you in writing in advance. You may not promote toob or toob’s services using pay-per-click (“PPC”) marketing unless (and only to the extent that) you have received our prior written consent to do so.
4.1 toob’s brand guidelines are available on the Awin platform and you must follow them at all times. You will only use creative content that has been supplied through the Awin network or by us directly. Any banners must be served from the Awin network and not hardcoded into your site.
4.2 Where toob provides you with amended versions of any toob branding or marketing material previously provided to you, you must only use the amended version of such material from that time onwards.
4.3 toob may at any time ask you to remove or take down from your website (and cease to use) any material relating to toob, its products or services, whether or not such material was previously provided to you by toob, and you must use your best efforts to comply with such request as soon as practicable (and in any event within 7 days of the request being made). If you fail to comply, toob can remove you from the toob Consumer Affiliate Programme immediately on written notice and you will not be entitled to receive any commission under the toob Consumer Affiliate Programme in relation to any orders which a toob customer places after the date of such removal.
5.1 You may not, while you remain a publisher in the toob Consumer Affiliate Programme, and for a period of 3 years thereafter, disclose any confidential information concerning toob’s business, affairs, plans, promotions, customers, clients or suppliers except
(a) to your employees, officers, representatives or advisers who need to know such information in order to exercise your rights or carry out your obligations in compliance with these Terms but only if you ensure that such persons comply with paragraphs 5.1 to 5.3 inclusive; and
(b) as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority.
5.2 You may not use any toob confidential information for any purpose other than to exercise your rights and perform your obligations in compliance with these Terms.
5.3 Your agreement to paragraphs 5.1 to 5.3 inclusive will continue even after you are no longer a publisher under the toob Consumer Affiliate Programme.
6. By making a request to join the toob Consumer Affiliate Programme, you are agreeing to the terms of the toob Consumer Affiliate Programme, as set out on the “Overview” and “Terms” pages and will be legally bound by them. On seven days’ notice given through the Awin platform, toob may change these Terms and you will be deemed to have accepted the amended Terms by continuing to participate in the toob Consumer Affiliate Programme.
7. You will indemnify toob against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by toob arising out of or in connection with your website or the marketing or sale of toob products or services on your website or the breach of any of paragraphs 5.1 to 5.3 above.
8. To the fullest extent permitted by law, toob excludes liability for any indirect, incidental or consequential damages to the publisher in relation to the Terms.
9. toob will only investigate disputed commissions raised within 90 days of the transaction date.
10.1 If you are in breach of any of these Terms, toob may withhold commission and immediately suspend or terminate your participation in the toob Consumer Affiliate Programme.
10.2 toob may terminate your participation in the toob Consumer Affiliate Programme at any time on notice of 14 days.
10.3 Immediately following suspension or termination of your participation in the toob Consumer Affiliate Programme you will remove all material and links relating to toob from your website and you will not be entitled to receive any commission in relation to orders for toob products placed after the date of such suspension or termination.
