Branding and Communication Compliance Clause Authorized Use of Intellectual Property 1.1 Affiliates are granted a limited, non-exclusive, non-transferable, and revocable license to use the trademarks, logos, product images, banners, and marketing materials (“Brand Assets”) made available by Xiaomi Technology solely for the purpose of promoting products under this Affiliate Program. 1.2 Affiliates shall not alter, adapt, modify, or create derivative works of the Brand Assets without the prior written consent of Xiaomi Technology. 1.3 All rights, title, and interest in and to the Brand Assets remain the sole property of Xiaomi Technology, and no ownership rights are conferred under this Agreement. Brand Representation and Accuracy 2.1 Affiliates shall represent Xiaomi Technology and its products/services in a truthful, accurate, and non-misleading manner, in accordance with official brand guidelines and applicable advertising laws and regulations. 2.2 Affiliates are expressly prohibited from making any false, unsubstantiated, or exaggerated claims regarding Xiaomi Technology, its products, or services. Prohibited Activities 3.1 Affiliates shall not use Xiaomi Technology trademarks, trade names, or confusingly similar variations thereof in: - Domain names, URLs, or subdomains; - Social media handles, usernames, or account names; - Paid advertising (including but not limited to search engine marketing) without explicit written consent. 3.2 Affiliates shall not bid on, purchase, or otherwise use keywords containing Xiaomi Technology trademarks (including misspellings and variations) in search engine marketing campaigns, unless expressly authorized in writing. Compliance and Placement Restrictions 4.1 Affiliates shall ensure that all placements of Xiaomi Technology advertising materials do not appear on websites, platforms, or media containing, promoting, or associated with illegal, infringing, offensive, or otherwise inappropriate content (including, without limitation, content involving pornography, violence, hate speech, or discrimination). 4.2 Affiliates shall comply with all applicable laws, regulations, and industry standards regarding advertising, consumer protection, and data privacy in all relevant jurisdictions. Audit and Enforcement 5.1 Xiaomi Technology reserves the right to audit Affiliate activities at any time to ensure compliance with these branding and communication obligations. 5.2 Any breach of this Clause shall constitute a material breach of the Agreement and may result in immediate suspension or termination of the Affiliate’s participation in the Program, withholding of accrued commissions, and pursuit of legal remedies where applicable. 5.3 Affiliates shall indemnify and hold harmless Xiaomi Technology from any claims, damages, or liabilities arising out of non-compliance with this Clause.
