Program Terms

Cunfon Terms and Conditions 

 

1. Scope & Obligations

1.1 Partnership Definition
The Advertiser ("Advertiser") authorizes the Affiliate ("Affiliate") to promote its products/services through legitimate channels, including but not limited to: website ads, social media campaigns, and email marketing.

1.2 Promotional Compliance
The Affiliate must adhere to the Advertiser's brand guidelines and marketing policies. Fraudulent practices (e.g., fake clicks, invalid traffic) or violations of platform rules are strictly prohibited. The Advertiser reserves the right to review and terminate non-compliant campaigns.

2. Commission & Payments


2.1 Commission Calculation
Commissions are based on validated conversions (e.g., sales, registrations). Invalid transactions (e.g., refunds, cancellations) are excluded. Specific rates are outlined in Attachment 1: Commission Rate Schedule.

 

3. Intellectual Property & Content Usage

3.1 Ownership Rights
The Advertiser retains full intellectual property rights to trademarks, creatives, and product information. The Affiliate may only use these assets within the agreed scope during the partnership term.

3.2 Content Liability
The Affiliate guarantees that promotional materials do not infringe third-party rights (e.g., copyright, privacy). The Affiliate bears full responsibility for disputes arising from their content.

 

4. Confidentiality Obligations

4.1 Confidential Information
Includes but is not limited to commission structures, technical data, customer information, and business strategies. Confidentiality obligations survive termination.

4.2 Breach Consequences
A breaching party shall compensate for damages and may face legal action.

 

5. Termination

5.1 Termination Conditions

Material breach unresolved within 30 days;

Force majeure events;

Mutual agreement.

5.2 Post-Termination
The Affiliate must immediately cease using the Advertiser’s assets and settle unpaid commissions.

 

6. Liability & Dispute Resolution

6.1 Limitation of Liability

The Advertiser is not liable for indirect losses (e.g., lost profits, reputational harm). Total compensation shall not exceed the Affiliate’s actual earned commissions.
