**Sync Beauty Branding Terms and Conditions for Awin Platform Partners**
**Introduction**
These Terms and Conditions (the "Agreement") govern the use of Sync Beauty's branding, logos, intellectual property, and related materials (the "Brand Assets") provided to affiliates, influencers, content creators, and partners (collectively, "Partners") through the Awin platform. By participating in Sync Beauty's affiliate program, Partners agree to comply with these terms.
**1\. Branding Guidelines**
1.1 **Use of Brand Assets**
Partners are granted a non-exclusive, non-transferable license to use Sync Beauty’s Brand Assets (including logos, trademarks, product images, and other promotional materials) solely for the purpose of promoting Sync Beauty’s products via the Awin platform. Any use outside of this scope requires prior written approval.
1.2 **Quality Control**
Partners must ensure that all content, advertisements, and promotional materials maintain the quality and image of the Sync Beauty brand. All materials should align with the visual style, tone, and messaging as outlined in the Sync Beauty brand guidelines, which are available upon request.
1.3 **Prohibited Uses**
Partners may not:
* Alter, modify, or create derivative works of any Brand Assets without prior written consent from Sync Beauty.
* Use Sync Beauty’s Brand Assets in any way that could damage the reputation or integrity of the brand, including in association with misleading or inappropriate content.
* Use Sync Beauty’s Brand Assets in a manner that could violate intellectual property rights, including using images or logos without proper attribution.
* Use Brand Assets in paid media or ad networks (such as Google Ads) without explicit prior approval.
**2\. Content Approval**
2.1 **Approval Process**
Partners must submit all content featuring Sync Beauty’s Brand Assets for approval prior to publishing. Sync Beauty reserves the right to reject any content that does not meet its brand standards or aligns with its core values. Content should be submitted through the Awin platform or directly to Sync Beauty’s designated contact.
2.2 **Modifications and Corrections**
If Sync Beauty provides feedback or requests modifications to submitted content, Partners are required to make adjustments promptly before the content is published.
**3\. Compliance with Laws and Regulations**
3.1 **Advertising and Marketing Regulations**
Partners must ensure that all promotional content complies with applicable advertising laws, regulations, and the guidelines of the Awin platform. This includes, but is not limited to, truth in advertising, clear disclosures regarding affiliate relationships, and compliance with privacy laws.
3.2 **Health and Safety Claims**
Any claims regarding the benefits of Sync Beauty products must be accurate and substantiated. Partners should not make unverified or misleading claims about the effects of the products, especially in relation to health or cosmetic benefits.
**4\. Affiliate and Commission Terms**
4.1 **Affiliate Links and Tracking**
Partners must use the affiliate links and tracking codes provided through the Awin platform for all promotions. These links ensure that Sync Beauty can track sales and properly attribute commissions to Partners.
4.2 **Commissions and Payments**
Partners will be compensated based on the terms outlined in the Awin platform, including commission rates and payment schedules. Sync Beauty reserves the right to adjust commission structures or terminate partnerships if Partners do not comply with these terms.
**5\. Termination**
Sync Beauty reserves the right to terminate the partnership with any Partner at any time, with or without cause. Reasons for termination may include, but are not limited to, violations of the branding guidelines, the promotion of content inconsistent with Sync Beauty’s values, or failure to meet quality standards.
**6\. Intellectual Property**
All intellectual property rights in Sync Beauty’s Brand Assets remain with Sync Beauty. Partners are granted a limited license to use the Brand Assets as specified in this Agreement. All rights not expressly granted to the Partner are reserved by Sync Beauty.
**7\. Liability and Indemnity**
Partners agree to indemnify and hold Sync Beauty harmless from any claims, damages, or liabilities arising out of their use of the Brand Assets, including claims related to false advertising, violations of intellectual property rights, or breaches of this Agreement.
**8\. Amendments**
Sync Beauty reserves the right to update or amend these Terms and Conditions at any time. Partners will be notified of any changes, and continued participation in the affiliate program will constitute acceptance of the updated terms.
