1. CONTENT OWNERSHIP & USAGE RIGHTS
1.1. All content created by the Creators for the Brand, including but not limited to text, images, videos, and audio ("Content"), shall remain the intellectual property of the Creator.
1.2. By publishing Content related to the Brand, the Creator grants the Brand a worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, and promote such Content across all marketing channels, including social media, websites, and advertisements.
1.3. The Brand reserves the right to request content modifications to align with brand guidelines and campaign objectives.
2. CONTENT GUIDELINES & COMPLIANCE
2.1. Creators must ensure that the Content adheres to the Brand’s values and mission, maintaining authenticity and professionalism.
2.2. Content must not include false, misleading, defamatory, offensive, or inappropriate material, including but not limited to hate speech, illegal activities, or explicit content.
2.3. Creators shall comply with all applicable advertising, consumer protection, and intellectual property laws, including FTC guidelines and any required disclosures of sponsored content.
3. COMPENSATION & DISCLOSURE
3.1. Compensation for content creation, including payments, gifts, or other forms of consideration, shall be agreed upon in between the Brand and the Creator.
3.2. Creators must disclose any sponsorships, collaborations, or material connections with the Brand in accordance with legal requirements, using appropriate tags such as #Ad or #Sponsored.
4. CONFIDENTIALITY & EXCLUSIVITY
4.1. Creators agree not to share confidential brand information, including marketing strategies, campaign details, and proprietary product information.
4.2. Creators may be restricted from promoting competing brands within a specified timeframe if agreed upon in their contract.
5. TERMINATION & VIOLATIONS
5.1. The Brand reserves the right to terminate its relationship with any Creator who violates these Terms, engages in misconduct, or acts against the Brand’s interests.
5.2. Upon termination, the Brand may request the removal of any Content that misrepresents or damages the Brand’s reputation.
6. LIMITATION OF LIABILITY
6.1. The Brand shall not be liable for any claims, damages, or losses arising from the Creator’s Content, including but not limited to copyright infringement claims or consumer complaints.
6.2. Creators agree to indemnify and hold the Brand harmless against any legal claims resulting from their Content.
7. GOVERNING LAW & DISPUTE RESOLUTION
7.1. These Terms shall be governed by the laws of Great Britain.
7.2. Any disputes shall be resolved through mediation or arbitration before resorting to litigation.
8. AMENDMENTS & MODIFICATIONS
8.1. The Brand reserves the right to update or modify these Terms at any time, with notice provided to Creators.
8.2. Continued participation in Brand campaigns after modifications constitute acceptance of the updated Terms.
By collaborating with Brand Care+Protect, Creators acknowledge and agree to abide by these Terms and Conditions.
