By participating in the Affiliate Program, you agree to the terms and conditions outlined below.
1. Program Enrollment
AMITHA reserves the right to accept or reject any application at its sole discretion. Upon approval, you will be granted a unique affiliate tracking link to promote the AMITHA'S products.
2. Affiliate Responsibilities
Affiliate agrees to:
Promote AMITHA'S luxury smoking accessories products using the provided affiliate link or promotional materials.
Ensure that all promotions are truthful, accurate, and comply with all applicable laws, including but not limited to advertising and privacy regulations.
Refrain from engaging in any misleading, fraudulent, or unethical marketing tactics, including spam, false advertising, or misleading claims about the products.
Promote AMITHA'S products only on authorized platforms (e.g., websites, blogs, social media, etc.).
3. Commission Structure
Affiliate will earn a commission on the sale of products made through the unique affiliate link provided. The standard commission rate is 15% of the net sale price (excluding taxes, shipping, and any discounts). AMITHA reserves the right to modify the commission structure at any time, with advance notice provided to the Affiliate.
4. Payment Terms
Affiliate commissions will be paid on a monthly basis, within 14 days after the end of each payment period. Payments will be made via bank transfer. Affiliates must provide the necessary payment information to receive commissions.
5. Tracking and Reporting
AMITHA will provide Affiliate with access to an online dashboard to track sales and commissions. The Affiliate agrees that AMITHA'S tracking system will be the sole method for determining the amount of sales referred and corresponding commissions.
6. Promotional Guidelines
Affiliate agrees to comply with the following promotional guidelines:
Use only the promotional materials provided or approved by AMITHA.
Do not bid on AMITHA'S brand name or related keywords in paid search engine advertising unless otherwise approved by AMITHA.
Affiliate must not engage in any activities that could harm the reputation of AMITHA or its products.
Any promotional content (e.g., reviews, blogs, ads) must be in good taste and reflective of the high-end image of AMITHA.
7. Term and Termination
This Agreement will remain in effect until terminated by either Party. Either Party may terminate this Agreement at any time, with or without cause, by providing written notice to the other Party. Upon termination, Affiliate will cease using AMITHA'S trademark, affiliate links, and promotional materials and will be entitled to receive any earned but unpaid commissions.
8. Intellectual Property
AMITHA grants Affiliate a limited, non-exclusive, non-transferable license to use its trademarks, logos, and promotional materials solely for the purpose of promoting AMITHA'S products as part of the Affiliate Program. All intellectual property rights in AMITHA'S trademarks and materials remain the property of the Company.
9. Confidentiality
Affiliate agrees to keep any confidential information received during the course of the Affiliate Program confidential. This includes business strategies, pricing, customer information, and any other proprietary information disclosed by AMITHA.
10. Liability
Affiliate agrees to indemnify and hold AMITHA harmless from any claims, damages, or losses arising from the Affiliate’s marketing or promotion of AMITHA'S products. AMITHA makes no guarantees about the Affiliate’s success or earnings from the Program.
11. Governing Law
This Agreement will be governed by and construed in accordance with the laws of New York state. Any disputes arising under this Agreement will be subject to the exclusive jurisdiction of the courts located in New York state.
12. Modifications
AMITHA reserves the right to modify or update this Agreement at any time. Affiliate will be notified of any material changes, and continued participation in the Program after such changes will constitute acceptance of the new terms.
13. Miscellaneous
This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements.
If any provision of this Agreement is found to be invalid, the remaining provisions will remain in full force and effect.
AMITHA'S failure to enforce any term of this Agreement does not waive its right to do so in the future.
