Affiliate Program AgreementThis Affiliate Program Agreement ("Agreement") is made and entered into as of the date of acceptance by the Affiliate ("Effective Date") by and between Era of Nature ("Company"), a brand operated by Balagan LLC, with its principal place of business at 30 N Gould St., Ste 32814, Sheridan, WY, 82801, USA, and the individual or entity applying to participate in the Affiliate Program ("Affiliate").1. Definitions1.1 Affiliate Program: The program offered by the Company through which Affiliates promote Era of Nature’s products and earn commissions for qualifying purchases made by referred customers.1.2 Affiliate Link: A unique URL provided to the Affiliate to track referred customers.1.3 Qualifying Purchase: A purchase made by a customer referred through the Affiliate Link, meeting all terms and conditions outlined in this Agreement.1.4 Commission: The monetary reward paid to the Affiliate for Qualifying Purchases, as outlined in Section 5 of this Agreement.2. Enrollment2.1 To participate in the Affiliate Program, the Affiliate must submit an application via the Company’s designated platform.2.2 The Company reserves the right to approve or reject any application at its sole discretion.2.3 By submitting an application, the Affiliate agrees to comply with this Agreement.3. Affiliate Obligations3.1 Affiliates agree to promote Era of Nature products in a professional and lawful manner, adhering to the laws in the Affiliate's country and the laws in the market where the Company sells.3.2 Affiliates must not use spam, misleading advertisements, or any practices that violate laws or regulations. This includes but is not limited to advertising statements referring to Era of Nature's products as cures and/or claiming they can heal various skin conditions.3.3 Affiliates are prohibited from bidding on Era of Nature trademarks or related keywords in search engine marketing campaigns.3.4 Affiliates must disclose their affiliate relationship with Era of Nature in compliance with the Federal Trade Commission (FTC) guidelines or equivalent regulations in their jurisdiction.4. Affiliate Link Tracking4.1 The Company will provide the Affiliate with a unique Affiliate Link for tracking purposes.4.2 The Company will not be responsible for tracking errors resulting from the Affiliate’s failure to use the Affiliate Link correctly.5. Commissions and Payments5.1 The Affiliate will earn a base commission of 10% for each Qualifying Purchase. Further commissions are subject to sales goals as detailed on ShareASale.5.2 Commissions will be paid monthly, provided the Affiliate’s account balance reaches the minimum threshold of $1000.5.3 Payments will be made via Direct Transfer, Wise, Payoneer, Debit, or Credit Card.5.4 The Company reserves the right to withhold commissions for fraudulent transactions or violations of this Agreement.6. Term and Termination6.1 This Agreement begins on the Effective Date and continues until terminated by either party.6.2 Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.6.3 Upon termination, the Affiliate will cease all promotion of Era of Nature products and remove Affiliate Links from all platforms.7. Intellectual Property7.1 The Company grants the Affiliate a non-exclusive, non-transferable, revocable license to use Era of Nature’s trademarks, logos, and promotional materials solely for purposes of the Affiliate Program.7.2 Affiliates may not modify the Company’s trademarks or use them in a manner that disparages the Company.8. Limitation of LiabilityThe Company will not be liable for any damages, including indirect or consequential damages, arising out of this Agreement or the Affiliate’s participation in the Affiliate Program.9. Confidentiality9.1 Affiliates agree to keep all confidential information shared by the Company private and not disclose it to third parties.9.2 This confidentiality obligation survives the termination of this Agreement.10. Governing LawThis Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, USA.11. Miscellaneous11.1 This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements or understandings.11.2 No modification of this Agreement shall be valid unless in writing and signed by both parties.11.3 If any provision of this Agreement is found to be invalid, the remaining provisions shall remain in full force and effect.By participating in the Era of Nature Affiliate Program, the Affiliate acknowledges and agrees to the terms and conditions of this Agreement.
