Affiliate Program Agreement
This Affiliate Program Agreement (the "Agreement") is made and entered into by and between Hey Happiness (the "Company") and the affiliate (the "Affiliate"). By signing up for or participating in the Hey Happiness Affiliate Program, the Affiliate agrees to the terms and conditions outlined below.
1. Program Overview
The Hey Happiness Affiliate Program is designed to reward Affiliates for promoting our jewelry collection. Affiliates earn commissions for sales generated through their unique affiliate links and discount codes.
2. Enrollment in the Program
Affiliates must complete the application process and be approved by the Company. Company reserves the right to accept or reject any application for any reason.
3. Responsibilities of the Affiliate
Affiliates will promote Hey Happiness products through their social media channels, websites, or other agreed-upon platforms.Affiliates must use only the promotional materials provided or approved by the Company. Affiliates must comply with all applicable laws, regulations, and platform-specific guidelines (e.g., FTC disclosure requirements).
4. Responsibilities of the Company
The Company will provide the Affiliate with unique affiliate links and discount codes for tracking purposes. The Company will provide promotional materials and guidelines to assist in marketing efforts.The Company will track sales and issue commissions based on agreed terms.
5. Commissions and Payment
Commission Rate: Affiliates earn a specific percentage of sales made through their affiliate link or unique discount code based on agreed terms.
Commission Calculation: Commission payouts are calculated based on the net order value, excluding applicable taxes (including VAT) and shipping costs.
Effective Date of Calculation Method: The commission calculation method described above is effective from 10 March 2026.
Earning via Discount Codes: Sales made using the Affiliate’s unique discount code are also eligible for commissions.
Payment Schedule: Commissions will be paid on a monthly basis.
Payment Method: Commission payments are made through the Awin platform and are issued according to the payment method selected by the Affiliate in their Awin account during signup.
Eligible Transactions: Commissions are only paid on completed and valid sales and do not include refunded, canceled, or returned orders.
6. Discount Codes and Benefits
Affiliates will be provided with unique discount codes to share with their audience, offering a percentage of purchases. Affiliates earn commissions on sales made using their discount codes. Discount codes must not be shared on coupon websites or unauthorized platforms.
7. Term and Termination
This Agreement begins upon acceptance into the Affiliate Program and remains in effect until terminated by either party. Either party may terminate this Agreement at any time with or without cause by providing written notice to the other party. Upon termination, the Affiliate must immediately stop using all promotional materials and remove all links to the Company’s website.
8. Confidentiality
Affiliates agree to keep all non-public information provided by the Company confidential and not to use it for any purpose other than promoting the Company.
9. Intellectual Property
Affiliates are granted a non-exclusive, revocable license to use the Company's trademarks, logos, and materials solely for the purpose of promoting the Company’s products. Affiliates must not alter or misrepresent any of the Company’s branding or products.
10. Limitation of Liability
The Company is not responsible for any damages or losses incurred by the Affiliate in connection with the Affiliate Program.
11. Agreement Modification
The Company reserves the right to modify the terms and conditions of this Agreement at any time. Affiliates will be notified of any significant changes.
12. Entire Agreement
This Agreement constitutes the entire understanding between the Company and the Affiliate with respect to the Affiliate Program and supersedes all prior agreements and understandings. By participating in the Hey Happiness Affiliate Program, you acknowledge that you have read, understood, and agree to the terms of this Agreement.
