Program AgreementThis Program Agreement ("Agreement") forms the legal framework for the Stelar London Limited Affiliate Program (the "Program"). It outlines the terms and conditions governing the relationship between Stelar London Limited ("Company") and each affiliate ("Affiliate") participating in the Program. By enrolling in the Program, Affiliate acknowledges and agrees to be bound by the terms and conditions set forth in this Agreement, as well as the ShareASale Terms of Use.Restrictions and RegulationsThe following activities are strictly prohibited within the Program:•Spamming: Sending unsolicited emails or messages to promote the Website or its products.•Misrepresentation: Making false or misleading claims about the Website, its products, or the Affiliate Program.•Trademark Infringement: Using Company's trademarks or any confusingly similar marks without express written permission.•Copyright Infringement: Using Company's copyrighted materials, including images, text, and designs, without express written permission.•Manipulating Tracking Mechanisms: Manipulating cookies, using pixel stuffing, or employing other deceptive techniques to generate unearned commissions.•False Advertising: Engaging in any form of false or deceptive advertising, including misleading pricing or product descriptions.•Incentivized Reviews: Offering incentives to customers in exchange for positive reviews.•Content Restrictions: Promoting the Website on websites or platforms that contain or promote illegal, offensive, or harmful content, including but not limited to pornography, violence, hate speech, and discrimination.•Violation of Laws: Engaging in any activity that violates applicable laws or regulations in any jurisdiction where the Affiliate promotes the Website.Pay-Per-Click (PPC) Advertising RestrictionsTo ensure fair competition and protect the Company's brand, the following PPC restrictions apply to all Affiliates:•Brand Bidding: Affiliates may not bid on any variations of the Company's brand name "Stelar," including misspellings, singular/plural forms, with/without spaces, or in combination with generic terms like "discount" or "coupon." This includes, but is not limited to:oStelaroStelar UKoStelarFashionoStelarClothingoStelar discountoStelar voucheroStelar couponoStelar saleoBuy StelaroStelar onlineoStelar [any product category, e.g., dresses, shoes]oSteler (misspelling)oStelarr (misspelling)oStellarr (misspelling)oAny other conceivable misspelling or variation of "Stelar"•Product Name Bidding: Affiliates may be allowed to bid on specific product names, but only with prior written approval from the Company and under strict conditions.•Misspellings & Typos: Affiliates may not bid on common misspellings or typos of the brand name or product names.•Generic Terms with Brand Name: Affiliates may not bid on generic terms in combination with the brand name (e.g., "Stelar London dresses," "buy Stelar London").•Competitor Brand Names: Affiliates may not bid on the brand names of the Company's competitors.•"Best" or "Top" Keywords: Affiliates may be allowed to bid on keywords like "best London fashion" or "top UK clothing brands" with prior written approval and under strict conditions, including no misleading claims and clear affiliate disclosure.Additional Requirements•Marketing Disclosure: Affiliates must clearly and conspicuously disclose their affiliate relationship with Company in all marketing materials, in accordance with all applicable laws and regulations, including, but not limited to, the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (CAP Code) and similar regulations in other jurisdictions.•Data Privacy: Affiliates must comply with all applicable data privacy laws and regulations, including the UK General Data Protection Regulation (GDPR) and similar laws in other jurisdictions, when collecting, using, or sharing customer data.•Advertising Standards: Affiliates must adhere to the advertising standards and regulations of all countries where they promote the Website.Consequences of ViolationAny violation of this Agreement or the ShareASale Terms of Use may result in, among other things:•Termination of the Affiliate's Agreement.•Withholding of commissions.•Legal action.Compliance StrategyCompany is committed to maintaining a compliant and ethical Affiliate Program. Affiliates are encouraged to familiarize themselves with the Company's Compliance Strategy, which provides further guidance on best practices and prohibited activities.ShareASale Terms of UseAll Affiliates are also bound by the ShareASale Terms of Use, which can be found on the ShareASale website.Governing LawThis Agreement shall be governed by and construed in accordance with the laws of England and Wales.
