These Affiliate Terms and Conditions ("Agreement") govern the relationship between Karee Hays, located at 2309 Crestmoor Road Suite 200, Nashville, Tennessee 37215 ("Advertiser"), and you ("Affiliate") as a participant in our affiliate marketing program ("Program") via the Awin platform.
By joining the Program, you agree to comply with these terms and conditions, as well as any additional guidelines or policies provided by Awin.
1. Affiliate Program Participation
1.1 Eligibility: Affiliates must meet Awin’s eligibility criteria and comply with all applicable laws and regulations.
1.2 Acceptance: Participation is subject to approval by the Advertiser. We reserve the right to accept or reject any Affiliate application at our discretion.
1.3 Account Information: Affiliates are responsible for ensuring their account information on Awin is accurate and up to date.
2. Affiliate Obligations
2.1 Promotional Methods: Affiliates may promote our products and services only through approved methods, which include:
Use of approved banners, text links, and creatives provided via Awin. Advertising on websites, blogs, and other online platforms that comply with this Agreement.
2.2 Prohibited Activities: Affiliates must not:
Engage in misleading or deceptive advertising. Bid on branded keywords or domains containing the Advertiser’s trademarks unless expressly permitted. Promote on websites or channels containing illegal, hateful, or inappropriate content.
2.3 Compliance: Affiliates must comply with Awin’s program rules, the Federal Trade Commission (FTC) disclosure requirements, and all applicable advertising laws.
3. Commission Structure
3.1 Payout Terms: Affiliates will earn a commission on qualifying sales generated through their unique tracking links.
3.2 Commission Rates: The commission rate is specified in the Program’s details on Awin and may be subject to change at the Advertiser’s discretion with prior notice.
3.3 Disqualifications: Commissions will not be paid for: Canceled or refunded orders. Transactions deemed fraudulent or non-compliant with this Agreement.
4. Payment
4.1 Payment Terms: Payments will be processed through the Awin platform according to their payment schedule and policies.
4.2 Currency: Commissions are paid in the currency specified in the Program details.
4.3 Tax Obligations: Affiliates are responsible for reporting and paying any taxes due on their earnings. The Advertiser and Awin will not withhold taxes unless required by law.
5. Intellectual Property
5.1 License: Affiliates are granted a non-exclusive, revocable license to use the Advertiser’s trademarks, logos, and approved materials solely for the purpose of promoting the Program.
5.2 Restrictions: Affiliates must not alter or misrepresent any materials provided by the Advertiser.
6. Termination
6.1 Termination by Affiliate: Affiliates may terminate participation in the Program at any time via Awin.
6.2 Termination by Advertiser: The Advertiser reserves the right to terminate an Affiliate’s participation at any time for any reason, including but not limited to violation of this Agreement.
6.3 Effect of Termination: Upon termination, Affiliates must cease using the Advertiser’s materials and remove all promotional links.
7. Limitation of Liability
The Advertiser will not be liable for indirect, incidental, or consequential damages arising from the Affiliate’s participation in the Program, including but not limited to loss of revenue or profits.
8. Modification of Terms
The Advertiser reserves the right to modify this Agreement at any time. Affiliates will be notified of changes via Awin, and continued participation in the Program constitutes acceptance of the revised terms.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Tennessee, without regard to its conflict of laws principles.
