**Shirley Jane Hair Care Affiliate Program Agreement**This Affiliate Program Agreement (“Agreement”) is entered into by and between Shirley Jane LLC (“Company,” “we,” “our,” or “us”), and the individual or entity applying to participate in the Affiliate Program (“Affiliate” or “you”). This Agreement governs your participation in the Shirley Jane Hair Care Affiliate Program (the “Program”) through the ShareASale network.**By applying to or participating in the Program, you agree to the terms and conditions of this Agreement.**### 1. **Enrollment in the Program**1.1 To begin the enrollment process, you must submit a completed application via the ShareASale platform. We reserve the right to reject any application at our sole discretion.1.2 If your application is accepted, you will receive access to the Program’s tracking and reporting tools, which include affiliate links, banners, and other promotional materials (“Affiliate Materials”).### 2. **Affiliate Obligations**2.1 You agree to promote Shirley Jane Curly Hair Care products in a manner consistent with our brand values, as well as in accordance with all applicable laws and regulations.2.2 You must accurately represent Shirley Jane’s products and services when advertising or promoting them.2.3 Affiliates may use the Affiliate Materials provided by Shirley Jane, but they must not alter them in a way that misrepresents the products or brand identity.2.4 You agree not to engage in any deceptive, misleading, or unethical advertising or marketing practices, including, but not limited to, spamming, false claims, or any form of paid search engine marketing using Shirley Jane trademarks.### 3. **Commission Structure and Payment**3.1 Affiliates will earn commissions based on sales generated through their unique affiliate links.3.2 Commission rates will be provided upon enrollment and may be subject to changes, which will be communicated in advance.3.3 Commission payments will be made monthly via the ShareASale platform, provided that the accumulated commission balance meets the minimum payout threshold as defined by ShareASale.3.4 Shirley Jane reserves the right to withhold or adjust commissions in cases of fraudulent activity or chargebacks.### 4. **Affiliate Link and Tracking**4.1 Affiliates will be provided with a unique affiliate link to track their referrals. You agree to use this link when promoting Shirley Jane products.4.2 You are responsible for ensuring the accuracy of the tracking links and reports provided by the Program. Shirley Jane is not liable for tracking failures, technical errors, or system malfunctions.4.3 Any commissions generated from sales made through your affiliate link will be tracked by the ShareASale platform. Discrepancies or issues with tracking must be reported to ShareASale directly.### 5. **Term and Termination**5.1 This Agreement will remain in effect until either party terminates it by providing written notice to the other party.5.2 Either party may terminate this Agreement at any time with or without cause. Termination may occur immediately with written notice to the other party.5.3 In the event of termination, the Affiliate will be entitled to receive any earned commissions that were generated before the date of termination, provided that the commissions meet ShareASale’s payout criteria.### 6. **Prohibited Activities**6.1 You may not engage in the following activities while promoting Shirley Jane Curly Hair Care products: - Using misleading or deceptive content, including false representations or reviews. - Promoting Shirley Jane products on illegal or unethical websites. - Promoting Shirley Jane products through unsolicited emails (spam). - Bidding on search engines or using paid search advertisements that use Shirley Jane’s trademarks or variations of those trademarks.6.2 You may not use any content or promotional materials that Shirley Jane has not explicitly provided to you or authorized you to use.### 7. **Intellectual Property**7.1 You acknowledge that all intellectual property rights, including trademarks, logos, and product images, are owned by Shirley Jane or its licensors. By participating in the Program, you are granted a limited, non-exclusive, non-transferable license to use Shirley Jane’s trademarks and materials solely for the purpose of promoting products through the Affiliate Program.7.2 You agree not to infringe or use Shirley Jane’s intellectual property in any manner not expressly authorized by this Agreement.### 8. **Privacy and Data Protection**8.1 You agree to comply with all applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable, when collecting, storing, or processing personal data.8.2 You are prohibited from using any personal data collected during the affiliate process for any purpose other than the performance of this Agreement.### 9. **Limitation of Liability**9.1 Shirley Jane will not be liable for any indirect, incidental, special, or consequential damages arising from or related to your participation in the Affiliate Program.9.2 Our total liability to you for any claim arising out of this Agreement will not exceed the total amount of commissions paid to you in the six (6) months preceding the event giving rise to the claim.### 10. **Indemnification**10.1 You agree to indemnify and hold harmless Shirley Jane, its officers, employees, agents, and affiliates from any claims, damages, liabilities, or expenses (including legal fees) arising out of your breach of this Agreement, or your actions related to the Affiliate Program.### 11. **Changes to the Agreement**11.1 Shirley Jane reserves the right to modify this Agreement at any time.
