Affiliate Program Agreement
This Affiliate Program Agreement ("Agreement") is entered into between [Mitts] (Gran Riserva) and the individual or entity applying to join the affiliate program ("Affiliate"). By participating in the program, Affiliate agrees to the following terms and conditions:
1. Enrollment in the Program
1.1 To enroll, Affiliate must submit a completed application through [ShareASale].
1.2 Company reserves the right to approve or reject any application at its sole discretion.
2. Commissions and Payments
2.1 The Affiliate will earn a commission of [10%] for each qualifying sale generated through Affiliate’s unique referral link.
2.2 Payments will be made [quarterly] via [PayPal, check, or other specified method], subject to a minimum threshold of $[10].
2.3 A "qualifying sale" is defined as a sale that is successfully completed and not refunded or canceled within [3 days].
2.4 Special Commission Rules:
Affiliates promoting limited-time offers or special campaigns may qualify for adjusted commissions as determined and communicated by the Company.
3. Affiliate Responsibilities
3.1 Affiliate must promote Company’s products truthfully and accurately. Misrepresentation is prohibited.
3.2 Affiliate must comply with all applicable laws, including Federal Trade Commission (FTC) guidelines for endorsements and disclosures. Affiliates must clearly disclose their affiliate relationship in all promotions (e.g., "As an affiliate, I earn from qualifying purchases").
3.3 Affiliate is responsible for ensuring their marketing methods do not infringe on the intellectual property or rights of others.
4. Prohibited Practices
4.1 Trademark Regulations:
Affiliates are strictly prohibited from using the Company’s trademarks, company name, domain names, or any variations or misspellings in:
Pay-per-click (PPC) bidding campaigns.
Display URLs or ad copy.
Meta tags, keywords, or other search engine optimization (SEO) tactics.
4.2 Email Marketing Policy:
All email marketing must comply with the CAN-SPAM Act and other applicable laws.
Affiliate emails must clearly identify the sender, include an unsubscribe option, and not mislead recipients.
4.3 Social Media Policy:
Affiliates may use their personal or professional social media accounts to promote Company products but must comply with FTC disclosure guidelines.
Affiliates may not impersonate the Company or create accounts that mimic official Company channels.
4.4 Coupons and Deals Policy:
Affiliates may not promote unauthorized coupons, discounts, or deals. Only promotions provided directly by the Company are permitted.
Affiliates found distributing expired or fake coupons will be subject to immediate termination.
4.5 Pay-Per-Click (PPC) Bidding Rules:
Affiliates may not bid on branded terms, including but not limited to “[Mitts],” “[Useyourmitts],” and variations or misspellings.
Affiliates may not use the Company’s brand in display URLs or redirect PPC traffic directly to the Company’s website.
4.6 Affiliates may not use their referral link to make personal purchases.
5. Grounds for Termination
5.1 The Company reserves the right to terminate an Affiliate's participation in the program immediately and without notice if the Affiliate violates this Agreement, including but not limited to:
Engaging in prohibited practices listed in Section 4.
Failing to comply with applicable laws or FTC guidelines.
Engaging in fraudulent or unethical behavior.
5.2 Upon termination, Affiliate will forfeit any unpaid commissions and must immediately cease using all Company materials and promotional links.
6. Intellectual Property
6.1 Company grants Affiliate a limited, non-exclusive, and revocable license to use Company’s trademarks, logos, and approved marketing materials for promotional purposes.
6.2 All intellectual property rights remain the sole property of the Company.
7. Limitation of Liability
Company is not liable for any indirect, incidental, or consequential damages (including loss of revenue or profits) arising from Affiliate’s participation in the program.
8. Modification of Terms
Company reserves the right to modify the terms of this Agreement at any time. Affiliates will be notified of changes, and continued participation constitutes acceptance.
9. Governing Law
This Agreement shall be governed by the laws of the State of [New Jersey], without regard to its conflict of laws principles.
