Valor Provisions Affiliate Program Agreement
This Affiliate Program Agreement ("Agreement") outlines the terms and conditions for affiliates participating in the Valor Provisions Affiliate Program ("Program"). By joining the Program, you ("Affiliate") agree to abide by the following terms and conditions, in addition to ShareASale’s Terms of Use.
1. Affiliate Conduct
Affiliates must comply with all applicable laws and regulations, including Federal Trade Commission (FTC) guidelines for affiliate marketing disclosures.
Affiliates must not engage in any deceptive, misleading, or unethical marketing practices, including but not limited to false advertising or unauthorized representations about Valor Provisions products, services, or mission.
2. Prohibited Activities
The following activities are strictly prohibited and may result in termination from the Program without notice:
Paid Search Restrictions: Affiliates may not bid on branded keywords such as "Valor Provisions," "Steakholder membership," or any variations thereof in any search engine marketing campaigns (e.g., Google Ads, Bing Ads).
Trademark Infringement: Affiliates may not use the Valor Provisions name, logo, or other branding assets without prior written consent, except for materials provided explicitly for affiliate use.
Spam: Affiliates may not engage in unsolicited email campaigns or spammy practices to promote Valor Provisions.
Coupon and Deal Sites: Affiliates are prohibited from listing Valor Provisions on unauthorized coupon or deal websites without prior approval.
Inappropriate Content: Affiliates may not promote Valor Provisions on websites containing adult content, violent content, hate speech, illegal activities, or other content deemed inappropriate at Valor Provisions' sole discretion.
3. Commission Terms
Eligible Transactions: Commissions are paid on qualifying purchases and new "Steakholder" memberships made through the Affiliate's unique referral link within a 45-day cookie period.
Exclusions: Purchases made with unauthorized discount codes, fraudulent transactions, or orders canceled by the customer are not eligible for commissions.
Self-Referrals: Affiliates are not permitted to use their own referral links to receive commissions.
4. Intellectual Property
Affiliates may use approved marketing materials, images, and banners provided by Valor Provisions. Unauthorized modification of these assets is prohibited.
5. Program Termination
Valor Provisions reserves the right to terminate any Affiliate from the Program at its sole discretion for violating the terms of this Agreement or engaging in any activities detrimental to the Valor Provisions brand.
6. Limitation of Liability
Valor Provisions is not liable for indirect, special, or consequential damages resulting from the Affiliate's participation in the Program, including but not limited to loss of revenue, profits, or data.
7. Modifications to the Agreement
Valor Provisions reserves the right to modify this Agreement at any time. Affiliates will be notified of significant changes, and continued participation in the Program constitutes acceptance of such changes.
8. Confidentiality
All data, reports, and other information provided to Affiliates through the Program are confidential and may not be disclosed to third parties or used for purposes unrelated to the Program.
