Affiliate AgreementThis Affiliate Agreement ("Agreement") is made and entered into by and between SIA NORDIC HUB and the affiliate ("Affiliate") who agrees to the terms set forth below. By participating in the Affiliate Program, the Affiliate agrees to comply with the terms and conditions outlined in this Agreement.________________________________________1. Program OverviewThe Company operates an Affiliate Program that allows approved Affiliates to earn a 5% commission on qualifying sales generated through their unique affiliate link.________________________________________2. Eligibility and Enrollment1.Eligibility: The Affiliate must be at least 18 years old and legally capable of entering into a binding contract.2.Enrollment: The Affiliate must submit an application through Awin, which will be reviewed and approved or rejected at the Company's sole discretion.________________________________________3. Commission Terms1.Commission Rate: Affiliates will earn 5% of the sales amount from completed transactions, excluding:oTaxes.oShipping fees.oDiscounts, coupons, or promotions applied.2.Payment Schedule:oCommissions will be paid monthly via Awin, provided the Affiliate meets the minimum payout threshold of $50.oIf the threshold is not met, commissions will roll over to the next payment cycle.3.Refunds and Chargebacks:oCommissions will not be paid on refunded or canceled orders.oIf a commission has already been paid for a refunded or canceled order, it will be deducted from the Affiliate’s future payouts.________________________________________4. Promotional Guidelines1.Allowed Promotional Methods:oSocial media posts, blogs, email campaigns, and other ethical marketing practices.2.Prohibited Activities:oSpamming.oFalse or misleading advertising.oUsing the Company’s trademarks or logos without prior approval.oDirect PPC bidding on the Company’s brand name or domain.3.FTC Compliance:oAffiliates must disclose their relationship with the Company and that they earn a commission for referrals, in accordance with the Federal Trade Commission (FTC) guidelines.________________________________________5. Term and Termination1.Term: This Agreement begins upon the Affiliate’s acceptance into the program and continues until terminated by either party.2.Termination:oEither party may terminate this Agreement at any time, with or without cause, by providing written notice.oThe Company reserves the right to terminate the Affiliate immediately in case of violation of this Agreement.3.Effect of Termination:oUpon termination, the Affiliate will cease all use of promotional materials and remove links to the Company’s website.oCommissions earned before termination will be paid out as per the payment schedule, provided they meet the minimum payout threshold.________________________________________6. Intellectual PropertyThe Affiliate is granted a non-exclusive, non-transferable, revocable license to use the Company’s trademarks, logos, and promotional materials solely for the purpose of promoting the Affiliate Program.________________________________________7. Limitation of LiabilityThe Company is not liable for any damages, losses, or claims arising from the Affiliate’s participation in the program, including but not limited to lost profits or business interruptions.________________________________________8. Governing LawThis Agreement will be governed by and construed in accordance with the laws of Latvia.________________________________________9.
