### **CheqUp Affiliate Programme Terms and Conditions**

#### **1\. Agreement to Terms**

By applying to and participating in the CheqUp Affiliate Programme, you agree to the terms outlined below. These terms are subject to change, and continued participation constitutes acceptance of the revised terms. Please review them periodically.

#### **2\. Purpose**

The Affiliate Programme allows approved affiliates to promote CheqUp’s products and earn commissions on resulting sales, in accordance with these terms.

#### **3\. Commissions**

Standard Rate: Affiliates earn between 10%-20% on all referred sales.

Exclusions: Commissions are calculated on net sales (excluding VAT, delivery charges, and returns).

New vs. Existing Customers: Higher commissions may apply to new customer acquisitions.

Approval Process: CheqUp reserves the right to approve or deny commissions based on compliance with these terms.

#### **4\. Incentivisation Policy**

CheqUp operates under strict rules concerning incentivisation to ensure ethical and regulatory compliance. Affiliates must adhere to the following:

**Prohibited Incentives:**

Affiliates must not offer any financial or material incentives (including cashback) to encourage sign-ups, purchases, or the selection of CheqUp services or products.

**Regulatory Compliance:**
Affiliates must comply with the standards set out in the MHRA Blue Guide: Advertising and Promotion of Medicines in the UK, available on the [MHRA website](https://www.gov.uk/government/publications/blue-guide-advertising-and-promoting-medicines). Failure to adhere to these guidelines will result in immediate removal from the programme.

**Monitoring and Enforcement:**

CheqUp actively monitors affiliate activity to ensure compliance with these terms. Non-compliance, including evidence of incentivisation or unethical practices, will result in:

* Immediate forfeiture of commissions.
* Termination from the programme.
* Potential legal action in cases of fraudulent or misleading activity.

#### **5\. PPC and Brand Use Restrictions**

Affiliates are not allowed to:

* Bid on CheqUp-related keywords or variations/misspellings.
* Use the CheqUp trademark in paid advertisements, display URLs, or subdomains.
* Directly link PPC ads to CheqUp’s website.
* Affiliates must negative match the CheqUp brand name in paid search campaigns.

#### **6\. Promotional Materials**

Affiliates must use only approved marketing materials provided by CheqUp.

Alteration of logos, banners, or other assets without prior written consent is prohibited.

All promotional activities must accurately represent CheqUp’s brand and messaging.

#### **7\. Compliance with Laws and Regulations**

Affiliates must ensure that all promotional activities comply with:

* The laws governing advertising in their jurisdiction.
* The MHRA Blue Guide: Advertising and Promotion of Medicines in the UK for all advertising and promotional content related to medicines.
* GDPR and any other applicable data protection regulations.

#### **8\. Prohibited Activities**

Affiliates must not engage in the following activities:

* Spamming or unauthorised email marketing.
* Deceptive or misleading advertising, including false claims about CheqUp’s products.
* Typosquatting or registering domains that resemble or imitate CheqUp.
* Promoting CheqUp in environments containing illegal, obscene, or inappropriate content.

#### **9\. Cookie Duration**

A 30-day cookie duration applies, crediting affiliates for sales completed within this timeframe.

#### **10\. Reporting and Disputes**

Affiliates must report any missing transactions within 30 days. Claims outside this timeframe will not be reviewed.

Transaction validation may include identity and activity checks to prevent fraud.

#### **11\. Intellectual Property**

Affiliates may use CheqUp’s trademarks and logos solely to promote approved products.

Modifications or unauthorised use will result in removal from the programme.

#### **12\. Confidentiality**

Affiliates agree to maintain the confidentiality of proprietary information shared by CheqUp, including marketing strategies and product details.

#### **13\. Termination**

Either party may terminate this agreement with 30 days' written notice.

Immediate termination may occur if an affiliate breaches these terms or engages in activities harmful to CheqUp’s reputation.

#### **14\. Amendments**

CheqUp reserves the right to modify these terms at any time. Affiliates will be notified of significant changes. Continued participation constitutes acceptance of revised terms.

#### **15\. Governing Law**

This agreement is governed by the laws of England, and any disputes will fall under the jurisdiction of English courts.
