Affiliate Marketing Program Agreement
This Affiliate Marketing Program Agreement (“Agreement”) is entered into by and between Skyler Health (the “Company”), having its principal place of business at www.skylerhealth.com, and you (the “Affiliate”), collectively referred to as the “Parties.”
1. Enrollment in the Affiliate Program
1.1. To participate in the Skyler Health Affiliate Program, the Affiliate must complete and submit an application through Skyler Health’s affiliate platform. Approval is at the sole discretion of Skyler Health.
1.2. By participating, the Affiliate agrees to abide by the terms of this Agreement and any applicable guidelines provided by Skyler Health.
2. Affiliate Responsibilities
2.1. Promotion: The Affiliate agrees to use only authorized promotional materials provided by Skyler Health or approved by the Company.
2.2. Compliance: The Affiliate must:
• Adhere to all applicable laws, including, but not limited to, privacy, data protection, and consumer protection laws.
• Clearly disclose their affiliate relationship with Skyler Health in accordance with FTC guidelines.
2.3. Content Standards: Affiliates must not:
• Use misleading or false information to promote Skyler Health products or services.
• Engage in activities that harm Skyler Health’s reputation, including but not limited to spamming or unethical advertising practices.
2.4. Restrictions: Affiliates are prohibited from:
• Bidding on Skyler Health’s brand name or trademarks in paid search campaigns without prior written consent.
• Using unauthorized URLs, coupons, or promotional codes.
3. Commission Structure
3.1. Payout Rates: Affiliates will earn a commission based on sales generated through their unique affiliate link. The current commission rate is outlined in the affiliate dashboard and may be updated by Skyler Health with prior notice.
3.2. Eligibility for Commission:
• Commissions are payable only on completed and verified sales that meet Skyler Health’s tracking and reporting criteria.
• Refunds, chargebacks, or fraudulent transactions will result in a deduction of the commission.
3.3. Payment: Skyler Health will issue payments to Affiliates monthly, provided the Affiliate has met the minimum payout threshold of $50. Payment will be made via the payment method selected by the Affiliate.
4. Termination
4.1. Skyler Health may terminate this Agreement at any time, with or without cause, by providing written notice to the Affiliate.
4.2. The Affiliate may terminate their participation in the program at any time by notifying Skyler Health in writing.
4.3. Upon termination, the Affiliate must:
• Cease all promotion of Skyler Health products and services.
• Remove all Skyler Health promotional materials, links, and content from their platforms.
5. Intellectual Property
5.1. Affiliates are granted a limited, non-exclusive, revocable license to use Skyler Health trademarks, logos, and promotional materials solely for the purpose of promoting Skyler Health products.
5.2. Affiliates must not modify Skyler Health’s intellectual property or use it in a way that damages the brand.
6. Confidentiality
6.1. The Affiliate agrees not to disclose or share any confidential information received from Skyler Health, including but not limited to sales data, customer information, and commission details.
6.2. This obligation remains in effect even after the termination of this Agreement.
7. Limitation of Liability
Skyler Health is not liable for any indirect, incidental, or consequential damages arising out of this Agreement or the Affiliate’s participation in the program. Skyler Health’s total liability is limited to the total commissions paid to the Affiliate.
8. Indemnification
The Affiliate agrees to indemnify and hold harmless Skyler Health, its officers, employees, and agents from any claims, damages, or expenses arising from the Affiliate’s breach of this Agreement or misuse of the affiliate program.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
10. Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements or understandings. Amendments to this Agreement must be made in writing and signed by both Parties.

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the date of enrollment into the affiliate program.
