Sock Talk Advertiser Program Agreement
Welcome to the Sock Talk Advertiser Program on Awin! This Publisher Agreement is made between:
The Merchant: Brand Sock Talk, operating under Willow Design Ltd, a company incorporated in the UK with registration number SC761857, and having its registered office at 15 Nasmyth Road South, Hillington Business Park, Glasgow, UK, G52 4RE;
The Affiliate: An authorized partner responsible for promoting the Advertiser's products.
Definitions
The following terms are defined for use in this Agreement:
Agreement: This document, including any written amendments agreed upon by the Parties.
Advertiser Website: The website operated by the Advertiser, located at https://sock-talk.co.uk.
Confidential Information: Information disclosed under this Agreement that: Relates to the disclosing Party's business, customers, suppliers, operations, or trade secrets; or is developed by the disclosing Party under this Agreement.
Converted Lead: A unique End User who purchases Advertiser products directly through the Publisher's promotional efforts. Previous customers of the Advertiser are excluded.End User: An individual, company, or entity accessing and using a web browser to interact with the Advertiser Website.
Advertiser Products: Products listed for sale on the Advertiser Website.
Promotional Content: Marketing materials provided by the Advertiser, including trade names, logos, domain names, product descriptions, and other promotional assets.
By joining our program, you agree to the following terms and conditions:
1. Responsibilities of the Parties
- 1.1 Publiser's Role
- Publishers must provide accurate information during registration and maintain updated contact details.
- The Publisher is granted a non-exclusive license to promote the Advertiser’s products using the provided Promotional Content. The Publisher agrees to comply with all advertising laws and ethical marketing guidelines, including but not limited to the CAP Code, FTC regulations, and GDPR requirements. Non-compliance will result in immediate termination of this Agreement.
- The Publisher grants the Advertiser a perpetual, non-exclusive, royalty-free license to use, modify, and publish the Publisher's created promotional content for any lawful business purpose, including but not limited to advertising, marketing, and promotional materials. The Advertiser will make reasonable efforts to provide attribution where feasible.
- The Affiliate grants the Merchant a perpetual, non-exclusive, royalty-free license to use the Promotional Content for any lawful business purpose. "Promotional Content" includes both (a) the original content as delivered by the Affiliate (the "Raw Materials") and (b) the final, post-produced versions of such content (the "Finished Materials"). The license includes the right to use, reproduce, modify, publish, and display the Promotional Content in any media format for advertising, marketing, and promotional purposes. The Merchant will make reasonable efforts to provide attribution to the Affiliate where feasible.
- 1.2 Advertiser's Role
- The Advertiser will provide updated Promotional Content through the Awin platform and technical support to the Publisher.
- The Advertiser reserves the right to object to inappropriate use of Promotional Content and request immediate removal.
- The Advertiser is responsible for maintaining accurate pricing, product descriptions, and website functionality.
- 1.3 Mutual Obligations
- Each Party retains exclusive ownership and control over its respective website.
- Both Parties must comply with applicable laws, including the Data Protection Act 2018 and the UK General Data Protection Regulation (GDPR).
2. Prohibited Activities
- Spamming: No unsolicited emails or excessive posting on social media platforms.
- PPC Restrictions: Publishers may not bid on Sock Talk-branded keywords in paid search advertising.
- Misrepresentation: Publishers must not make false claims or misrepresent our products.
- Cookie Stuffing: Any form of cookie stuffing or misleading tracking practices is strictly prohibited.
- Fraudulent practices such as cookie stuffing or unauthorized link interception.
3. Sales De-Duplication
The Merchant de-duplicates Publisher sales against: PPC Generic, Email Advertising, Direct Partnerships, In House Publisher Programme, Other Affiliate Networks.
4. Content Guidelines
- Publishers must create original content that accurately reflects Sock Talk products and values.
- Any use of our trademarks or logos must be pre-approved.
- The Merchant
5. Compliance with Laws
- Publishers are responsible for adhering to all local and federal regulations regarding advertising, including disclosure of Publisher relationships.
6. Fraud Prevention, Indemnity and Termination Rights
- The Merchant reserves the right to terminate the Publisher relationship for violations of this agreement or any fraudulent activities.
- The Publisher is prohibited from engaging in fraudulent practices, including but not limited to: false advertising, using bots or automated methods to generate leads, offering deceptive incentives to customers.
- Commissions tied to fraudulent activity will be withheld or recovered.
- The Publisher agrees to indemnify the Advertiser against claims, legal fees, or damages caused by fraudulent practices.
7. Modifications
- The Merchant may amend this agreement at any time, with updates communicated to Publishers.
8. Awin Compliance
- All Publishers must comply with Awin's Terms of Use, which govern the operation of the platform.
