This Affiliate Agreement ("Agreement") is entered into by and between MB Sentinel "Company") and the individual or entity ("Affiliate") who agrees to participate in the Company's affiliate program ("Program"). By participating in the Program, Affiliate agrees to be bound by the terms and conditions set forth in this Agreement.
1. Affiliate Obligations. Affiliate agrees to promote Company's products and services through their website, social media, email marketing or other means approved by Company. Affiliate agrees to only use Company-approved marketing materials and not to create or use any unauthorized marketing materials or advertisements.
2. Compensation. In exchange for Affiliate's promotion of Company's products and services, Company agrees to pay Affiliate a commission on each sale made through Affiliate's unique affiliate link. The commission rate will be determined by Company and communicated to Affiliate.
3. Banning Promo Codes and Coupons. Affiliate agrees not to promote or offer any promo codes or coupons for Company's products or services without the prior written consent of Company.
4. Prohibited Activities. Affiliate agrees not to engage in any deceptive or misleading marketing practices, including but not limited to false or misleading claims, unauthorized use of trademarks or logos, or spamming. Affiliate also agrees not to engage in any illegal or unethical activities in connection with the Program.
5. Term and Termination. This Agreement will remain in effect until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Upon termination, Affiliate will no longer be eligible to earn commissions for any sales made after the date of termination.
6. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the Program and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
