Miraki Jewels

This Affiliate Program Agreement (“Agreement”) is entered into between Miraki Jewels Inc. (“Miraki”, “Company”, “we”, “our”) and the participating affiliate (“Affiliate”, “you”, “your”).

By applying to, accessing, or participating in the Miraki Affiliate Program via AWIN or any authorized affiliate platform, you agree to be bound by the terms below.

1. Program Purpose

The Miraki Affiliate Program is a curated, creator-first program intended for content creators, influencers, editors, and brand-aligned partners who authentically promote Miraki’s made-to-order fine jewelry. This program is not intended for mass-discount, coupon aggregation, or arbitrage-based promotion.

2. Eligibility & Approval

To participate, you must:

Be at least 18 years of age

 

Operate an active, publicly accessible, and professional online platform

 

Maintain content and community standards aligned with Miraki’s brand values of ethical sourcing, conscious luxury, and intentional design

 

Accurately disclose promotional relationships in compliance with FTC guidelines and platform-specific requirements

 

Miraki reserves the absolute right to approve, reject, suspend, or remove any Affiliate application or participation at its sole discretion, with or without notice.

3. Affiliate Conduct & Content Standards

Affiliates must:

Use only approved tracking links and promotional materials provided or authorized by Miraki

 

Present Miraki accurately and avoid misleading claims, pricing misrepresentation, or false urgency

 

Clearly and conspicuously disclose affiliate relationships on all platforms (e.g., #ad, #affiliate)

 

Ensure all content complies with applicable laws, advertising standards, and platform policies

 

Miraki reserves the right to audit Affiliate content, traffic sources, and promotional methods at any time.

4. Commission & Attribution

Standard Commission Rate: 20% per qualified, validated sale

 

Attribution Window: 14 days from click

 

Validation: Commissions are subject to validation after the return/refund window

 

Exclusions (No Commission Paid On):

Self-purchases or purchases made by immediate family or household members

 

Cancelled, returned, refunded, or fraudulent orders

 

Orders driven through prohibited promotional methods

 

Discount code misuse or unauthorized code distribution

 

Miraki reserves the right to:

Adjust commission rates by affiliate group

 

Introduce performance-based incentives

 

Reverse or withhold commissions associated with policy violations or suspicious activity

 

5. Payments

Payments are processed exclusively through AWIN in accordance with its standard payment schedule and policies

 

Miraki may delay, reverse, or withhold payment while investigating suspected violations, fraud, or irregular activity

 

6. Prohibited Promotional Activities

The following activities are strictly prohibited and constitute grounds for immediate termination:

Coupon, cashback, loyalty, or deal-based promotion without explicit written approval

 

Publishing Miraki discount codes on public deal or aggregation sites

 

PPC, paid search, or paid social advertising using:

 

Miraki trademarks

 

Trademark misspellings

 

Branded keywords

 

Domain names or social handles resembling Miraki

 

Browser extensions, toolbars, adware, or link cloaking

 

Cookie stuffing, forced clicks, or artificial attribution methods

 

Email spam, comment spam, or unsolicited mass messaging

 

Impersonation of Miraki or representation as an official brand channel

 

7. Termination

Miraki may terminate or suspend this Agreement immediately and without notice for any violation of these terms or suspected misconduct.

Upon termination, the Affiliate must:

Immediately remove all Miraki links, branding, and promotional content

 

Cease all representations or promotions related to Miraki

 

Miraki is not obligated to pay pending or disputed commissions associated with violations or investigations.

8. Indemnification

You agree to indemnify, defend, and hold harmless Miraki Jewels Inc., its officers, directors, employees, and partners from any claims, losses, damages, liabilities, or expenses arising from your participation in the Affiliate Program or breach of this Agreement.

9. Modification of Terms

Miraki may modify this Agreement at any time. Updated terms will be communicated via email or the affiliate platform. Continued participation constitutes acceptance of all modifications.

10. Limitation of Liability

Miraki shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Affiliate Program. Miraki’s total liability shall not exceed the total commissions paid to the Affiliate during the preceding twelve (12) months.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles.

13. Program Classification
This program is classified as a private, content-led affiliate program. Participation does not guarantee ongoing approval.
